To Whom It May Concern:
Aggregate Industries has advised that, in support of its application for an amendment to
their County permit for sand and gravel mining, the Weld County Department of
Planning Services requires verification of water service to Aggregate Industries'
property. Aggregate Industries is a shareholder in the Sharks Tooth Pipeline. Water
service is delivered for Aggregate Industries' use at a water tap located at 13254 Weld
County Road 64, which is within the permit boundary of USR-897.
Please accept this letter as verification of existing water service provided by Shark's
Tooth Pipeline Company to Aggregate Industries.

EXCLUSIVE SANITARY SEWER EASEMENT
• KNOW ALL MEN BY THESE PRESENTS, that Ed Off and Susie Ann On, whose address is
826 9's Street Plaza, Greeley, Colorado 80631, hereinafter referred to as "Grantor", for and in
consideration of Ten and no/100 dollars ($10.00) and other valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, hereby grants and conveys to the City of Greeley, a
Municipal corporation,whose address is 1000 10th Street, Greeley, Colorado 80631 hereinafter referred
to as "Grantee", a permanent exclusive sanitary sewer easement Below is the description of the
exclusive easement.

The permanent exclusive sanitary sewer easement hereby granted shall entitle the Grantee, its
successors and assigns, to install, lay, construct, relocate, change the size of, replace, repair, inspect
maintain, remove and operate an underground utility and all appurtenances to thereto. The permanent
exclusive sanitary sewer easement also shall permit uses clearly incidental to those specified and shall
include the right of ingress and egress over and across the Grantor's property to the extent reasonably
necessary to exercise and accomplish the utility purposes and the right to clear and keep cleared all trees
and other obstructions as may be necessary.
The Grantor shall have the right to make use of the surface overlying the exclusive sanitary sewer
easement granted by this instniment so long as such use does not interfere with the exercise by the
Grantee of the rights granted and conveyed by this instrument. No permanent structures or detention
ponds are to be built within this easement. Grantor shall not install beans, fences, or plantings, which
exceed three feet in height when mature, in the easement In no event shall the Grantor make claim
against the Grantee for damages to any improvements or fixtures hereafter installed by the Grantor within
the area of the permanent sanitary sewer easement.
• This Grant shall be binding upon the heirs, executors,administrators, successors and assigns of
the parties hereto.

KNOW ALL MEN BY THESE PRESENTS, that Aggregate Industries-WCR, Inc., a
Colorado corporation, whose address is 1707 Cole Boulevard, Suite 100, Golden, Colorado
80401, hereinafter referred to as "Grantor", for and in consideration of Ten and no/100 dollars
($10.00) and other valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, hereby grants and conveys to the City of Greeley, a Municipal corporation,
hereinafter referred to as "Grantee", a permanent exclusive sanitary sewer easement. Below is
the description of the exclusive easement.
SEE ATTACHED LEGAL DESCRIPTION AND DRAWING
The permanent exclusive sanitary sewer easement hereby granted shall entitle the
Grantee,its successors and assigns,to install, lay, construct,relocate, change the size of replace,
repair, inspect, maintain, remove and operate an underground utility and all appurtenances to
thereto. The permanent exclusive sanitary sewer easement also shall permit uses clearly
incidental to those specified and shall include the right of ingress and egress(access) over and
across the Grantor's property to the extent reasonably necessary to exercise and accomplish the
utility purposes and the right to clear and keep cleared all trees and other obstructions as may be
necessary.
For said right of ingress and egress, Grantee shall be responsible for actual damages for
restoration of fences, drain tile, irrigation systems, landscaping, private road and other
• improvements, including but not limited to wetland and riparian corridor areas within the
wetland mitigation bank plan as set forth below, if damaged by Grantee in accessing the
easement granted herein.

Grantee acknowledges that a Notice of Intent to create wetlands on the subject property
for mitigation bankin$,has been filed by Grantor and accepted by the Army Corps of Engineers,
Omaha District, Denver,Regulatory Office("the Corps")dated March 22, 2004, as attached, and
that wetlands created and restoration and enhancement of the riparian corridor of the Cache La
Poudre River lying within the subject property will ultimately be subject to the terms and
conditions of a mitigation bank plan with the Corps, including but not limited to a future
conservation easement for protection of the bank. Grantee further acknowledges that Grantee
shall be responsible for compliance with Section 404 of the Clean Water Act and the wetland
mitigation bank plan for any portion of Grantee's access to the easement granted herein which
lies within such protected areas.
The Grantor shall have the right to make use of the surface overlying the exclusive
sanitary sewer easement granted by this instrument so long as such use does not interfere with
the exercise by the Grantee of the rights granted and conveyed by this instrument. No permanent

The Notice of Intent(NO1)fulfills the minimum requirements established by the Omaha
District The Denver Regulatory Office acknowledges the desire of Aggregate Industries
(Al)to create,enhance and restore wetlands and riparian habitat on their Riverview
Resources property near the Cache La Poudre River for possible use as a mitigation bank.
For this project,the potential use of any wetlanda/aquatic habitat for mitigation,if a
banking instrument is approved,will be subject to procedures,iutli ncd in the Federal
Guidance for theEstabllshment Use and Operation ofMrtigarton Banks,the Omaha
District's Operational Draft Guidance for Wetland Mitigation Banks and the review and
• approval of the Mitigation Bank Review Team(MBRT). Plate be aware that the MBR7
may require different performance standards(success criteria&measures of performance)
than those proposed in your NOI.
Regatding yOur stated desire of Al w seek approval of an"Umbrella"baaidng
agreement,such anAgreement may not be necessary. The purpose of an umbrella agreement
' is to establish protocol and procedures for the use of several as yet unknown,sites for
mitigation banking bygnc entity. If this is the intent of AT,development of such an
agreement may take 6 tb 12 months,since the MBRT has never dealt with such an agreetna1t
in the past
