AGREEMENT TO_MINE WITHIN 200 FT OF A PERMANENT MAN-MADE STRUCTURE
THIS AGREEMENT dated effectively October 5,2005 is made between Asphalt Specialties Company,
Inc.,10100 Dallas St.,Henderson CO 80538,herein called"ASCI" and the Last Chance Ditch Company
herein called"Last Chance"hereinafter referred to as the"Parties"to this agreement.
WHEREAS, ASCI represents that they are the gravel permit Operator for the Nelson Mining Resource
proposed to occur on described lands in un-incorporated Weld County,Colorado to wit:

WHEREAS,Last Chance owns the irrigation ditch and water rights within the canal immediately to the
southeast of the proposed gravel pit as shown on the attached and referenced Exhibit"A" to this agreement.
WHEREAS,ASCI wishes to mine sand and gravel on said property utilizing dry mining techniques.
NOW THEREFORE,
1. Last Chance agrees to allow ASCI to mine within approximately 75 ft of the canal as a temporary
condition and ASCI will backfill a total of approximately 100 ft of the 75 ft. mined to approximate
historic grade and from that point iaward to the pit floor at a 3:1 slope within 1 year of mining.
2. ASCI agrees to monetarily compensate Last Chance for any damage to the canal that would be
caused by ASCI's mining activities.

RE: Water Service to Nelson Property
Dear Mr.Weier:
This letter is in response to a request for water service to serve the following property described as
follows:
Part of E%z of Section 31.Township 3 North,Range 67 West,Weld County, Colorado,
Water service is presently available to the above described property by tap number 1056 located at
Weld Co. Rd. 15 & 26. Additional water service can be made available to this property,provided
all requirements of Central Weld County Water District, Northern Colorado Water Conservancy
District and the Bureau are satisfied. This property has been petitioned into Northern Colorado
Water Conservancy District.
New service will have to meet the criteria,stated in the Water Shortage Contingency Plan adopted
by the Board on June 20, 2002. Central Weld County Water District requites that contracts be
consummated within one (1) year front the date of this letter or this letter shall become null and
void unless extended in writing by the District Please contact the Central Weld office for filrther
information about water service. Due to the rapid cost increase of raw water, existing up fees may
not apply for water service to this property. The District will not notify, by separate letter, any
prospective landowners or land purchasers oftap fee or line extension cost increases. The cost of a
tap fee and/or improvements will have to be paid in advance to the District by the prospective
customer in accordance with District policy.
