RECITALS WHEREAS, Lessee is acquiring from Lessor certain real property and housing units together with two small capacity wells known as Well Nos. RES-1 (permit no. 35063-F) and RES-2 (permit no. 35062-F) (collectively the "Wells"); and WHEREAS, the Wells have supplied the housing units with water for the uses of domestic, fire protection and irrigation of approximately 3 acres of lawn; and WHEREAS, the Wells each have decreed underground water rights in the amount of 15 gpm (0.03 cfs) absolute, with an appropriation date of April 26, 1989, for uses of domestic, fire protection and irrigation of approximately 3 acres ("Water Rights"), as confirmed in Section BIB of the Findings of Fact, Conclusions of Law, Ruling and Judgment and Decree entered in Case No. 94CW217, Water Division 1, on October 3, 1997 ("Decree"); and WHEREAS, the Wells are tributary to the South Platte River and require augmentation to allow their continued use within the priority system at times when the wells' Water Rights are out of priority and otherwise subject to administration; and WHEREAS, the Decree also approved a plan for augmentation to replace water withdrawn from the Wells, that relies on water rights owned by Lessor which are also the sources of augmentation water for certain large capacity wells and a surface irrigation pump as decreed in Case No. 88CW264(B),Water Division 1; and WHEREAS, withdrawals from the Wells for their decreed purposes in connection with the housing units is estimated not to exceed a combined annual total of 19 acre-feet; and WHEREAS, the Water Rights and Wells are being conveyed by Lessor to Lessee by separate deed; and WHEREAS, Lessee desires to continue diversions from the Wells pursuant to the Water Rights under the augmentation plan approved in Case No. 94CW217; and WHEREAS, Lessor desires to lease to Lessee a portion of those certain water rights identified as sources of augmentation water for the Wells in Case No. 94CW217 for the purpose of allowing such continued diversions. Lease. Lessor hereby leases to Lessee for the terms and conditions set forth below, up to 19 acre-feet of water per year from the augmentation sources described in the Decree for the purpose of augmenting the Wells pursuant to the Decree. 2. Conditions. Subject to the provisions of the Decree regarding the order of preference for use of the replacement sources, Lessor may use any of the augmentation sources decreed in Case No. 94CW217 to make said replacements. Lessee shall be responsible for maintaining totalizing flow meters on the Wells and measuring and recording on a monthly basis withdrawals from the Wells, and shall promptly make such monthly records available to the Lessor and Division Engineer as necessary to ensure that the accounting requirements for the Wells as set forth in the Decree are fully met. Lessor shall be responsible for satisfying all other accounting requirements set forth in the Decree, including submitting to the Division Engineer a monthly report which includes a monthly reconciliation of diversions and depletions, and augmentation credits (including a breakdown of the location of such credits), and submitting by May 1 of each year a proposed diversion and net stream depletion schedule for the next 12 months. Lessee shall timely provide to Lessor any information reasonably necessary to prepare the necessary proposed diversion and depletion schedule. Lessee shall file a change of ownership form for the Wells with the State Engineer's Office within 30 days of the date first written above. Should this Agreement be terminated or not renewed for any reason, Lessor shall have no obligation to provide for the augmentation of the Wells and may amend the augmentation plan decreed in Case No. 94CW217 to exclude the Wells, and diversions from said Wells may be subject to curtailment by the Division Engineer. 3. Term. The term of this Agreement shall be twenty-five (25) years from the date first set forth above. The Agreement shall automatically terminate on the first day following the twenty-five-year anniversary of the date first set forth above, unless otherwise renewed in accordance with the provisions herein. Lessee shall have the option to renew the Agreement for another twenty-five-year term by notifying Lessor in writing no less than six (6) months before the end of the lease term that it intends to renew the Agreement. If Lessee exercises its right to renew the Agreement, Lessee shall have the right to renegotiate the rent provision of the Agreement to reflect market conditions. All other provisions of this Agreement shall continue in full force and effect upon renewal unless otherwise modified by mutual agreement between the parties, 4. Rent. The first rent payment shall be made on the date of this Agreement set forth above. Lessee shall use the Wells only for the purposes decreed under the Water Rights in connection with the housing units acquired from Lessor and shall not withdraw from those wells more than 19 acre-feet in any one water year defined as the period from November 1 through October 31 of the following year, unless otherwise agreed upon in writing. 6. Default. If either party to this Agreement is in default under the obligations set forth herein, the other party shall give the defaulting party written notice specifying the nature of the default. The defaulting party shall then have 10 days thereafter to cure, or commence to cure, the default. If the defaulting party does not cure, or commence to cure, the default within such time, the nondefaulting party may elect to terminate this Agreement by giving written notice to the defaulting party or may elect to treat this Agreement as in full force and effect and retain the right to seek damages (including reasonable attorney fees and costs) as the sole remedy. 7. Notices.
