RESOLUTION
RE: APPROVAL OF USE BY SPECIAL REVIEW FOR A GAS PROCESSING PLANT -
PANTERA ENERGY CORPORATION
WHEREAS , the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, the Board of County Commissioners held a public
hearing on the 10th day of August, 1983 , at the hour of 2 : 00
o'clock p.m. in the Chambers of the Board for the purpose of
hearing the application of Pantera Energy Corporation, c/o
Ronald L. Thompson, P.E. , 7475 Dakin Street, Suite 221 , Denver,
Colorado 80221 , for a Use by Special Review for a gas process-
ing plant on the following described real estate, to-wit:
Part of the SE4, Section 17 , Township 7 North,
Range 59 West of the 6th P.M. , Weld County,
Colorado
WHEREAS, Section 24 . 4 . 2 of the Weld County Zoning Ordinance
provides standards for review of said Use by Special Review, and
WHEREAS , the Board of County Commissioners heard all of the
testimony and statements of those present, has studied the re-
quest of the applicant and the recommendations of the Weld County
Planning Commission and all of the exhibits and evidence presented
in this matter, and having been fully informed, finds that:
1 . The submitted materials are in compliance with applica-
tion requirements of Section 24 . 7 of the Weld County
Zoning Ordinance.
2. It is the opinion of the Board of County Commissioners
that the applicant has shown compliance with Section
24 . 4 . 2 of the Weld County Zoning Ordinance as follows :
a) The proposal is consistent with the Comprehensive
Plan policies in that the use does not infringe on
continued agricultural use in the vicinity or County.
The proposal does not appear to have any adverse
impacts on the agricultural interests of the County
or the environment.
b) The proposal is consistent with the intent of the
Agricultural Zone District and is provided for as
a Use by Special Review.

c) No overlay districts affect the subject site.
d) It is the opinion of the Board of County Commissioners
that the attached Operation Standards will minimize
impacts on surrounding uses and the area to the great-
est extent possible and provide adequate protection
of the health, safety and welfare of the inhabitants
of the area and the County.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Com-
missioners of Weld County, Colorado, that the application for a
Use by Special Review for a natural gas processing plant on the
hereinabove described parcel of land, be, and hereby is , granted
subject to the following conditions:
1 . The attached Standards for Use by Special Review be
adopted, as amended.
2. The plat for the use permit be placed of record by the
Department of Planning Services staff prior to any build-
ing permits being issued on the site.
The above and foregoing Resolution was, on motion duly made
and seconded, adopted by the following vote on the 10th day of
August, A.D. , 1983 .

PANTERA ENERGY CORPORATION
1. The permitted use on the said parcel of land shall be a natural gas
processing facility.
2. The major structures shall be a compressor engine, an eighteen-
thousand (18,000) gallon storage tank, office building, storage
area for pipe and production equipment and other gas processing and
conditioning equipment as listed and identified on the plat.
3. All drip pits shall be covered by a wire screen.
4. The permitted use shall comply with Section 24.5 et seq. (Design
Standards for Use by Special Review) of the Weld County Zoning
Ordinance.
** 5. The Access to Weld County Road 80 and 113 shall have a fifteen (15)
inch by forty (40) foot C.M.P. culvert pipe at both locations for
road drainage.
6. The permitted use shall comply with Section 24.6 et seq. (Operation
Standards for Uses by Special Review) of the Weld County Zoning
Ordinance.
7. Design and construction of the facility shall be in accordance with
the submitted application materials, recorded plat and Weld County
Building Code Regulations.
8. The appearance of the facility shall be maintained in a neat and
orderly condition through periodic painting and maintenance.
9. The Use by Special Review Permit area shall be maintained in such a
manner as t.o prevent soil erosion and fugitive dust.
10. The Use by Special Review Permit shall be limited to the plans
shown hereon and governed by the Operation Standards stated above
and all applicable Weld County Regulations. Any material devia-
tions from the plans and/or Operation Standards, as shown or stated
above, shall require the approval of an amendment of the Use by
Speical Review Permit by the Planning Commission and the Board of
County Commissioners before such changes from the plans and/or
Operation Standards shall be permitted. Any other changes from the
plans and/or Operations Standards shall be filed in the office of
the Department of Planning Services.
11. The property owner and/or operator of this operation shall be
responsible for complying with all of the above stated Operation
Standards. Noncompliance with any of the above stated Operation
Standards may be reason for revocation of the Use by Special Review
Permit by the Board of County Commissioners.

The following business was transacted:
I hereby certify that pursuant to a notice dated July 25, 1983, and duly
published on July 28, 1983, in the LaSalle Leader, a public hearing was held
for the purpose of considering the request of Pantera Energy Corporation for a
Use by Special Review for a gas processing plant. Mr. Morrison read this
request into the record. Rod Allison read the favorable recommendation,
with conditions, fran the Planning Commission into the record. Mr. Ronald L.
Thompson, P. E. , was present. He gave a short presentation on what they plan to
do if the request is approved. After further discussion, Commissioner N.
Carlson moved to approve this Use by Special Review for a gas processing plant
• for Pantera Energy Corporation with the conditions as set forth by the Planning
Commission and amended operation standard #5 to 50 foot instead of 40 foot.
Commissioner Martin seconded the motion. Kenneth Littlefield, an adjacent
land owner, asked that this request be held over until all five Commissioners are
present. He added that he sold the property to Mr. Roth and there is a
contract which would prohibit this request. Mr. Allison stated that Mr.
Roth has met the applicant requirements. The Chairman recessed this mooting
so that the deed to the property could be verified. Upon reconvening, the
Chairman announced that for the record, Pantera Energy Corporation has
presented an application and as far as the County is concerned the land is
deeded to Roth. He added that if there is a problem between Mr. Littlefield
and Mr. Roth that is their problem. Mrs. Littlefield questioned why the
plant has already been constructed before the Fnard had approved the request.
Mr. Allison stated that the initial installations only required building
permits which were purchased. Mr. Thompson commented on the procedure
and added that he has complied with the County's requirements. Mr. Littlefield
again requested that the Board hold over this request until all five Commissioners
are present. After additional discussion, Mr. Thompson stated that he would
work with the Littlefielth to solve any problems. The motion carried
unanimously.

COMMENTS:

We hereby submit our Special Review Application for
construction of a compressor facility and related
equipment to be installed at the Southeast corner of
Section 17 - T7N - R59W, at the corner of Weld County
Roads 80 and 113. This facility is needed in order to
boost the operating pressure of our existing pipeline
running down the north side of County Road 80 such
that we can deliver to market additional volumes of
gas producible from wells in eastern Weld and western
Morgan Counties. The following supporting information
is keyed to the "Procedural Guide for Use By Special
Review Application" as provided by the Weld County
Planning Commission.
1. The following statements are submitted as part of the
application :
a. The proposal is consistent with the Weld County
Comprehensive Plan in that a small tract (1 . 72
acres) of land presently used for dry-land wheat
farming will be temporarily (ten years -) withdrawn
from such use and utilized as a compressor station
to boost the operating pressures on a natural gas
pipeline. This pipeline presently transports
approximately 4. 5 million cubic feet of natural
gas per day from wells in Weld and Morgan Counties.
Additional volumes of gas are presently available
_primarily in the vicinity of New Raymer, Colorado
in Weld County; however, these volumes cannot
presently be produced into our pipeline due to
excessive friction pressure losses . The proposed
facility will increase the pipeline capacity to
approximately 8. 5 million cubic feet per day,
thus allowing increased recovery of a valuable
natural resource.
b. The tract in question is currently zoned for

agricultural use. The withdrawal from agriculture
of such a small tract (1. 72 acres) will have a
minimal effect on such use. Disturbance of the
top soil will be held to a minimum and upon
abandonment of the facility , the surface will be
restored.
c. The subject facility will be located on land leased
from Robert A. Roth. He is presently conducting dry
land wheat farming operations on the tract and on
land to the north and west . Pantera' s proposed
facilities and the operations thereof will in no
way interfere with Mr. Roth' s farming activities or
with grazing on the pasture lands to the south and
east . Steps will be taken to minimize the audible
and visual impact of the facility .
d. Pantera is unaware of any development planned in the
vicinity of the proposed facility.
e. The proposed facility does not lie within an Overlay
District .
f. As stated above, although the proposed facility is
located in the "A" District , disturbance of the
top soil will be minimized and the site will be
restored as nearly as possible to its original con-
dition upon abandonment of compressor operations.
g. Since there are presently no habitations within one
mile of the proposed facility, health and safety
precautions will be designed to protect Pantera
employees and contractors . These will consist of
adequate fire protection devices , first aid kits ,
protective clothing and pressure relief devices
installed where necessary;. All set-back requirements
will be observed.
2. An Application Form for use by Special Review is attached
as Attachment I .
3. Attachments II and III , respectively , are the required list
of names, addresses and parcel Identification Numbers of
the surface estate property owners within a 500' radius of
the proposed facility and an Affidavit of Interest Owners .
4. Attachments IV and V are, respectively, the list of the
name and addresses of mineral owners and lessees of
mineral owners on or under the parcel of land being con-
sidered and the Affidavit of Interest Owners .

5. A detailed description of the proposed operation is as
follows:
a. The proposed facility will be used as a compressor
station to boost the pressure on an existing natural
gas pipeline from approximately 250 psig to approxi-
mately 400 psig. This will increase the capacity of
the pipeline as mentioned above.
b. The proposed facility is approximately 1. 5 miles
north of the nearest residential structure. There
are also residential structures 1. 5 miles to the
north and 2 miles to the west (unoccupied) .
c. During normal operations, this proposed facility will
be unmanned. The maximum number of employees that is
likely to be on the facility at any one time is five.
d. Although the facility will normally be unmanned, there
will, on occasion, be employees, truckers , construction
workers , or suppliers on the location. After completion
of the initial construction, it is anticipated that there
will never be more than five persons at the facility at
one time.
e. Not listed on Procedural Guide.
f. Not Applicable.
g. The proposed facility will include a 350 h. p. electric-
driven compressor on a gravel pad (to boost the operating
pressure of the existing pipeline from 250 psig at the
suction to 400 psig at the discharge) ; a 36" by 7' 6"
vertical, two-phase separator (to remove entrained
liquids from the gas stream prior to compression) ; a
pig receiver and a pig launcher (to remove pipeline
pigs from the piping on the suction side of the com-

the compressor) ; an 18, 000 gallon propane tank (to
store pipeline drip liquids pigged into the facility) ;
a transfer pump and truck loading dock (to allow for
sale of the drip liquids from the 18, 000 gallon tank) ;
a 25' by 25' by 10' deep open pit for disposal of
water drained from the 18, 000 gallon tank; an 8 ' by
12' office building; two power and light poles (ap-
proximately 25' high) ; a driveway and parking area
(see plot plan) ; and miscellaneous pipe, valves and
fittings.
h. Anticipated vehicular traffic will consist of one to
three company cars and/or pickups each day (one to
four visits each) and one 8 , 500 liquid transport

approximately once or twice a week.
i . No domestic sewage facilities will be installed.
j . It is not anticipated that the facility will be used
for stockpiling or storage of equipment or supplies ,
except for small items that will be contained in the
12' by 8' office building. On occasion, the
facility may be used for temporary storage of pipe.
If so, the storage area will be no more than
approximately 40' by 40' . Waste material will
consist of trash that will be contained in a
barrel near the office.
k. Disposal of waste, debris and junk will be on an
as-needed basis by company pickup .
1 . Construction of the facility has already started
(dirt work, installation of com4ressor, separator ,
launcher and receiver, and pipe) valves and fittings ) .
This was done with the full knowledge and consent
of the Weld County Planning Commission after we
applied for and paid for the appropriate building
permits . At that time, we were informed by Michael
St . Claire of the Commission that there would be no
further permitting requirements imposed by Weld
County. We were also informed, at that time,
that there would be no zoning problems . Hence, we .
began construction in good faith. We anticipate
that the construction will be completed within
two to three weeks of approval (interim approval)

missioners.
m. No landscaping plans have been proposed.
n. Upon cessation of operations , we will remove all
above-ground equipment and facilities , cut off
all below-ground piping below plow depth , fill
the pits , restore the sub-soil as nearly as possible
to its original position and topography and re-
seed the plot (or take such other action as may be
desired by the surface owner) .
o. Suitable fire extinguishers will be located at
strategic points around the facility .
6. A Use by Special Review Permit Plan Map on Mylar is
submitted with the Application as per the Procedural
Guide.

whereby Pantera obtained the use of the subject

d. Inasmuch as all the proposed facilities are either
unpowered or powered by electrical means (except
for vehicles) very little noise will be generated.
Since the nearest habitations are in excess of
one mile away, it is requested that the Board of
County Commissioners and the Department of Planning
Services waive the requirement for a noise report .
e. Please refer to the Planning Department ' s Copy of
the Soil Reports for the Northern Part .
8. Pantera intends to comply with all applicable laws, rules
and regulations including the design and operation
standards outlined in Sections 24. 5 and 24. 6, respectively .
The required sign announcing the hearing date for this
Application shall be posted as required. A check is
enclosed herewith to cover the $155. 00 application fee
and the $10. 00 recording fee.

Enclosed is a check for $378. 00 as payment for a permit
to construct facilities in Section 17-T7N-R59W. This
facility will be a booster compressor station for the
purpose of compressing natural gas for transport from
the wells to our processing plant . The station consists
primarily of a 350 hp electric-driven compressor, a
scrubber, a pig launcher and receiver, an 18, 000 gallon
propane tank, a water disposal pit, condensate loading
and transfer facilities, and related pipe, valves and
fittings. All related equipment will be located on a
250' x 300' tract leased from Robert A. Roth (Lease
Documents enclosed) ; the tract will be surrounded by
a standard barbed wire fence, with ingress and egress
from Weld County Roads 80 and 113. Minimum set-back
requirements will be observed. The estimated cost
of the facility is $96, 000. Your files currently
contain a detailed cost estimate and a location plat.
We plan to start the dirt work and construction of
fencing immediately. No further work will be done
until permitting is complete; however, we anticipate
being ready to proceed as early as May 23. Therefore,
we would appreciate verbal approval as soon as possible.

WITNESSErH, That in consideration of the payment of the Lease Agreement
fee and the keeping and performance of the covenants and agreements by the said
Lessee hereinafter set forth, the said Lessor hereby leases unto the said
Lessee the following described premises, situate in the County of Weld
in the State of Colorado, to wit:
A portion of land approximately 250 ft. by 300 ft. located in the southeast
corner of Sec. 17-T7N-R59W for use as a gas compressor station facility, including
compressors, liquid storage facilities, valves, launchers, buried pipelines,
etc.
TO HAVE AND 10 HOLD the same with all the appurtenanc unto the said

to keep the improvements upon said premises in good repair at the expense of said
Lessee; to pay all taxes accessed against equipment located at this installation,
and at the expiration of this Lease to surrender and deliver up said premises
in as good order and condition as when the same were entered upon, loss by fire,
inevitable accident or ordinary wear excepted; to sublet no part of said premises
without the consent of the Lessor; to use said premises for no purpose prohibited
by the laws of the United States or the State of Colorado and for no improper or
questionable purposes whatsoever; to neither hold or attempt to hold the Lessor
liable for any injury or damage occasioned by any reason upon equipment or
personnel at this compressor station facility.
It is further agreed that no assent, expressed or implied, to any breach
of any one or more of the covenants or agreements hereof shall be deemed or taken
to be a waiver of any succeeding or other breach.

It is mutually agreed that if after the expiration of this Lease, the
Lessee shall remain in possession of said premises and continue to pay rent
without a written agreement as to such possession, then such Lessee shall be
regarded as a tenant from year to year at a yearly rental, payable in advance,
equivalent to the last year's lease hereunder, and subject to all the terms
and provisions of this Lease.
IT IS EXPRESSLY UNDERSTOOD AND AGREED, by and between the parties
aforesaid, that if the rent above reserved, or any part thereof, shall be in
arrears, or if default shall be made in any of the covenants or agreements
herein contained, to be kept by the said Lessee, it shall and may be lawful
for the said Lessor to declare said term ended, and enter into the said
premises, or any part thereof, either with or without process of law, to re-
enter, and the said Lessee or any other person or persons occupying the same
to expel, remove, and put out, using such force as may be necessary in so doing,
without being liable to prosecution or in damages therefor, and the said premises
again to repossess and enjoy, as in the first and former estate of the said
Lessor. And if at any time said term shall be ended as aforesaid or in any
other way, the said Lessee hereby covenants and agrees to surrender and deliver
up said premises peaceably to said Lessor, immediately,upon the termination of
said term, and if the Lessee shall remain in possession of the same after the
termination thereof, said Lessee shall be deemed guilty of a forcible detainer
of said premises under the statute, hereby waiving all notice, and shall be
subject to eviction and removal, forcibly or otherwise, with or without process
of law, as above stated.
And it is further expressly understood and agreed that all the covenants
and agreements in this Lease contained shall extend to and be binding upon, the
heirs, executors, legal representatives and assignees of the respective parties
thereto.
And it is further expressly understood that PANTERA ENERGY CORPORATION
shall remove all equipment and restore this compressor site to as nearly as
possible its original state should the site ever be abandoned or the lease
cancelled.
