RE: APPROVE ASSIGNMENT FROM WACKENHUT CORPORATION, CORRECTIONAL
FOODSERVICE MANAGEMENT DIVISION, TO ARAMARK CORRECTIONAL
SERVICES, INC. AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority or
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Assignment from the Wackenhut
Corporation, Correctional Foodservice Management Division, to Aramark Correctional Services,
Inc., between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Sheriff's Office, with terms and conditions
being as stated in said assignment, and
WHEREAS, after review, the Board deems it advisable to approve said assignment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Assignment from the Wackenhut Corporation, Correctional
Foodservice Management Division, to the Aramark Correctional Services, Inc., between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, on behalf of the Sheriff's Office, and be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said assignment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 4th day of December, A.D., 2000.

ASSIGNMENT
This ASSIGNMENT, dated as of t 16O ,2000, is from THE WACKENHUT CORPORATION
through its division, CORRECTIONAL FOODSERVICE MANAGEMENT ("CFM/Wackenhut") tc
ARAMARK CORRECTIONAL SERVICES, INC., ("ARAMARK"), with reference to the followinc
RECITALS:
A. Services are being provided to the Contract Client identified below, under the followinc
contract (the "Contract"): Board of County Commissioners/Weld County CO, Weld County Jai
B. Subject to any required consent of the Contract Client being obtained, CFM/Wackenhut ha
agreed to assign the Contract to ARAMARK, and ARAMARK has agreed to assume the Contract
and to perform CFM/Wackenhut's obligations under the Contract, on and after the Effective Datc
(defined below).
NOW, THEREFORE, intending to be legally bound and in consideration of the recitals and othe
valuable consideration, the receipt and adequacy of which are hereby acknowledged, anc
effective as of the Effective Date. CFM/Wackenhut sells, assigns and conveys to ARAMARK
all of CFM/Wackenhut's right, title and interest, legal or equitable, in and to the Contract
ARAMARK accepts such assignment, and assumes and agrees to perform the obligations o
CFM/Wackenhut under the Contract, arising on and after the Effective Date. CFM/Wackenhu
shall remain responsible for all obligations under the Contract arising prior to the Effective Date
The "Effective Date" is the later of (1) the closing date on the assignment of the Contrac
(currently anticipated to be January 31, 2001) or (2) the date the Contract Client executes thi
Assignment. ARAMARK and CFM/Wackenhut will promptly notify the Contract Client of th(
Effective Date.
IN WITNESS WHEREOF, the parties have executed this Assignment, as of the date first abovf
written.
