ENTRY OF APPEARANCE
COMES NOW the Defendant Public Service Company of Colorado by its attorneys
Faegre & Benson LLP, and enters its appearance in the aforecaptioned case. As grounds
therefore:
1. On October 28, 1998 Notice of Default was entered against Public Service
Company of Colorado in the aforementioned case.
2. Immediately after receipt of this Notice, counsel for Public Service Company
of Colorado notified Plaintiffs counsel, Banks & Imatani, that a default judgment should not
have been entered against Public Service Company inasmuch as the parties had a previous
agreement that Plaintiff would take title in this case subject to Public Service Company's
pre-existing easement rights in the property.
3. Counsel for Plaintiff, Banks & Imatani, confirmed in writing that any decree
entered in this case would recognize the rights of Public Service Company. Attached hereto
is a letter dated February 18, 1999 from Barbara S. Banks, counsel for Asphalt Paving
Company, confirming such.
4. So that the pleadings and record in this case clearly reflect Public Service
Company's continuing interest in this property, and to insure that its easement rights are
recognized in any final decree or order entered in this case, Public Service Company files
this Entry of Appearance. All parties in this case are heretofore requested to include Public
Service Company as a recipient on any pleadings filed in this case.

We acknowledge receipt of your correspondence dated February 8, 1999 concerning
the referenced matter. Due to some unexpected title issues, we have not yet been able to
finalize a draft of stipulated decree for your review. However, this letter does confirm our
intention that any such stipulation recognize the rights of Public Service Company in its
easement interest affecting the property.
