WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Community Update Program Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Geographical Information Systems, and Geographic Data Technology, Inc., with terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Community Update Program Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Geographical Information Systems, and Geographic Data Technology, Inc., be, and hereby is, approved. G P O i R 3 P I l I C _ b, FNOLLoGV COMMUNITY UPDATE PROGRAM AGREEMENT COMMUNITY UPDATE PROGRAM AGREEMENT made between Geographic Data Technology, Inc.,a Michigan corporation with its principal place of business at 11 Lafayette Street, Lebanon,New Hampshire 03766("GDT")and the County of Weld,a political subdivision of the State of Colorado,by and through the Board of County Commisioners of the County of Weld, a local government agency with its principal place of business at 915 10th Street, Greeley,Colorado 80631 ("Agency"). WITNESSETld WHEREAS,GDT is a geographic database and software development company which has developed the proprietary Community Update Program;and WHEREAS,Agency desires to participate in the Community Update Program in accordance with the terms and conditions of this Agreement; NOW, THEREFORE,in consideration of the foregoing and the mutual promises herein set forth,the parties hereby agree as follows: Article 1—Definitions 1.1. Definitions. Capitalized terms used in this Agreement shall have the following meanings: a) "Agency Street Centerline Data Layer" shall mean the geographic coordinates of all streets and other attributes as described in Attachment A for which Agency shall have unrestricted use and distribution rights. These data layers are public information as set forth in C.R.S.24-72-201,etseq. b) "Agreement" shall mean this document. c) "Community Update Server" shall mean the network server maintained by GDT containing information that is accessed through the Community Update Website. d) "Community Update Street Centerline Data Layer" shall mean the data on the Community Update Server that includes the geographic coordinates of all streets and other attributes for these streets as further described in Attachment A. e) "Community Update Website" shall mean all content located at GDT's web page at the following addresses: www.communityupdate.com or www.communitv-update.com. 0 "Community Update Database" shall mean all spatial and attribute data stored on the Community Update Server. g) "Effective Date" shall mean the date of this Agreement. h) "GDT Reference Data Layers" shall mean all data layers on the Community Update Server that are not available for editing by Agency and as further described in Attachment A. These data layers are confidential commercial,geological or geophysical data as defined in C.R.S.24-72-204(3)(a)(IV)and shall not be distributed by Agency except as set forth in Article 3 of this Agreement. i) "Licensed User" shall mean any party that downloads data from the Community Update Server or gains access to any part of the Community Update Database either from the Server or through any other means described within this Agreement. Weld County Community Update Agreement 10/2000 pg. 1 Agency 1i"_ j) "Local Geography" shall mean the geographic area within which Agency may access the Community Update Database for editing and downloads.Agency's Local Geography is defined by a set of ZIP codes mutually agreed upon by Agency and GDT. k) "Program" shall mean all activities for executing the development and utilization of the Community Update Database as performed within the terms of this Agreement by either party. Article 2—Grant and Acceptance of Rights and Responsibilities 2.1. Grant of Agreement to Agency. Subject to the provisions contained in this Agreement,GDT hereby grants to Agency and Agency hereby accepts non-exclusive,non-transferable rights: (a) to use and copy the Community Update Database for Agency's Local Geography solely to support the official business of Agency;and (b) to sublicense these rights to third parties,pursuant to Article 3 below. Further,Agency understands and acknowledges that the use of any content from the Community Update Database is"as is" and Agency is responsible to ascertain that the Community Update Database meets the Agency's requirements. 2.2 Obligations of Agency. As a condition to GDT's obligations under this Agreement,Agency shall at all times: (a) sustain an Agency initiative for maintaining a street centerline database that includes at least one official employee or representative of Agency charged with implementing such an initiative; (b) provide GDT with validations,corrections and additions to the Community Update Street Centerline Data Layer that include,but are not limited to,the location of all streets as well as the following attributes for these streets: left from address;left to address;right from address;right to address;street prefix; street name; street type; street direction suffix; (c) control the access to Agency's password; (d) maintain responsibility for registering guest users of the Community Update Database in accordance with the terms and conditions of sections 3.1;3.2 and 3.3 of this Agreement. (e) refrain from making any knowingly false or misleading statements, claims or representations with respect to GDT or the Community Update Database; (0 conduct its business in such a way so as not to damage the valuable reputation of GDT. 2.3 Grant of Agreement to GDT. Subject to the provisions contained in this Agreement,Agency hereby grants to GDT and GDT hereby accepts the perpetual right to license and utilize any and all of the data provided to GDT by the Agency. GDT accepts the responsibility for verifying and utilizing the data and shall hold the Agency harmless for any losses or damages, whether direct, indirect, incidental,consequential, special or exemplary, arising from the use of the Agency data. 2.4 Obligation of GDT. (a) sustain a best effort to develop and maintain the Community Update Database and the accuracy and desirability of its features and modules; GD7C,a,Ag_ Weld County Community Update Agreement 10/2000 pg. 2 Agency (b) maintain facilities,personnel, and equipment sufficient to support Program execution and Community Update Database use by the Agency and Licensed Users as detailed in this Agreement; (c) provide regular reports to Agency on the status of Agency contributions to the Community Update Database; (d) provide timely responses to all reasonable requests by Agency; (e) conduct its business in such a way so as not to damage the valuable reputation of Agency; (f) refrain from making any knowingly false or misleading claims or representations with respect to the Community Update Database or the Agency. Article 3—Distribution of Community Update Street Centerline and Reference Data Layers 3.1. Distribution to Agency. (a) Any regular Agency employee may download any data layer from the Community Update Database for that Agency's Local Geography for the sole purpose of supporting the official business of Agency. (b) Any regular Agency employee may share with any other Agency employee a copy of the Community Update Database within that Agency's Local Geography for the sole purpose of supporting the official business of Agency. (c) Agency is under no obligation to share a copy of the Community Update Database with third parties outside of Agency. (d) The conditions under which Agency and its employees may share a copy of the Community Update Database with third parties are completely held in Articles 3.2—3.5, except that Agency may share any information or data provided by Agency to GDT as set forth at C.R.S. 24-72-201,et seq. 3.2 Distribution to Non-Profits Muni alities or Local Government Agencies (a) Any Non-Profit, Municipality, or Local Government Agency with operations based within the Agency's Local Geography may request permission from Agency to download all data layers within that Agency's Local Geography from the Community Update Server. (b) Agency shall register the Non-Profit,Municipality, or Local Government Agency at the Community Update Website. (c) Non-Profit,Municipality, or Local Government Agency and their employees are subject to the conditions of the Enduser License Agreement as described in Attachment B. 3.3. Distribution to Commercial Entities. (a) Any commercial entity may request permission from Agency to download all data layers within that Agency's Local Geography from the Community Update Database provided the data will be used by the commercial entity solely for the purposes of supporting the official business of Agency. (b) Agency shall register the commercial entity at the Community Update Web site. (c) Commercial entity and its employees are subject to the conditions of the Enduser License Agreement as described in Attachment B. GD7 Weld County Community Update Agreement 10/2000 pg.3 Agency 3.4. Agency Distribution via Internet. Agency may publish any data layer from the Community Update Database on the Internet under the following conditions: (a) The data may be rendered as an image only in the following formats:TIFF, GIF,PNG,and JPEG. (b) Latitude and Longitude coordinate information contained in the Community Update Database can be delivered to endusers if truncated to two(2)decimal places and displayed as part of the map image. (c) The Display data shall not contain address ranges or ZIP+4 information.However, a point address may be displayed. 3.5. Proprietary Notice. In acknowledgment of the valuable property rights of GDT in the Community Update Database,Agency agrees to include the following notice on every copy of the Community Update Database: "©200_Geographic Data Technology,Inc. This product contains proprietary and confidential property of Geographic Data Technology,Inc. Unauthorized use, including copying for other than testing and standard backup procedures, of this product is expressly prohibited." This notice may be displayed with Agency's own proprietary notice as long as Agency notice does not detract from GDT's acknowledged property rights. If Agency generates either hard copy or electronic maps,the following notice must appear on each map: "©200_GDT, Inc." In both situations, "_" is the year in which the Product is released. 3.6. Notification of Violations. Agency shall promptly notify GDT when Agency acquires actual knowledge of any violations of the restrictions contained in this agreement. Article 4—Disclaimers of Liability 4.1. Disclaimer of Warranties. GDT WARRANTS THAT IT OWNS OR HAS THE FULL RIGHT AND AUTHORITY TO LICENSE THE COMMUNITY UPDATE DATABASE AND THAT THE COMMUNITY UPDATE DATABASE WILL CONFORM IN ALL MATERIAL RESPECTS TO THE PUBLISHED SPECIFICATIONS RELATED THERETO. EXCEPT AS EXPRESSLY STATED IN THIS ARTICLE 4, GDT DISCLAIMS ALL OTHER EXPRESS OR IMPLIED WARRANTIES REGARDING THE COMMUNITY UPDATE DATABASE INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 4.2. Limitation of Damages. GDT disclaims and shall not be liable for any losses or damages,whether direct,indirect,incidental, consequential, special or exemplary,arising from the use of the Community Update Database. Article 5—Proprietary Information 5.1. Proprietary Information. GDT,Agency and their respective employees and agents shall hold in confidence all proprietary information of the other which is disclosed to such party in connection with this Agreement and the transactions contemplated hereby, and which is so designated in writing by the disclosing party including,without limitation, information concerning Endusers and prospective Endusers,and financial and technical information. Each party shall use reasonable diligence, and in no event less than the degree of care which such party uses in respect to its own proprietary information of GD _ Weld County Community Update Agreement 10/2000 pg. 4 Agency IL like nature, to prevent the unauthorized disclosure or reproduction of such information.Proprietary information shall exclude information in the public domain. Upon the expiration or termination of this Agreement for any reason, each party shall promptly destroy or return to the other party,with the explicit exclusion of the Agency Street Centerline Data Layer, all tangible embodiments of proprietary information in such party's possession or under its control and provide to other party an affidavit, signed by an officer or other authorized individual stating that: "The provisions of this Section 5.1 shall survive the termination of this Agreement." Article 6—Term 6.1. Term of Agreement. The term of this Agreement is for one year("Initial Term"). This Agreement shall continue thereafter for successive one year renewal periods until either party gives written notice at least ninety(90)days prior to the then current term that it elects not to renew this Agreement. Article 7—Termination 7.1. Without Cause. At any time after the Initial Term either party shall have the right to terminate this Agreement without cause upon ninety(90)days written notice to the other party. 7.2. For Cause. This Agreement may be terminated forthwith by either party in the event that: (a) except as provided in Section 7.2(b)below, GDT or Agency commits a material breach of any material obligation hereunder which is not remedied to the reasonable satisfaction of the other party within thirty(30)days after receipt of written notice specifying such breach; (b) either party engages in a course of conduct that has injured the reputation of the other party or the Community Update Database as the case may be and such party does not discontinue said conduct within ten(10)days after receipt of written notice thereof; 7.3. Rights and Obligations of Agency unon Termination Upon termination of this Agreement under this Article 7,Agency shall: (a) keep in its possession a copy of the most recent Community Update Database with all associated rights and obligations for using these data; (b) immediately discontinue distribution of the Community Update Database outside Agency; and (c) provide an affidavit signed by an officer,or other authorized individual,attesting to the performance of items 7.3(a)-(b)and acknowledging the continuing obligations regarding proprietary information under Article(5). 7.4. Rights and Obligations of GDT upon Termination. Upon termination of the Agreement under this Article 7, GDT shall have the continued and unrestricted rights to utilize any and all data acquired from Agency while this Agreement was still in effect. 7.5. Endusers'Rights upon Termination. The termination of this Agreement shall not interfere with the rights of Licensed Users to use the Community Update Database as limited by the enduser license requirements set forth in Article 3 of this Agreement. Article 8—Miscellaneous Provisions 8.1. Fees. There are no fees associated with this Agreement. CD Weld County Community Update Agreement 10/2000 pg. 5 Agency jck-- 8.2. Ownership of the Community Update Database. (a) Title and all ownership and proprietary rights to the Community Update Database and all derivatives thereof shall remain with GDT which shall indemnify Agency against any claim of intellectual property rights or infringement. (b) The termination of this Agreement,for any reason, shall not affect the right of GDT to continue commercial use of the data obtained while the agreement was in force. 8.3. Future Cooperation. Each of GDT and Agency agrees from time to time at the request of the other party to discuss in good faith with the other party proposed modifications and enhancements of the Community Update Database and the Program. The parties further agree to make available such management and support personnel as may be reasonably necessary for the good faith evaluation and discussion of such proposals. 8.4. Relationship of the Parties. This Agreement does not constitute a partnership or joint venture and nothing herein contained is intended to constitute,nor shall it be construed to constitute, the parties as partners,or co-venturers of each other. Except as expressly provided in this Agreement,neither party shall have any power or authority to act in the name or on behalf of the other party except with the express prior written consent of such other party. 8.5. Publicity. If either party wishes to issue a press release or engage in marketing activities in connection with the activities contemplated in this Agreement, such releases will be subject to prior review and written approval of the other party,which shall not be unduly withheld. 8.6. Consents. Any consent required under this Agreement shall not be unreasonably withheld or delayed. 8.7. Waivers. No failure or delay by either party in enforcing any right or remedy under this Agreement shall be construed as a waiver of any future or other exercise of such right or remedy,or of any other right or remedy,by such party. 8.8. Entire Agreement:Amendment. This Agreement constitutes the sole and entire agreement of the parties as to the matter set forth herein and supersedes any previous agreements,understandings and arrangements between the parties relating hereto. Except as otherwise expressly provided herein,any amendment to this Agreement must be in writing and signed by an authorized representative of each party. 8.9. Successors and Assigns. The Agreement shall be binding upon the parties hereto and their respective successors and assigns,and shall not be construed to confer any right,interest or benefit in favor of any other person. Notwithstanding the foregoing,Agency may not assign or transfer its rights and interests under this Agreement, in whole or in part, without GDT's prior written consent, which consent shall not be unreasonably withheld. 8.10. Governing Law. The Agreement shall be governed by the laws of the State of Colorado without reference to conflicts of law principles. The parties shall submit any dispute arising under this Agreement to mediation. The mediator shall be selected upon mutual agreement of the parties. The parties shall divide the mediator's costs equally. Hearings shall be held in the District Court for the Twentieth Judicial District of Colorado,Boulder,Colorado. 8.11. Captions. Article and Section headings used herein are for convenience only and are not a part of this Agreement and shall not be used in construing it. 8.12. Counterparts. This Agreement may be executed in any number of duplicate counterparts,each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Severability. If any provision of this Agreement or the application thereof to any party or circumstance shall to any extent be invalid or unenforceable in any jurisdiction,that provision shall be severed from this Agreement as to such jurisdiction(but,to the extent permit by law,not elsewhere),and shall not affect the remainder hereof. 8.15. ("GDT"). DEFINITIONS: As used in this Agreement, "Data"means the material you have downloaded from the Community Update Server or directly from an Agency distributing data within the conditions of the Community Update Program Agreement. "Data Copies"means the actual copies of all or any portion of the Data, including backups,updates, and merged or partial copies. "Password" means any alphanumeric string supplied by Agency or GDT, and used by enduser to download data. "Related Materials"means all of the printed materials downloaded,and the non-Data downloaded,or otherwise supplied by or from GDT for use with the Data. "License"means the grant of certain limited rights to use and maintain the Data,Data Copies, and Related Materials. GDT specifically retains title to all GDT Data and Related Materials,and GDT licensors retain title to items owned by them. DURATION: This Agreement is effective from the day you acquire the Data and continues indefinitely.If you fail to comply with any provision of this Agreement,termination is automatic,without notice from GDT and without the necessity for recourse to any judicial authority.UPON TERMINATION,YOU MUST DESTROY ALL DATA AND RELATED MATERIALS ACQUIRED AS PART OF THIS AGREEMENT. USES PERMITTED: You may use Data on a personal computer accessible only by you solely for your internal purposes.No part of the Data or any derivation thereof,shall be disclosed to third parties or used for the benefit of third parties, other than authorized agents of the Licensee. In no event shall Data be used for the benefit of third parties,without GDT's express written permission.The foregoing notwithstanding,you may publish the Data and/or Data Copies on your World Wide Web home page as an image only.Under no circumstances may you allow third parties to download the Data and/or Data Copies from your home page.Any products generated from the Data shall not be disclosed, licensed,or sold, in whole or in part, to any third party,without GDT's express written permission. Other than copies for backup and archival purposes,you shall make no copies of the Data or any part thereof,without the express written consent of GDT. All Data Copies made shall remain the property of GDT under the terms of this Agreement. PASSWORDS:You may not reveal or distribute the Password used to download data. GDT reserves the right to make passwords unusable at any time without prior notification to enduser. GENERAL: This Agreement represents the entire understanding and agreement regarding the Data,Data Copies, and Related Materials, and supersedes any prior communication, advertising, or representation,and may only be modified in a written amendment signed by an authorized GDT representative or by a specific prior or subsequent written agreement between the parties.
