Wacker and Vicky Wacker, as Lessors, and North American Resources Company,as Lessee, dated October 16, 1999,recorded at reception#2736871 of the records of Weld County, Colorado; and, WHEREAS, this lease and easement covers and pertains to certain surface use rights as more fully described in said Lease; and, WHEREAS,the legal description detailed on page 1 of the Lease encompasses more lands than are required by North American Resources Company; and, WHEREAS, it is the desire of the parties to the Lease to amend only the legal description therein to cover those lands currently being used by North American Resources Company. All other terms and conditions of the Lease are to remain in full force and effect. The parties agree that Lessee shall access the above compressor site by virtue of an existing road situated along the southern boundary line and depicted in Exhibit A attached to this agreement. 2. Term: Subject to the other provisions herein contained, this lease shall remain in force for a period of ten (10) years from the effective date, and for so long as Lessee pays to Wacker the rentals described below. 3. Rental and Tax Payments: a. The amount of the annual lease payment (" rentals" ) shall be $100.00 (One Hundred Dollars) per year. The due date for rental payments shall be October 16th of each year, which shall be considered the anniversary date of this lease. Except for the period of inception through. Lessee shall pay all ad valorum taxes assessed against the lands covered by this lease for all years this lease remains in effect. Lessee shall ask the Weld County Assessor separately to assess the 2.5 acre parcel for ad valorem taxes and to mail the tax notice directly to Lessee. If, however, the Assessor refuses to separately assess the 2.5 acre parcel or sends the tax notice to Wacker , then Wacker shall mail Lessee a copy of the paid Weld County Tax Notice for the property along with an invoice for the taxes attributable to the 2.5 acre parcel, and Lessee shall pay such invoice within 30 days after its receipt. upon termination of this Lease and Easement, the Easement and all rights associated therewith shall also terminate. 4. Manner of Payments: Rental payments may be made either by Lessee delivering a check to Wacker , or by Lessee depositing a check payable to Wacker in the U.S. Mail, addressed to Wacker at the above address or at such address as Wacker shall hereafter provide in writing to Lessee, on or before October 16 preceding the 12-month period for which said rental is being made. Thereafter, annually, in like manner and upon like payments or tenders of the rentals, this lease shall be maintained in full force and effect. 5. Savings Clause: If Lessee fails to timely make a required annual lease payment (or a real property tax reimbursement as described in Paragraph 3.b) , Wacker shall notify Lessee by certified mail of such failure. Should Lessee, within 30 days of receipt of such notice, fail to mail or deliver the required payment to Wacker, then this lease shall terminate as to both parties, subject to the rights of Lessee to remove its equipment as elsewhere described herein. 6. Permit Period Provisions: The parties recognize that Lessee, if not already done, may be required to obtain (i) a permit from the Colorado Department of Health Air Pollution Control Division, (ii) an Air Pollution Emissions Notice (APENS) permit, and (iii) other required governmental permits, subdivision exemptions, licenses, and documents, if necessary. Therefore, Lessee has paid Wacker the sum of $10.00 (Ten Dollars) as consideration for the granting of this Lease, and shall not owe Wacker the remaining $90.00 of the rental for the period of from inception through October 16, 1999 unless and until all necessary permits, exemptions, licenses, and documents have been obtained. Lessee agrees to promptly apply for and diligently pursue, all such permits. In the event any permit which Lessee considers necessary for the facility is denied, or if Lessee elects not to proceed with installation of proposed facilities on the subject lands, then this Lease, upon notification in writing to Wacker by Lessee of such election, shall terminate and be of no further force and effect, and the $10.00 paid to Wacker by Lessee for the granting of this lease shall remain the property of Wacker. Within 30 days following the date on which Lessee receives the last required permit, license, exemption, or document, Lessee shall pay Wacker the remaining $90.00 (Ninety Dollars) rental due for the period from inception through October 16, 2000. For example, if Lessee receives the final proper authorization and approval for the compressor on October 22, 1999, then Lessee shall be obligated to make payment to Wacker of the remaining $90.00 on or before November 22, 1999. 7. Surrender of Lease: Lessee shall not be obligated to commence or continue any operations during the term of this lease, but may at any time surrender this lease and be relieved of all obligations thereafter accruing by recording and delivering to Wacker a release; provided, however, that Lessee shall be obligated promptly to restore the premises as near as practicable to their original condition and to remove all of its equipment and fixtures. NAACO shall reseed the premises with appropriate native grasses to ensure permanent vegetative cover. Damages: The initial consideration paid for this lease includes payments for the use of the land and for damages to Wacker's land and growing crops occasioned by the construction of the facility and the installation of pipelines and access roads to and from such facility; provided, however, that Lessee shall pay for any and all environmental damages caused by Lessee to the lands herein leased. 9. Fencing: Lessee shall construct and maintain a fence adequate to keep out livestock around its facility on the leased land and shall secure the facility with a locked gate. 10. Equipment Removal: Lessee shall have the right, at any time, before or after termination of this lease, to remove all or any part of its equipment, fixtures, and pipelines on the leased lands. 11. Compliance with Laws: All operations shall be performed in substantial compliance with all rules, regulations, and orders of the Environmental Protection Agency, the Colorado Oil and Gas Conservation Commission, the Colorado Air Quality Control Commission, and all other governmental agencies having jurisdiction. 12. Indemnification: Lessee agrees to indemnify and hold Wacker harmless from and against all claims, actions, causes of action, damages, and injuries to persons or property, including without limitation those relating to environmental protection, which may arise out of operations conducted by Lessee or its assigns on the leased lands; provided, however, that if Wacker, under the provisions of Paragraph 14, below, has obtained reasonably satisfactory indemnity or bonding from the proposed assignee, then Lessee shall be released from all liabilities contained in this Paragraph 14 arising from activities after the date of Lessee's assignment. The indemnity of Lessee herein contained shall survive any assignment as to all claims arising out of activities under this lease prior to the date of Lessee's assignment. 13. Assignment by Wacker: No change in ownership of Wacker's interest (by assignment or otherwise) shall be binding on Lessee until Lessee has been furnished with notice, consisting of certified copies of all recorded instruments or documents and other information necessary to establish a complete chain of record title from Wacker, and then only with respect to payments thereafter made. No other kind of notice, whether actual or constructive, shall be binding on Lessee and Lessee may continue to make rental payments precisely as if no change had occurred. No present or future division of Wacker's ownership as to different portions or parcels of said land shall operate to enlarge obligations or diminish the rights of Lessee, and Lessee's operations may be conducted without regard to any such division. 14. Assignment by Lessee: . The rights of Lessee as described herein may be assigned in whole or in part. Lessee's assignee shall assume all obligations hereunder and shall furnish an indemnity or bond. Lessee shall furnish Wacker with copies of all instruments to transfer. 15. Warranty and Subrogation: This lease is executed by Wacker without any warranties of title, express or implied. Lessee, at its option, may purchase or discharge in whole or in part any tax, mortgage or other lien upon the premises herein leased to Lessee, or may redeem the same from any purchaser at any tax sale or adjudication, and shall be subrogated to the rights of the holder thereof. 16. Powers of Attorney and Further Assurances: Wacker, and its successors and assigns, as a matter of convenience, hereby make, constitute, and appoint Lessee, and any employees, agents, or representatives of Lessee, as Wacker's agents and attorneys-in-fact, to do all things that Wacker might do, to obtain any necessary permits, licenses, and similar approvals or consents in connection with activities conducted under this lease. A copy of this Lease shall be as valid as the original for purposes of proof of the powers of attorney herein granted. Tenants: Wacker agrees that any and all claims by agricultural and other surface tenants, if any, for damages shall be settled by Wacker without recourse to NARCO. 18. Headings: All headings herein are for convenience and shall not be considered when construing any of the provisions of this lease. 19. Binding Effect: This lease shall be binding upon and inure to the benefit of the parties hereto, their successors and assigns.
