EXHIBIT 12 7 r r USE BY SPECIAL REVIEW FOR TELECOMMUNICATIONS FACILITY Present Use of the Property The subject property is currently described and zoned as agricultural. Proposed Use of the Property A telecommunications facility to consist of the following: • 150' monopole with new 3-sector 4-panel antenna array. Pole to be painted color desired by the jurisdiction. • Three new S-800 BTS cabinets, plus power and telco cabinets on a 9' x 18' concrete slab. The maximum height of these cabinets is six feet. • Entire lease parcel of 600 square feet to be enclosed with 6' high chain link fence topped with three strands of barbed wire. • Twelve foot wide ingress-egress access and utility easement. The lease area for this telecommunications facility is located approximately 195 feet west of Weld County Road 15, and 90 feet south of an oil holding tank and its equipment. The purpose of this new installation is to provide cellular phone service to residents as well as visitors to the Town of Firestone and surrounding areas of southern Weld County and Frederick and Dacono. VoiceStream considered several locations, but, while the area is primarily developing rural residential, this location is already impacted by some industrial uses, namely the oil holding storage facility immediately adjacent to the lease area. Consistency with the Weld County Comprehensive Plan This use is consistent with the Weld County Comprehensive Plan in that it clusters communications users in an area zoned agricultural, which is an important part of the County's master plan. Since VoiceStream has collocation agreements with the other major carriers, who can place their antennas on this monopole, thus reducing the number of different telecommunications facilities in the area. Consistency with the Weld County Zoning Ordinance and the A Zone District A telecommunications facility is consistent with the Weld County Zoning Ordinance and particularly the A Zone District, which provides for the development and operation of a a communication transmission tower. Communication transmission or relay tower over seventy feet in height are permitted as a Use by Special Review in the A Zone District. Reclamation Procedures As part of the lease agreement with the property owners, VoiceStream is responsible for removing all of their facilities at the termination of the lease and for returning the property to its original condition, normal wear and tear excepted. Storm Water Drainage No additional storm water of significant amount will be generated by this proposed use, and therefore, no mitigation is required. Timing for Construction and Landscaping Construction normally begins within three months after zoning approval and building permits are obtained and takes an average of two to four weeks to complete. If landscaping is required, it will be installed during the construction phase. Storage and/or Stockpile of Wastes No waste will be generated by this use. Surrounding Land Uses Following are the land uses surrounding the property: • North - Oil holding tank and its equipment • South - landowner's house • East -vacant land/WCR 15 • West - vacant land/WCR 13 The proposed use is consistent and compatible with surrounding land uses in that the only proposed structure is minimal in bulk. There will be no additional employees on site; no noise or fumes will be emitted; and any increased traffic will be limited to infrequent maintenance after the initial construction period. The telecommunications facility is located several hundred feet from all of the surrounding land uses, and over one hundred and fifty feet from the public right-of-way. For the purpose of this Lease, all references to "month" shall be deemed to refer to a calendar month. If the Commencement Date does not fall on or before the fifth day of the month, then Rent for the period from the Commencement Date to the last day of the month shall be prorated based on the actual number of days from the Commencement Date to the last day of the month. (b) If this Lease is terminated at a time other than on the last day of a month, Rent shall be prorated as of the date of termination for any reason other than a default by Tenant, and all prepaid Rent shall be refunded to Tenant. 5. Renewal. (a) Tenant shall have the right to extend this Lease for five additional, five-year terms ("Renewal Term"). Each Renewal Term shall be on the same terms and conditions as set forth herein, except that Rent shall be increased by twelve percent (12%) of the Rent paid over the preceding term. (b) This Lease shall automatically renew for each successive Renewal Term unless Tenant shall notify Landlord, in writing, of Tenant's intention not to renew this Lease, at least 60 days prior to the expiration of the term or any Renewal Term. Improvements; Utilities; Access. (b) Tenant, at its expense, may use any and all appropriate means of restricting access to the Antenna Facilities, including, without limitation, the construction of a fence. (c) Tenant shall, at Tenant's expense, keep and maintain the Antenna Facilities now or hereafter located on the Premises in commercially reasonable condition and repair during the term of this Lease, normal wear and tear excepted. Upon termination of this Lease, the Premises shall be returned to Landlord in good, usable condition, normal wear and tear excepted. (d) Tenant shall have the right to install utilities, at Tenant's expense, and to improve the present utilities on the Premises (including, but not limited to the installation of emergency power generators). Insurance and Subrogation. (a) Tenant will provide Commercial General Liability Insurance in an aggregate amount of $1,000,000 and name Landlord as an additional insured on the policy or policies. Tenant may satisfy this requirement by obtaining the appropriate endorsement to any master policy of liability insurance Tenant may maintain. (b) Landlord shall be responsible for, and shall promptly conduct any investigation and remediation as required by any Environmental Laws or common law, of all spills or other releases of Hazardous Substance, not caused solely by Tenant, that have occurred or which may occur on the Property. (hereinafter collectively referred to as "Mortgagees" and individually as "Mortgagee"), provided such Mortgagees agree to be bound by the terms and provisions of this Lease. All such notices to Mortgagee shall be sent to Mortgagee at the address specified by Tenant upon entering into a financing agreement. Failure by Landlord to give Mortgagee such notice shall not diminish Landlord's rights against Tenant, but shall preserve all rights of Mortgagee to cure any default and to remove any property of Tenant or Mortgagee located on the Premises, as provided in Section 17 of this Lease. 16. Successors and Assigns. This Lease and any easements granted herein shall run with the land, and shall be binding upon and inure to the benefit of the parties, their respective successors, personal representatives and assigns. 17. Waiver of Landlord's Lien. Landlord hereby waives any and all lien rights it may have, statutory or otherwise, concerning the Antenna Facilities or any portion thereof which shall be deemed personal property for the purposes of this Lease, regardless of whether or not the same is deemed real or personal property under applicable laws, and Landlord gives Tenant and Mortgagee the right to remove all or any portion of the same from time to time, whether before or after a default under this Lease, in Tenant's and/or Mortgagee's sole discretion and without Landlord's consent. 18. Miscellaneous. (a) The substantially prevailing party in any litigation arising hereunder shall be entitled to its reasonable attorneys' fees and court costs, including appeals, if any. (b) Each party agrees to furnish to the other, within ten (10) days after request, such truthful estoppel information as the other may reasonably request. (c) This Lease constitutes the entire agreement and understanding of the parties, and supersedes all offers, negotiations and other agreements. There are no representations or understandings of any kind not set forth herein. Any amendments to this Lease must be in writing and executed by both parties. (d) If either party is represented by a real estate broker in this transaction, that party shall be fully responsible for any fee due such broker, and shall hold the other party harmless from any claims for commission by such broker. (e) Each party agrees to cooperate with the other in executing any documents (including a Memorandum of Lease in substantially the form attached as Exhibit E) necessary to protect its rights or use of the Premises. The Memorandum of Lease may be recorded in place of this Lease, by either party. (t) This Lease shall be construed in accordance with the laws of the state in which the Property is located. (g) If any term of this Lease is found to be void or invalid, such invalidity shall not affect the remaining terms of this Lease, which shall continue in full force and effect. The parties intend that the provisions of this Lease be enforced to the fullest extent permitted by applicable law. Accordingly, the parties shall agree that if any provisions are deemed not enforceable, they shall be deemed modified to the extent necessary to make them enforceable. (h) The persons who have executed this Lease represent and warrant that they are duly authorized to execute this Lease in their individual or representative capacity as indicated. This project falls under the purview of the Weld County Use by Special Review Standards for a major facility of a public utility. Our comments and requirements are as follows: COMMENTS: Both WCRs 15 and 18 are designated in the Southwest Study Area Capital Improvement Needs area. REQUIREMENTS: Weld County Public Works recommends approval of this application. Item # 10.5.10 states that a flagpole configuration should be avoided where possible. The minimum width of a flagpole lot shall be 30 feet. The applicant shall provide verification from all utility companies utilizing this easement that the 12-foot access easement is adequate. If any utility company disapproves, the 30-foot requirement shall be enforced. The applicant has identified a 12-foot access lane with a 13-foot gate opening, with no turnaround provided. The applicant has indicated that this lane will not be fenced. The Pattons will allow vehicle turnaround adjacent to the facility so that vehicles will not have to back into the lane of traffic. The access point is being shown on the drawing incorrect. The existing radius is actually south of the 13-foot gate opening. No additional accesses will be created. The applicant shall use the existing access to the property. The access width requirement for emergency equipment (fire department) is a minimum of 20 feet. The applicant indicated that it has been cleared with the fire department and emergency services that the width of the access and lane shall be adequate for emergency purposes. The applicant shall supply documentation to that effect. A monopole tower appears to be adjacent to the north property line on the plat drawing. If this is the situation, then the applicant shall reconfigure the lot size and the access lane with appropriate setbacks from the property lines. Lupton, Colorado Job No. 13249 Mr. Stansbury, This report presents the results of a Phase I Geologic Hazards Assessment for a proposed Voicestream Communications Facility to be located at the Patton Property Site, Site number DN 3032-D, located at 7639 Weld County Road 15 in Ft. Lupton, Weld County, Colorado. The purpose of the Phase I study was to address the requirements of the Weld County Department of Planning Services, Geologic Hazard Overlay District Application pertaining to the presence of underground coal mines in the area of the subject property. The intent of our study was to try to qualify the risk of constructing a steel monopole communications tower and associated equipment in an area of geologic hazard due to underground coal mines. Scope of Work The Phase I assessment consisted of a review of available geologic information and development of details for possible subsurface investigation (Phase II) to obtain site-specific information should further study be required. Our Phase I activities included the following: • A review of readily available published geologic and subsurface mining information concerning the site and surrounding area, such as mine maps, geologic maps, and mine hazard studies conducted in the area in the past. This included work by Amuedo and Ivey, the Colorado Geological Survey, our firm, and others. A reference list is attached. • A review of a site-specific soils and foundation investigation and foundation design prepared for the project by American Consulting Group, Inc. • A review of aerial photographs of the area in order to check for evidence of subsidence features. • A field reconnaissance of the site and immediate surrounding property. The proposed lease parcel is a portion of a larger 4-acre property. The lease parcel size is proposed to be 12 feet by 50 feet and was originally to be located along the extreme northern edge of the aforementioned property. The ground surface elevation at the proposed tower location is about 5040 feet. The portion of the USGS topographic map depicting the location of the site is presented as Figure 1. NOTE: During the course of our study, we informed you of our preliminary results and the risks associated with building at the original location at the extreme north edge of the property, where the tower would be over the mined area. The site was then moved south and east away from the mined area, as discussed below. Our report has retained a discussion of the hazards associated with the original location for reference, but our final conclusions have changed in response to the move to the final location. Weld County has a long history of coal mining. A portion of one of these underground mines, the Grant Mme, is located under the originally proposed lease parcel. The Grant Mine was worked from 1914 through 1939, with work beginning under the site in 1937. The general extent of coal mining in the area surrounding the site, as reported by the Colorado Geological Survey (CGS), is indicated on Figure 2. Details of the Grant Mine underground workings are presented on Figure 3. It should be noted that we have shifted the location of the mine workings approximately 80 feet south and 20 feet east of the location indicated on the 1989 CGS ortho-photo map of the Grant mine. This change is based on our conclusion from previous studies in the immediate area that the location of the northeast section corner of Section 30 shown on the ortho-photo is incorrect. This conclusion was supported by the locations of original mine features and the Coal Ridge Ditch shown on the original mine map, identifiable in the field in Section 19 north of the site. Mother indication that our relocation was correct is the linear unmined area along the section line between Sections 19 and 30, which lies under Grant Street after our relocation. Our final conclusions are based on the new mine location being further south and east than indicated on the ortho-photo with the overlay of the mine map. It should be noted that moving the mine south and east increases the perceived risk to the new site location. If the mine were further north and west as indicated on the hazard map, the new location has even less risk than anticipated in this study, and our conclusions are therefore conservative. The site is underlain by the Laramie Formation of Cretaceous age. The Laramie formation consists mainly of claystone, siltstone and fine-grained sandstone deposited in a deltaic environment. The formation includes several thin coal beds that have been mined extensively in the Boulder-Weld Coalfield. The southern part of the Grant Mine lies under the entire site. Mining removed a 5 to 8 foot thick coal bed at an estimated depth of 247 feet below ground surface. Mining occurred between 1914 and 1939, with the area under the site having been worked between 1937 and 1939. No mine openings were located near the proposed lease location. The main shaft and airshaft were north of the site in Section 19. Subsidence Modes Subsidence above mined areas occurs in several ways. Possible subsidence modes at the site include: I) If mined area is sufficiently wide, the mine roof is not able to support itself and collapses into the mine void. With shallow mining, the collapse results in sinkholes, sags or depressions at the surface. If the mining is deep enough, normally on the order of ten or more times the seam Geologic Hazard Assessment Job No. 13249 Page 3 thickness, the collapse zone typically does not reach the surface and sinkholes do not form, except around the vertical shafts used for ventilation and/or access at mines. Overburden is about 20 to 40 times the seam thickness at the site, so sinkholes are not likely and none are known to have occurred in the site area. The only former mine openings are off the property to the north. Surface sags normally occur over mines areas; however, the lateral extent and amount of subsidence is dependent on the size of the mined area, the coal thickness, and the depth of the coal. Review of the topographic map with 1-foot contours for the surrounding property and accompanying aerial photographs obtained for the site area, plus our site observations, indicate surface depressions exist over parts of the most extensively mined areas north and west of the proposed lease parcel. The depressions are presented on the topographical map on Figure 4. It should be noted that no depressions were observed on the Patton Property. 2) Pillars and walls of coal remaining after completion of mining may not be of sufficient size or strength to support the roof over time, as the coal loses strength due to deterioration and sloughing of the pillar sides. Later pillar collapse may have the effect of enlarging adjacent mined areas with the potential of then extending subsidence that previously had occurred. Alternatively, more localized new subsidence areas may form. 3) If the material underlying the coal has relatively low strength, the coal pillars may punch into the floor of the mine. This probably would be associated with heaving of the mine floor into the mined area. In this case, subsidence over mined areas should not be as great as if the mined void had been filled by roof collapse, but downward movement of the pillars could tend to induce subsidence over the pillars. In summary, subsidence is potentially very complex particularly over areas of partial mining, as is the case under the originally proposed monopole location. Subsidence Effects As the ground surface sags over mined areas, both vertical and horizontal movements occur. The greatest vertical movements normally would be over the center of a mined-out area with lesser amounts towards the edges. The total movement may affect features sensitive to elevation changes, such as gravity-flow sewer ' lines, and intersections between utility lines and building walls. Differential vertical movements may also distort and damage structures such as a masonry house located near the edge of a mined area. Horizontal movements are also induced. The ground surface tends to move towards the center of the sag, inducing tensile strains near the edges and compressive strains in the center of the sag. The tensile strains tend to pull apart relatively inflexible structures such as those constructed of masonry at the edge of mining, and compressive strains may increase earth pressures on underground walls near the center of mining. Areas of most likely differential movements are the zones near the boundaries between completely unmined areas, if subsidence has not yet stopped. Of secondary concern are: the zones between complete mining and partial mining with less than the 50 percent coal removed, and the zones between unmined areas and partial mining with more than 50 percent coal removed. In these areas, the long-term stability of remaining coal Geologic Hazard Assessment Job No. 13249 Page 4 pillars causes uncertainty about future collapse in the mine and associated subsidence at the surface. Based on the mine map, the original tower location appeared to be near the boundary of an area to the east with more than 50 percent removal (where pillars were robbed upon retreat), and an area to the west where pillars were not removed and less than 50 percent removal exists. The revised location puts the tower in an unmined area, east and south of mine workings. While no subsidence features were observed on the subject site, numerous large features were observed on the adjacent properties to the north, west, and east. These features were investigated by field observations and through the study of aerial photography. Observed subsidence features are illustrated on Figure 4. Coal Mining Our interpretation of mined conditions is presented on Figure 5 and summarized below. These include: • Areas reportedly not mined. These areas naturally will not be subject to subsidence except possibly along the perimeter of mined areas. • Areas reportedly entirely mined, where all supporting pillars or walls were removed. The greater part of these areas are also of limited concern, because subsidence likely occurred soon after mining ceased. However, further subsidence may be possible at the perimeter of these areas. At the perimeters, differential movement near the ground surface would be possible which may affect strictures. • Areas partially mined with more that 50 percent of the coal removed. These areas may or may not have collapsed and subsided. Accordingly, they are of the most concern, both with regard to future subsidence and to inducing differential lateral movements near the surface. Recent development over this type of mined area has been avoided. Drilling in the partially mined areas is needed to evaluate the extent of collapse, so the risk of future subsidence can be evaluated. • Areas partially mines with less than 50 percent of the coal removed. These areas probably have not collapsed nor subsided, and probably will not in the future. Drilling will evaluate partially mined areas to determine the condition of both the mine openings and pillars and the risk of distress to structures associated with future subsidence. Preliminary Conclusions The originally proposed tower location at the extreme north end of the property appeared to be over a mined area in a highly complex configuration. The original tower location was at the east end of a haulage route in the Grant mine where less than 50 percent extraction occurred and on the west edge of a completely mined out area, and between areas where more than 50 percent of the coal was removed(to the north and south). Concern was expressed by our office during preparation of this report regarding this location, since we basically confirmed the severe hazard ranking on the Weld County hazard map from the above conditions. The greatest subsidence risk is over areas of partial mining, where more than 50 percent of the coal was removed, as the remaining pillars are susceptible to collapse, if they have not already done so. Totally mined Geologic Hazard Assessment Job No. 13249 Page 5 areas are presumed to have collapsed soon after mining and the subsidence risk is limited. An example of this kind of area can be seen to the north of the site, where subsidence over a completely mined area is apparent. The combination of partially and totally mined areas under the original site made it very difficult to characterize the degree of risk in any further detail without a drilling program to document actual mine locations and conditions, and using that information to arrive at a risk for construction of the proposed structure. The proposed revised tower location was arrived at after discussions with the landowners, and the new location places the tower over an unmined area with a much lower risk of either subsidence or ground strains. The location appears to be south of a totally mined area and east of a haulage-way with less than 50% extraction. It should be noted that the haulage-way appears to extend near or under the house location, and no damage was reported to either the house or oil tanks and gas lines north of the original site during telephone interviews held during this study. As discussed above, areas with less than 50 percent extraction are generally not considered prone to subsidence. The most conservative action at this time would be to move the tower as far away as possible from the mined area. Moving the tower to a distance of one-half the depth of mining plus 25 feet (about 148 feet) would be a very safe distance, based on our understanding from the CGS on past studies. This is a conservative figure without information on mine conditions. The only completely safe place on the Patton property appears to be southeast of the house,but we understand this location is not an option. Since the proposed revised location is not over a mined area, the subsidence risk is essentially nil. There is a risk of extensional strains in the proposed area, but this type of movement affects primarily long, brittle structures where differential movements can cause damage with relatively little movement. In the case of a tower with a very short (4 feet wide) foundation drilled well into bedrock, differential movements should be very low. Although horizontal strains will be magnified by the height of the tower, we believe the new location represents a low risk of detrimental movements. It should be noted that the expected ground strains would be towards the larger mine openings, or to the north. The revised tower location is about 300 feet south of the property line, and a vacant field exists from the tower location north to the property line. The extensional strains, if ever developed, would tend to tilt the tower to the north, where no structures are located within the tower radius. If in the highly unlikely event of a foundation failure, the direction of tilt should be towards this open field, where a very low risk of loss of life is present due to a lack of occupied structures. Limitations Our conclusions have been reached based on a review of literature and field observations, and no field exploration was conducted as part of this Phase I study. Since many unknowns exist when evaluating risks associated with mined areas in the Boulder-Weld Coalfield, our conclusions must be viewed with the uncertainty inherent in our review. A field exploration program (Phase II) including drilling, coring, and testing would be needed to verify actual mine conditions and locations in order to remove this inherent uncertainty and quantify the risk associated with the construction of the proposed tower. This location is due West of property owned by my brother, Edward A. Teets, my sister, Dorothy T. Clark, and me. We are currently actively engaged in trying to sell our NW1/4 Section of Section 29, and believe that the proposed tower, if approved, would significantly hinder our ability to do so. Likely buyers for our property are home developers, and we have worked hard to have our land incorporated into the town of Firestone. We have evidence of strong interest in our property for appropriate housing development, but location of the proposed tower would significantly degrade the view looking west from our property. We respectfully request that you deny the permit required to erect such a tower at the proposed location. This project falls under the purview of the Weld County Subdivison Exemption Standards for a major facility of a public utility. Our comments and requirements are as follows: COMMENTS: Both WCRs 15 and 18 are designated in the Southwest Study Area Capital Improvement Needs area. REQUIREMENTS: Weld County Public Works recommends approval of this application. Item # 10.5.10 states that a flagpole configuration should be avoided where possible. The minimum width of a flagpole lot shall be 30 feet. The applicant shall provide verification from all utility companies utilizing this easement that the 12-foot access easement is adequate. If any utility company disapproves, the 30-foot requirement shall be enforced. The applicant has identified a 12-foot access lane with a 13-foot gate opening, with no turnaround provided. The applicant has indicated that this lane will not be fenced. The Pattons will allow vehicle turnaround adjacent to the facility so that vehicles will not have to back into the lane of traffic. The access point is being shown on the drawing incorrect. The existing radius is actually south of the 13-foot gate opening. No additional accesses will be created. The applicant shall use the existing access to the property. The access width requirement for emergency equipment (fire department) is a minimum of 20 feet. The applicant indicated that it has been cleared with the fire department and emergency services that the width of the access and lane shall be adequate for emergency purposes. The applicant shall supply documentation to that effect. A monopole tower appears to be adjacent to the north property line on the plat drawing. If this is the situation, then the applicant shall reconfigure the lot size and the access lane with appropriate setbacks from the property lines. The Town suggests the following conditions be considered in any approval of the application: • Because the parcel on which the proposed facility is being located is an enclave and the use is more aligned with urban "development" rather than rural "non-urban development" as described in the Interim Coordinated Planning Agreement, the property should enter into an annexation agreement with the Town. • The color of the facility should be as neutral and unobtrusive as possible and should be screened with a similar color fence. • All construction traffic, including construction employees, should access the tower site only to and from the east and south and not from routes using Road 13. • Final engineering drawings and reports should be provided to the Town for review, to assess design and safety matters. The Town would also encourage the County to explore possibilities for reduced tower height and/or co-location of facilities to mitigate the impacts of this type of facility.
