Please be advised that Transamerica Public Finance LI.C, as assignee of the Lessor, has assigned all if its
right,title and interest in,to and under the Agreement,the equipment or other property leased thereunder and :he right
to receive rental and other payments thereunder to the following assignee(the "Assignee"), in its capacity as'I rustee
under the Pooling and Servicing Agreement dated as of November 30,2000(the "Pooling and Servicing A 4reement"),
among MBIA Capital Corp.,the Lessor and the Assignee:

Please acknowledge your acceptance of the assignment and your agreement to continue to make pay rents due
under the Agreement to the Lessor by the signature of a duly authorized officer in the space provided on the enclosed
