BEFORE THE WELD COUNTY, COLORADO, PLANNING COMMISSION RESOLUTION OF RECOMMENDATION TO THE BOARD OF COUNTY COMMISSIONERS Moved by Jack Epple that the following resolution be introduced for passage by the Weld County Planning Commission. Be it resolved by the Weld County Planning Commission that the application for: PLANNER: Chris Gathman CASE NUMBER: USR-1320 APPLICANT: Colorado Interstate Gas ADDRESS: c/o Joe Martinez, P.O. Box 1087, Colorado Springs, CO 80944 REQUEST: A Site Specific Development Plan and a Special Review Permit for a Major Facility of a Public Utility(50'Telecommunications Monopole Tower)in the A(Agricultural)Zone District. LEGAL DESCRIPTION: Part of the Northeast Quarter of Section 15, Township 3 North, Range 61 West of the 6th P.M., Weld County, Colorado. LOCATION: Approximately 1 mile east of Weld County Road 91 and 1/4 mile north of Interstate 76, sited on land to be leased from the State of Colorado LEASE PARCEL SIZE: 2500 Square Feet be approved for the following reasons: 1. The submitted materials are in compliance with the application requirements of Section 23-2-260 of the Weld County Code. 2. It is the opinion of the Planning Commission that the applicant has shown compliance with Section 23 (Division V) of the Weld County Code as follows: a. Section 23-2-400.A. --Reasonable efforts have been made to avoid irrigated crop land or to minimize the impacts on such lands in those cases where avoidance is impractical. The proposed telecommunications facility is located in an area designated as "Other" land according to the 1979 United States Department of Agriculture Soil Conservation Service Map. Surrounding land uses include four existing telecommunication towers, Interstate 76 to the south, and rangeland surrounding the area. No residences are located within two miles of this site. b. Section 23-2-400.B. --The facility will not have an undue adverse effect on existing and future development of the surrounding area as set forth in applicable Master Plans. The proposed facility is located outside of any intergovernmental agreement boundaries and outside of any three-mile referral areas for municipalities in the county. c. Section 23-2-400.C. --The design of the proposed facility mitigates negative impacts on the surrounding area to the greatest extent feasible.The proposed facility will be compatible with surrounding land uses. There are predominantly agricultural uses in the area. 2010-0705 #;L (20 6/ RESOLUTION, USR-1320 Colorado Interstate Gas Page 2 d. Section 23-2-400.D. --The site shall be maintained in such a manner so as to control soil erosion, dust, and the growth of noxious weeds. The Conditions of Approval and Development Standards will assure that there is no fugitive dust or erosion and will ensure the control of noxious weeds. e. Section 23-2-400.E. --The applicant has agreed to implement any reasonable measures deemed necessary by the Planning Commission to ensure that the health, safety, and welfare of the inhabitants of Weld County will be protected and to mitigate or minimize any potential adverse impacts from the proposed facility. f. Section 23-2-400.F. --The proposal will not require additional water demands on the site. The proposed location of the telecommunications facility will be unmanned and will not require water or sewage disposal. The conditions of approval and development standards minimize negative impacts on the existing agricultural uses and lands of the area. g. Section 23-2-400.G. --All reasonable alternatives to the proposal have been adequately assessed and the proposed action is consistent with the best interests of the people of Weld County and represents a balanced use of resources in the affected area. The proposed tower would be located in close proximity to four other communication towers. The applicant's have attempted to contact the neighboring communication tower facility owners in regards to co-location. Kinder Morgan has indicated that their facility is loaded to its capacity and is concerned that the structural integrity of the facility could not be maintained with additional antennas. Burlington Northern &Santa Fe has indicated that a co-location leasing program for their facilities is in the process but is not available at this time. Nextel Communications has a tower facility with a high power output transmitter. The applicant has indicated that the high power output of this facility is not suitable for the applicants equipment when both are operating in close proximity to each other. The fourth tower is a television tower which the applicant has indicated is not suitable for microwave antennas. h. Section 23-2-400.H. --The proposed facility is not a power plant facility. This application will create limited, if any, demand for additional government services. Section 23-2-400.1. --The Conditions of Approval and Development Standards will ensure that the nature and location of the facility will meet Colorado Department of Health and Weld County air quality standards. j. Section 23-2-400.J. --Adequate electric, gas, telephone, water, sewage, and other utilities exist or can be developed to service the site. This is an unmanned facility. There is no continuous fuel requirement for the facility. k. Section 23-2-400.K. --The nature and location or expansion of the facility will not unreasonably interfere with any significant wildlife habitat and will not unreasonably affect any endangered wildlife species, unique natural resource, historic landmark or archaeological site within the affected area. The Colorado Division of Wildlife, in their referral dated February 26, 2001, indicated that this request had no conflicts with their interests. RESOLUTION, USR-1320 Colorado Interstate Gas Page 3 Section 23-2-400.L. --The proposed line site will not significantly impact drainage of residential property, crop land or other land. The Dept. of Public Works has indicated that a storm water drainage report is not required for this site. This recommendation is based, in part, upon a review of the application materials submitted by the applicant, other relevant information regarding the request, and responses from referral entities. The Planning Commissions staff recommendation for approval is conditional upon the following: 1. The attached Development Standards for the Special Review Permit shall be adopted and placed on the Special Review Plat prior to recording the plat. The completed plat shall be delivered to the Department of Planning Services and be ready for recording in the Weld County Clerk and Recorder's Office within 60 days of approval by the Planning Commission. The Special Review activity shall not occur nor shall any building or electrical permits be issued on the property until the Special Review plat is ready to be recorded in the office of the Weld County Clerk and Recorder. The applicant shall apply for, receive approval of and record the plat for a Subdivision Exemption for a Major Facility of a Public Utility to create the parcel the applicant intends to lease. (Dept. of Planning Services) B. The applicant shall complete a non-exclusive license agreement for the upgrade and maintenance of the Weld County 34 right-of-way. (Dept. of Public Works) 4. The property owner or operator shall be responsible for complying with the Design Standards of Section 23-2-240 of the Weld County Code. 12. The property owner or operator shall be responsible for complying with the Operation Standards of Section 23-2-250 of the Weld County Code. 13. Personnel from the Weld County Departments of Public Health and Environment and Planning Services shall be granted access onto the property at any reasonable time in order to ensure the activities carried out on the property comply with the Development Standards stated herein and all applicable Weld County regulations. 14. The Special Review area shall be limited to the plans shown hereon and governed by the foregoing standards and all applicable Weld County regulations. Substantial changes from the plans or Development Standards as shown or stated shall require the approval of an amendment of the Permit by the Weld County Planning Commission before such changes from the plans or Development Standards are permitted. Any other changes shall be filed in the office of the Department of Planning Services. 15. The property owner or operator shall be responsible for complying with all of the foregoing Development Standards. Noncompliance with any of the foregoing Development Standards may be reason for revocation of the Permit by the Weld County Board of County Commissioners. SUMMARY OF THE WELD COUNTY PLANNING COMMISSION April 3, 2001 Page 6 Phil Sortel, partner in the West Creek Land and Cattle Company, spoke in opposition to the proposed cell tower. Mr. Sortel operates a farm and ranch on the North side of 1-76. He cautioned the Planning Commission to be very careful of the applicant's business practices. He also stated that he had experience dealing with Unisite that was less than desirable and a potential lawsuit is pending. Fred Walker stated that in the past the public utility company has always been the applicant and would question why the applicant is the property owner? Ms. Nickles also questioned this. Ms.Chester responded that Mr.Anderson(Planner)had had a difficult time contacting the actual applicant. The actual applicant is Unisite, who is leasing the property owned by the Wolfes. Julie suggested that since these concerns are being brought and are on the record and the applicant, Unisite, is not present that this case, be continued until the applicant can be present and address these concerns. Ms .Nicklas asked Mr. Morrison if the Planning Commission could continue this application due to the fact that the applicant was not present. Mr. Morrison advised the Planning Commission that it would be applicable to ask for a continuance in order for the applicant to be present at a future hearing. Julie also stated that the Conditions of Approval along with the Development Standards were to the be given to the applicant the day of the hearing. At this point, since the applicant is absent there is no assurance that the Unisite is in agreement with them. Ms. Nickles asked the landowner, Mr. Wolfe if he had been in contact with Unisite. He had not been in contact with them in the last few weeks. Ms. Nickles asked Mr. Wolfe if he knew why there was no representation at the hearing today. Mr.Wolfe had no idea and had figured someone from Unisite would be here. Mr. Marrs moved that Case USR-1321 be continued until May 15, 2001. Stephen Mokray seconded. Ms.Nicklas asked the applicant if they were in agreement with the Conditions of Approval and Development Standards. Both Mr. Martinez and Mr. Steges indicated agreement. Burlington Northern & Santa Fe has indicated that a co-location leasing program for their facilities is in the process but is not available at this time. In recent conversations with Burlington Northern they indicated that there tower was recently redesigned and is loaded with many antennas and equipment. Co-location on this facility is "doubtful" even with a leasing program. Nestle Communications has a tower facility with a high power output transmitter. The applicant has indicated that the high power output of this facility is not suitable for the applicants equipment when both are operating in close proximity to each other. The fourth tower is a television tower which the applicant has indicated is not suitable for microwave antennas. With the aid of binoculars, I was able to read a metal sign on the"Nextel" building identifying SpectraSite Communications, Inc. as the owner of the tower. 1/26,29/01 Placed calls to SpectraSite,all of which were sent to voice mail. 1/30/01 Received a call from SpectraSite representative, I provided the dish antenna sizes and mounting positions on their tower for our current project as well as additions that can be expected within the next two or three years. This was necessary for SpectraSite to determine whether the tower could safely handle the additional stresses. The SpectraSite representative indicated that a tower analysis would be conducted and that he would contact me when the study was completed. Nextel gave me the necessary FCC license information that would reveal the technical specifications of the equipment in use at the site. 2/5/01 Examined the FCC database for the technical specifications of the Nextel equipment. The effective radiated power output of the Nextel equipment was given as 154 watts and the frequency was between 850 and 860 megahertz.As stated in my letter dated 2/12/01 and forwarded by Joe Martinez,this combination would render inoperative a planned Multiple Address System to monitor and control natural gas pipeline expansion in the area should our antenna be mounted on the SpectraSite tower. The Nextel equipment would have no effect on this Multiple Address System if the system were installed at our proposed construction site because at this distance from the SpectraSite tower, the signal strngth radiated by the Nextel antenna would be reduced by a factor in excess of one million. As indicated in the application, this tower is designated the Wiggins Microwave Tower and is located in the Northeast Quarter(NE'/) of Section Fifteen (15), Township Three (3) North, Range Sixty-one (61) West, Weld County, Colorado. The Wiggins Tower is located among other towers of various uses and heights. CIG contacted Mr. Robert Knievel with regard to co-locating on the Kinder Morgan Wiggins tower. Mr. Knievel indicated the integrity of the tower cannot be maintained if a substantial change is made to the number and locations of antennas. CIG also contacted Mr. Jerry Elmore, Burlington Northern Santa Fe with regard to co-locating on their tower. Mr. Elmore indicated BNSF is considering a co-location program, however, this program is not yet in place. The third tower is owned by SpectraSite and occupied by Nextel Communications, Inc. Nextel is a personal communications service provider operating with a high power output transmitter. The high power output required by Nextel is unsuitable to CIG's equipment when both are operating in close proximity to each other. CIG's telecommunications system consists of three main components. The first is our point to point microwave system. It is the "highway" that carries all voice and data traffic throughout the company. The second is our two-way base and mobile radio system. It permits communications from our main facilities to the vehicles in the field and from vehicle to vehicle as well. The final component is the telemetry and Supervisory Control And Data Acquisition (SCADA) system. It provides a vital link between the field operations and the dispatchers in the Gas Control Dispatch Center in Colorado Springs. The dispatchers must have current information along the pipeline network for routine operation and in situations when the public's well being or safety is at risk. The SCADA system provides all monitoring, control and data transfer from over one thousand (1000) remote, unmanned field sites using a Multiple Address System (MAS) of low power radios operating in the 928.00000 to 952.00000 megahertz frequency band. This Wiggins communications tower will play a key role in providing for all three. The Federal Communications Commission allows a maximum output power of five watts for the MAS radio transmitters. Thus the receivers are designed to operate with very small signal levels since the radios are often separated by 25 to 30 miles. Experience has shown these receivers can easily be overwhelmed when their antennas are mounted on the same tower with antennas of high power transmitters operating on a nearby frequency. This is CIG's primary concern should we co- locate on the Nextel tower. The Nextel transmitters have a power output that exceeds 150 watts and operate in the 850 to 860 megahertz range. We believe this combination of a high output power transmitter on a nearby frequency will make it impossible for a low power master radio to function if its antenna is mounted on the SpectraSite tower with the Nextel equipment. As the demand for natural gas increases, CIG must expand it's pipeline transmission system and it's associated private telecommunications system. As part of this expansion the telecommunications department has identified Wiggins as being strategically located for current operations and future expansion. CIG operates two large natural gas storage fields in the Fort Morgan area. These facilities are connected to our microwave system by 25-year-old analog microwave equipment located on Buckhorn Mountain more than 80 miles away. This link must be re-engineered with Wiggins as an intermediate site, using new digital microwave to meet the demand for far greater amounts of reliable information than just a few years ago. Plans are underway to build a 380 mile pipeline from the CIG Cheyenne Compressor Station to a compressor station in Greensburg, Kansas. The path of this pipeline brings it very near the Fort Morgan storage fields. The proposed Wiggins site would thus be part of a new digital microwave network running along this new pipeline. SpectraSite is currently studying the possibility of CIG's equipment on their tower, however SpectraSite has not responded as of this date. Portions of this system are located across various portions of Weld County. As CIG's pipeline system continues to expand, so does the need for updated telecommunications. CIG, therefore, proposes to construct a microwave communication tower for use in operating its natural gas pipeline system. This tower is designated the Wiggins Microwave Tower and is located in the Northeast Quarter (NE'/A) of Section Fifteen (15), Township Three (3) North, Range Sixty-one (61) West, Weld County, Colorado. Our records indicate the location of the tower site is on State of Colorado land. CIG filed and application for a State lease to construct, operate and maintain this facility as well as the use of existing access to the site . The lease application was filed with the State on June 26, 2000, and is currently being processed. The Estate of Floyd William Yocam, State Lease No. AGS41959, is the State's tenant. Kim R. Lawrence, Estate Administrator, has been contacted in regard to this tower facility being located on the State property. Enclosed is a completed and signed Weld County Department of Planning Services, Use by Special Review (Major Facility of a Public Utility) Application. Land Plat No. CO35878 is also enclosed. The Wiggins Microwave Tower will be a 50 foot tall self supporting tower located on a 50 foot by 50 foot parcel of land. The tower is a galvanized steel, lattice style, triangle structure consisting of two 20 foot sections and one 10 foot top section. Each leg of the base section is bolted to an anchor plate cemented into an anchor base. The base dimension of the tower to be installed is 72-inch. A soil test of the site has been scheduled and once the results have been analyzed the anchor base will be designed. The typical cement base for this type of tower is approximately 72" by 72" by 42" deep. The tower will support three (3) six foot parabolic antenna (microwave dishes) blue in color and outfitted with radome. The equipment building is a single room, single story concrete building. The building is 8' by 10' by 8' tall and will set on a 10' by 12' concrete pad. Colorado Interstate Gas Company A SUBSIDIARY OF THE COASTAL CORPORATION P 0 BOX 1087•COLORADO SPRINGS CO 80944•719/473-2300 This tower is required to more efficiently relay digital operating data from CIG's Young Storage Field and Fort Morgan Storage Field in Morgan County to District Headquarters at CIG's Watkins Station in Adams County and to CIG's Gas Control Department at Company Headquarters in Colorado Springs. This data will be transmitted from an existing tower at CIG's Young Compressor Station to this new tower and then relayed to an existing CIG tower near Bennett, Colorado and on to an existing tower at CIG's Watkins Compressor Station. There were two other locations looked at as possible tower sites. Both sites were disregarded because the line of site to the existing towers at Young Storage or at Bennet were not there. Towers in excess of 200 feet would have needed to be erected to make either of the alternative sites viable. The Wiggins Tower site was selected because a smaller tower could be used to accomplish the desired result. The impacts to mineral resources, wildlife habitat and historical, archaeological or scenic resources would be minimal because of the close proximity of the other towers at this location. The visual impact of a new tower at this location would also be minimal because of the existing towers. The tower is in an area of the county where the current land use is grazing although the land use in immediate vicinity is tower locations. There are four other towers located in the close vicinity. Two of the tower owners were contacted with regard to co-location. Burlington Northern Santa Fe Railway Company replied that co-location was not possible at this time. BNSF is in the process of setting up a co-location leasing program and will contact CIG when their program is in place. Kinder Morgan Company indicated their tower was constructed in 1980 as a joint project with Public Service Company of Colorado. The integrity of the tower cannot be maintained if a substantial change is made to the numbers and locations of antennas. Our addition of three dishes is considered a substantial change to the integrity of the tower. Nextel owns the other tower. Nextel was not contacted because of past history whereby CIG attempted to co-locate upon a Nextel tower in Huerfano County. Nextel would not respond either for or against the co-location. The fourth tower is a TV antenna and is not suitable for microwave antennas. The tower will be constructed in two stages. First the concrete base anchor and building foundation will be poured. Approximately two weeks later the tower will be erected and the building will be set and anchored. The installation will take approximately five (5) people one month to complete. Construction of the facilities will not begin prior to notification of the Utility Notification Center (UNC) and all utilities in the vicinity have been located and marked. The tower site will be cleaned up and excess material and trash will be hauled off. A chain link fence will be installed around the perimeter of the site. Any reclamation required will be done by CIG's Operation's personnel and with a grass seed mixture recommended by the local office of the Natural Resources Conservation Service (NRCS). Quarterly inspections of company facilities are conducted by Operations Department personnel and annual inspections are conducted by a Contract company so any erosion or weed problems may be remedied. CIG's has quarterly scheduled maintenance of the tower facilities. One or two people will visit the site in pickup trucks for this work. The radio equipment is equipped with an alarm device to notify the Watkins Station or Gas Control of any malfunctions. Any malfunction will require other trips to the tower site. Company signs with a contact phone number will also be located at the site. There will be no need for any water requirements and the use of or storage of any type of fuels will not be required. The occasion may arise, however, that backup generator facilities may be needed. If this occurs, there will then be a need to have a propane powered generator installed. This project falls primarily under the purview of the Weld County Use by Special Review Standards. Our comments and requirements are as follows: COMMENTS: Access: Access to the facility is from WCR 91 (Painter Ranch Road), a local gravel road. It is designated on the Weld County Transportation Plan Map as gravel road, which requires 60 feet of right-of-way at full build out. There is presently 60 feet of right-of-way. This road is maintained by Weld County. Pursuant to the definition of SETBACK in the Weld County Zoning Ordinance (Ordinance 89, as amended), the required setback is measured from the future right-of-way line. Access is from WCR 91 on to WCR 34 (section line access) east approximately 1/2 mile then south to the site. The Weld County Public Works Department's most recent traffic county for WCR 91 reflects 33 vehicles taken in a 24-hour period. REQUIREMENTS: Non-Exclusive License Agreement: The applicant shall complete a Non-Exclusive License Agreement for the Upgrade and Maintenance of Weld County's right-of-way. The right-of-way and easement shall be a graded and drained road to provide an all-weather access. Colorado State Board of Land Commissioners Lease of State Lands Commercial Lease 42659 . App 00/158 This Lease is entered into at Denver, Colorado, this 20`h day of August, 2001, by and between the State of Colorado, acting through its State Board of Land Commissioners ("Board"), whose address is 1313 Sherman Street, Room 620, Denver, CO 80203, and Colorado Interstate Gas Company, P.O, Box 1087, Colorado Springs, Colorado 80944("Lessee")whether one or more. 1. Description of the Premises The Board leases to the Lessee and Lessee leases from the Board, exclusively for the purposes indicated below, the state trust lands (the "Premises")described as follows: Township 3 North , Range 61 West , 6th PM, Weld County, Colorado Section Fifteen (Sec.15): In the Northeast Quarter being more particularly described by metes and bounds as follows: Beginning at a point, from which the northeast corner if said Section 15 bears North 02° 32' 08 "East, a distance of 1641.19 feet; Thence South 02° 27' 22"East, a distance of 50.00 feet to a point; Thence South 87° 52' 38" West, a distance of 50.00 feet to a point; Thence North 02° 27' 22" West, a distance of 50.00 feet to a point; Thence North 87° 52' 38" East, a distance of 50.00 feet to the Point of Beginning. Considering the north line of the NE of said Section 15 to have a bearing of North 89 30' 41" East and all barings contained herin relative thereto. Containing 2,500 square feet or 0.057 acres, more or less. 1 2. Condition of the Premises By executing this lease, the Lessee shall be deemed to have accepted the Premises in their "as is" condition and acknowledge that they comply fully with the Board's covenants and obligations hereunder. 3. Use of the Premises The use of the Premises shall be for the purpose of constructing, operating, and maintaining an in-house use self supporting microwave tower, 50 feet in height, communications equipment building and related appurtenances ("Facilities"), together with the right of ingress and egress on an existing access road for the sole purpose of constructing, operating, and maintaining said Facilities. The sole and singular user of the Premises shall be the Lessee named herein. 4. Lease Term The lease term shall be ten (10 ) years commencing on August 20, 2001 and terminating on August 19, 2011, subject to the covenants and agreements herein. Lessee may cancel this lease for any reason by giving the Board ninety (90) days written notice prior to the intended cancellation date, and agreeing to termination in accordance with the "Surrender" section of this lease. No portion of any prepaid Rental is refundable. 5. Security Deposit Lessee shall maintain a cash security deposit in the amount of $20,000 during the term of this lease. A good and sufficient security bond in the amount of $20,000, using sureties approved by the Lessor, may be substituted for this requirement. It is agreed that this security may be used by the Lessor to assure the payment of Rental and the faithful performance of the covenants and agreements herein, including any removal and or restoration of the property upon termination of this lease for any cause. • 6. Rental Lessee shall pay Rental for each year during the term of this lease. Rental for the first year shall be Six Thousand and No/100 Dollars ($6,000.00) with an annual CPI-U adjsutment on each Annivarsary Date. Rental shall be paid to the Lessor in advance upon the date this lease commences and upon each Anniversary Date thereafter. The rental shall be subject to review and adjustment at mid-term, the Adjustment Date. A. The following shall apply to Rental: 1. The "Anniversary Date" shall mean the date one-year after this lease is entered into, and each subsequent one-year date thereafter during the term of this lease; 2. The "Adjustment Date" shall mean the date 5-years after this lease is entered into; 3. The "Adjustment Period" shall mean the lease term from the Adjustment Date to the termination of this lease; 4. The "Base Rental" shall mean the Rental in effect between and given Annivesary date; 5. The "Adjusted Rental" shall become the effective Base Rental on the Adjustment Date and replace any other Rental in effect prior to that date. B. The Adjusted Rental shall be an amount that reflects a reasonable change in the value of the Premises that has occurred during the interval of time since the Base Rental was last determined. This determination shall be made solely by Lessor and may consider the following factors: leases or permits that Lessor has in fact effect with other parties for a similar use; comparable sales or rentals of properties from the local real estate market; or an offer or negotiated amount as proposed by either party but shall not be less than an increase fixed by the change in the National Consumer Price Index (all urban consumers) that has occurred during the interval of time since the Base Rental was last determined. C. The Adjusted Rental shall be determined by Lessor at approximately the beginning of he Adjustment Period. Lessor shall notify Lessee of said determination, which shall become due and payable the first month of the Adjustment Period and continue in effect until the expiration of the lease. 7. Insurance The Lessee at its sole cost and expense, shall during the entire term hereof procure, pay for and keep in full force and effect the following types of insurance: A. Property Insurance A policy of property insurance covering all insurable improvements located on the Premises (except for land, foundation, excavation, and other matters normally excluded from coverage), in an amount not less than necessary to comply with any co-insurance percentage stipulated in the insurance policy. Such insurance shall afford protection against at least the following: (i) loss or damage from fire and other perils normally covered by the standard extended coverage endorsement; and (ii) such risks as shall customarily be covered with respect to projects similar in construction, location and use, including all perils normally covered by the standard"all risk"endorsement where such is available. B. Liability Insurance A comprehensive policy of public liability insurance covering the improvements and Premises insuring the Lessee in an amount not less than that necessary to protect the Board from its maximum liability under the Governmental Immunity Act, CRS 1324-10-114, and covering bodily injury, including death to persons, personal injury and property damage liability. Such coverage shall include, without limitation, legal liability of the insureds for property damage, bodily injuries and deaths of persons in connection with the operation, maintenance or use of the Premises. C. Other Risks • In addition, the Lessee shall obtain insurance against such other risks of a similar or dissimilar nature as the Board shall deem appropriate. 3 D. General Provisions of Insurance Policies I. All policies of insurance carried by the Lessee shall name the Lessee as insured and shall name the Board as co-insured and a Foss payee on the policy. 2. The policy shall contain a provision that it cannot be canceled or materially altered either by the insured or the insurance company until thirty (30) days prior written notice thereof is given to the Lessee and the Board. The Lessee shall furnish a certified copy or duplicate original of such policies or renewal thereof with proof of premium payment to the Board. 3. No policy of insurance shall include a deductible clause in an amount greater than $500 or 1% of the face amount of the policy. 4. Notwithstanding anything to the contrary contained herein, the Lessee's obligation to carry insurance as provided herein may be brought within the coverage of a "blanket" policy or policies of insurance carried and maintained by the Lessee, so •• long as such policy(s) segregates the amount of coverage applicable to the Premises. 8. Survey The Lessee shall provide to the Board, within ninety (90) days of the date this lease was executed by the parties, a mylar and two copies of a current boundary and improvement survey of the Premises, prepared and certified by a professional land surveyor or engineer licensed in the State of Colorado. Such survey shall be in form and substance sufficient to meet the Board's survey standards. The survey shall include the metes and bounds legal description of the Premises, and shall be attached hereto and made part of this lease. In the event a subdivision plat is required for county approvals and purposes, the Board may consider the use of the plats produced for the county as alterntative survey information. 9. Construction of Improvements By signing this lease, Lessor consents to the construction of the Facilities on the Premises, subject to written approval of the final construction plans and building specifications by Lessor. Lessee shall not commence to build any structure or permanent improvement or construct replacements, additions, or significant alterations of any kind without first obtaining said approval. Lessee shall submit the proposed plans and specifications to Lessor who shall approve, deny, or recommend modifications within thirty (30) days of receipt. Failure to comment within the thirty (30) day period shall constitute acceptance by Lessor, unless Lessor has provided writtten notice within the thirty (30) period that it requires more time for review. 10. Ownership of Improvements Upon Premises The Board and the Lessee acknowledge, covenant and agree that the Facilities, when and as erected, including all appurtenances and additions thereto, at any time upon the Premises shall immediately upon erection or installation be the property of and belong to the Lessee for the term of this lease. 4 11. No Partnership Nothing in this lease shall cause the Board in any way to be construed as a partner. a joint venturer or associated in any way with the Lessee in the operation of the Premises, or subject the Board to any obligation, loss, charge or expense connected with or arising from the operation or use of the Premises or any part thereof. 12. Maintenance and Repair The Board shall have no duty of maintenance or repair with respect to the Premises, Facilities, or any improvements constructed thereon. The Lessee shall keep and maintain the Premises, Facilities, and improvements thereon in constant good order and repair in the same condition as when initially constructed, ordinary wear and tear excepted. All repairs made by the Lessee shall be at least equal in quality to the original improvements. 13. Damage or Destruction In case of damage to or destruction of the Premises or any part thereof, by any cause whatever, the Lessee shall give or cause to be given to the Board prompt notice of such occurrence and shall promptly proceed with due diligence to repair, restore, replace or rebuild so as to make the Premises at least equal in quality to the original improvements, or restore the same to such modified plans as shall be previously approved in writing by the Board. • 14. Taxes, Utilities, and Other Expenses It is understood and agreed that this lease shall be a net lease with respect to the Board, and that all taxes, assessments, fees, insurance, utilities and other operating costs and the cost of all repairs, remodeling, renovations, alterations, and improvements, and all other direct costs, charges and expenses of any kind whatsoever respecting the Premises shall be borne by the Lessee and not by the Board so that the rental return to the Board shall not be reduced, offset or diminished directly or indirectly by any cost or charge, nor subject to suspension or termination for any cause. 15. Inspection Rights Upon reasonable notice to the Lessee, the Board or its authorized representatives may from time to time, at any reasonable hour, and, in event of emergency, may at any time with or without notice, enter upon and inspect the Premises, or any portion thereof or improvements thereon to ascertain compliance with this lease, but without obligation to do so or liability therefor. 16. Liability and Indemnity A. The Board shall not be liable to the Lessee, its agents, employees, invitees, patrons or any other person whomsoever, for injury to or death of any person or damage to or loss of property in, upon or adjacent to the Premises or other property contiguous or appurtenant thereto, which may arise during the Lessee's development, use or occupancy of the Premises or by any person so doing through or under the Lessee or with its permission, express or implied. The Lessee further waives any claim against the 5 Board regarding the Board's approval or disapproval of any plans or specifications whether or not defective. B. The Lessee agrees to indemnify the Board and save it harmless against and from any and all claims by or on behalf of any person(s). firm(s), corporation(s) arising from the conduct or management of or from any work or thing whatsoever done on or about the Premises and to indemnify and save the Board harmless against and from any and all claims arising during the term hereof from: (i) any of those matters specified in this Article; (ii) any breach or default on the part of the Lessee hereunder; and (iii) any act or omission of the Lessee or any of its agents, contractors, servants, assignees, employees, invitees or licensees, on or about the Premises or other property contiguous or appurtenant to the Premises, including all costs, attorneys fees, expenses and liabilities incurred in or about any such claim or any action or proceeding brought thereon; and in case any action or proceeding be brought against the Board by reason of any such claim upon notice from the Board, the Lessee covenants to promptly effect the dismissal thereof or to diligently resist and defend such action or proceeding by counsel satisfactory to the Board, at the sole cost and expense of the Lessee. 17. Reservations to the Board This lease is subject to any and all presently existing easements, rights-of-way and other interests, whether or not visible on the ground; and, in addition to its reversion upon termination of this lease, the Board hereby reserves: A. The right to sell, exchange, or otherwise dispose of all or any portion of the Premises during the term of this lease. B. The right to lease all or any portion of the Premises to other persons for the purposes of exploring for and removing, minerals, ores, metals, coal, asphaltum, oil, gas, sand, gravel, clay, quarry products, peat, groundwater, geothermal resources, and all other naturally occurring resources, together with reasonable and adequate rights of entry and surface rights necessary or convenient to exercise such reserved rights, including but not limited to the right, upon thirty (30) days' prior written notice to the Lessee, to cancel this lease as to all or any portion of the Premises, refunding to Lessee the unearned portion of the prepaid Rental amounts. C. All water, water rights, ditch rights, water stock and/or ditch stock appurtenant to or used in connection with the Premises including wells, rights in ditch, water in canal organizations or companies. All such uses shall be and remain the property of the Board. The Lessee may not explore, drill, or establish any water right, water use, or well without written permission of the Board. If the Lessee establishes or adjudicates any water right or use on the Premises, it shall be in the name of the Board. D. The right to administrative access to the Premises at all reasonable times by employees and agents of the Board in order to inspect the Premises and to investigate and secure 6 compliance with this lease; and Lessee hereby grants to the Board a non-revocable license for such access over and across Lessee's other lands during the term of this lease. E. All rights, privileges and uses of every kind or nature not specifically granted to Lessee by this lease. 18. Assignments, Subleasing, and Encumbrances This lease shall be binding on the parties hereto, their heirs, representatives, successors and permitted assigns. A. This lease shall not be assigned, transferred or sold, voluntarily or by operation of law, without the prior written consent of the Board. It shall be understood that any name change, or changes in ownership of the Lessee shall be considered an assignment. Consent to an assignment shall be at the Board's sole discretion and upon such terms and conditions as determined by the Board. B. Assignment, or other transfer without written consent of the Board shall not effect a novation of this lease, and shall, nevertheless, make the assignee responsible and liable, along with the Lessee, for performing this lease. The acceptance by the Board of any payment due hereunder from any person other than the Lessee shall not be deemed a waiver by the Board of any provision of this lease or to be a consent to any assignment. C. Encumbering, pledging or otherwise transferring this lease is expressly prohibited under the terms of this lease. D. The right to sublease is not granted by this lease. However, it is reasonable to assume that other companies may wish to co-locate their communication "facilities" within this lease. In such cases, the Lessee shall request approval of the Lessor of any proposed sublease (co-location) of this site, which approval or denial shall be the Lessor's sole discretion. Upon approval of such a sublease, the Lessee shall pay the Lessor, in advance an amount equal to one-half the annual rental pursuant to Paragraph 6 or 25% of the gross receipts received, including in-kind services or equipment, whichever is greater. In the event of subleases, the Lessee shall provide a report of the sublessees including an accounting of the related sublease income within 20 calender days of the Anniversary Date of this lease. The Lessee shall at that time pay the difference between the calculated prepaid 50% of the annual rental and the 25% of gross receipts received during the previous year. E. The Lessee shall be responsible to assure that the sublessees comply with all the terms, conditions and covenants of this lease. A bleach or default of this lease by a sublessee shall be considered a breach of the lease as if the Lessee had comitted the breach. 7 19. Defaults and Remedies A. Defaults. The occurrences of any one or more of the following events shall constitute a default hereunder by the Lessee: - 1. Failure by the Lessee to make any payment of Rental or other payment of additional rental or charge required to be made by the Lessee hereunder, as and when due. 2. Use of the Premises by the Lessee, its successors and assigns, or attempted use of the Premises for any other purpose than those permitted by this lease without the written consent of the Board. 3. Failure by the Lessee to perfoun any of the covenants, conditions, or requirements contained herein. Provided further that if the nature of the Lessee's default is such that more than thirty(30) days are reasonably required to cure such default then the Lessee shall not be deemed to be in default if the Lessee shall commence such cure within said thirty (30) day period and thereafter diligently pursue such cure to completion. Any of the above events of default may be cured by the Lessee within thirty (30) days after written notice thereof from the Board to the Lessee in accordance with the "Miscellaneous, Notices" section of this lease. B. Remedies. In any event of default, and in addition to any or all other rights or remedies of the Board hereunder or by the law provided, the Board may exercise the following remedies at its sole option: 1. Termination. Terminate the Lessee's right to possession of the Premises by any lawful means, in which case this lease shall terminate and the Lessee shall immediately surrender possession of the Premises to the Board according to the terms of the "Surrender" section of this lease. In such event of termination the Board shall be entitled to recover from the Lessee: a. The unpaid Rental, taxes and damages which have accrued up until the time of termination together with interest; and b. Any other amount necessary to compensate the Board for the Lessee's failure to perform its obligations under this lease or which would be likely to result therefrom, including, but not limited to, the cost of recovering possession of the Premises, expenses of reletting, including necessary repair, renovation and alteration of the Premises, reasonable attorneys fees, and any other reasonable costs. c. The interest shall be one and one-half percent (1-1/2%) per month. Said interest shall accrue from the dates such amounts accrued to the Board until paid by the Lessee. 2. Rental During Unlawful Detainer. In any action for unlawful detainer commenced by the Board against the Lessee by reason of any default hereunder, the reasonable rental value of the Premises for the period of the unlawful detainer shall be two (2) times the current Rental and other charges or payments to be made by the Lessee under this lease for such period. 8 3. Cumulative Rights. The rights and remedies reserved to the Board. including those not specifically described, shall be cumulative, and the Board may pursue any or all of such rights and remedies, at the same time or separately. 20. Surrender A. Upon expiration or termination of this lease, the Lessee shall peaceably and quietly leave, and surrender possession of the Premises to the Board, and at its own expense shall promptly and diligently within thirty (30) days remove, demolish and/or clear from the Premises all improvements and personal property, including the Facilities, and restore the surface to its original condition. Any improvements and personal property remaining after thirty (30) days shall, at the option of the Board, become the property of the Board. B. Notwithstanding any provisions to the contrary, the Lessee and it sublessees shall have no right to remove, alter or demolish all or part of the Facilities at anytime the Lessee is in default or breach of any term, provision or covenant of this lease. 21. Hazardous Substances A. The Lessee shall not place, store, use or dispose on the Premises, temporarily or permanently, any substance that is hazardous, toxic, dangerous or harmful or which is defined as a hazardous substance by the Comprehensive Environmental Response Compensation and Liability Act, 42USC9601. These substances shall be referred to collectively as "hazardous substances." B. The Lessee is also prohibited from storing any gasoline or other fuel on the Premises without the Board's prior written permission. No underground storage facilities are authorized. C. The Lessee shall immediately notify the Board of all spills, releases, inspections, correspondence, orders, citations, notices, fines, response and/or cleanup actions, and violation of laws, regulation or ordinance which effect the Premises. 22. Condemnation A. If all of the Premises are taken by any public authority under the power of eminent domain, this lease shall terminate as of the date possession was taken by said public authority pursuant to such condemnation. If part of the Premises is taken and, in the opinion of either the Board or the Lessee, it is not economically feasible to continue this lease, either party may terminate this lease. B. Such termination by either party shall be made by notice to the other party given not later than thirty (30) days after possession is so taken. If part of the Premises is taken ' and neither the Board nor the Lessee elects to terminate this lease the payment due under this lease shall be abated in the same proportion as the portion of the Premises so taken bears to the whole of the Premises. 9 C. All damages awarded for the taking or damaging of all or any part of the Premises, or Board-owned improvements thereon, shall belong to and become the property of the Board, and the Lessee hereby disclaims and assigns to the Board any and all claims to such award. The Board shall not claim any interest in any authorized improvements. D. If the temporary use (defined as less than one year) of the whole or any part of the Premises shall be taken at any time during the term of this lease, the Lessee shall give prompt notice thereof to the Board; however, the term, rentals and other obligations of the Lessee under this lease shall not be reduced or affected in any way. The Lessee shall be entitled to compensation as determined by applicable law for any such temporary taking of the Premises. 23. Liens and Claims A. Mechanics' Liens 1. The Lessee shall not suffer or permit to be enforced against the Premises, or any part thereof, or any improvements thereon, any mechanics', materialmen's, contractors', or subcontractors' liens arising from, or any claim for damage growing out of the work of any construction, repair, restoration, replacement or improvement, or any other claim or demand howsoever the same may arise, but the Lessee shall pay or cause to be paid all of said liens, claims, or demands before any action is brought to enforce the same against the Premises, Facilities, or improvements. 2. The Lessee agrees to defend, indemnify and hold the Board and the Premises free and harmless from all liability for any and all such liens, claims, demands, and actions (collectively, the "liens") together with reasonable attorneys fees and all costs and expenses in connection herewith. B. Rights to Contest Notwithstanding the foregoing, if the Lessee shall in good faith contest the validity of any such lien, then the Lessee shall at its sole expense defend itself and the Board against the same and shall pay and satisfy any adverse expense or cost or adverse judgment that may be rendered thereon before the enforcement thereof against the Board or the Premises, upon the condition that if the Board shall require, the Lessee shall furnish a surety bond satisfactory in form and amount to the Board. Said bond"shall not be less than one hundred twenty percent (120%) of such contested lien indemnifying the Board against liability for the same, and holding the Premises free from the effect of such lien. C. Posted Notice The Lessee shall, upon execution of this lease at its cost, prepare a Notice, pursuant to CRS §38-22-105, and cause the same to be posted for the purpose of protecting the Board against any liens or encumbrances upon the Premises by reason of work, labor, services, or materials contracted for or supplied to the Lessee. 10 24. Miscellaneous A. False Statements • Any false certification or statement by the Lessee in the application, public disclosure statement or qualification of financial responsibility statement required to be submitted with the application for the lease, or in any other document or report required to be submitted under this lease, shall at the discretion of the Board, result in termination of this lease and an action for damages. B. Lease Document Controls In the event of inconsistency or conflict between this lease and documents incorporated herein by reference, this lease agreement shall control. C. Compliance With Laws The Lessee shall comply with all applicable federal, state, and local rules, regulations, and laws regarding the Premises and activities conducted thereon or by virtue thereof. Furthermore the Lessee shall not use or permit the Premises to be used in violation of any such rule, regulation, or law or for any purpose tending to damage or harm the Premises, Facilities, or improvements thereon or adjacent thereto, or the image or attractiveness thereof, or for any improper, offensive, or immoral use or purpose, or in any manner which shall constitute waste, nuisance, or public annoyance. D. Lessee's Authority If the Lessee is an entity other than an individual, each individual executing this lease on behalf of said entity represents and warrants that he or she is duly authorized to execute and deliver this lease on behalf of said entity and that this lease is binding upon said entity in accordance with its terms. The Lessee shall deliver a certified copy of the appropriate document evidencing authorization for such execution. E. Entire Agreement This lease and all documents incorporated herein by reference represent the entire agreement between the parties hereto. No oral agreement or implied covenant shall be held to vary the provisions hereof. F. Amendments This lease shall not be amended or ratified except by written document executed by the parties hereto. G. Certain Rules of Construction Time is of the essence in the performance of this lease. Unless the context clearly implies otherwise, each and every act to be performed or obligation to be fulfilled by the Lessee under this lease shall be performed or fulfilled at the Lessee's sole cost and expense. 11 H. Governing Law and Venue This lease shall be governed by and construed in accordance with the laws of the State of Colorado and Venue shall be in the City and County of Denver. I. Notices Every notice, demand, request, designation, consent, approval, or other document or instrument required or permitted to be served hereunder shall be in writing, shall be deemed to have been duly served on the day of receipt, and shall be sent by registered or certified United States mail, postage prepaid, return receipt requested, as addressed to the parties hereto. The parties may change the place for serving of such papers on it, or provide for the delivery of not more than two (2) additional copies, by giving the other party at least ten (10) days prior written notice to such effect. J. Severability If for any reason provisions of this lease or the application thereof to any person or circumstances, shall to any extent, be deemed invalid or unenforceable, the remainder of this lease shall not necessarily be affected thereby and each provision of the lease shall be valid and enforceable to the fullest extent permitted by law. K. Costs of Suit: Attorneys Fees In the event that the Board shall, without fault on the Board's part, be made party to any litigation instituted by the Lessee or by any third party against the Lessee, or by or against any person holding under or using the Premises by license of the Lessee, or for the foreclosure of any lien for labor or material furnished to or for the Lessee or any such other person or otherwise arising out of or resulting from any action or transaction of the Lessee or of any such other person, the Lessee hereby indemnifies and holds the Board harmless from and against any judgment rendered against the Board or the improvements or any part thereof, and all costs and expenses, including reasonable attorneys fees, incurred by the Board in or in connection with such litigation. 25. Board's Authority This lease is entered into pursuant to the authority granted to the Board by Colorado law. 26. The initial construction provided for the needs of Public Service and KN Energy. Since the original construction, KN Energy, now Kinder Morgan has replaced its analog system with digital, requiring more and larger antennas. The structure loading capability was increased by adding guy wires and anchors to support this project. The integrity of this tower cannot be maintained if a substantial change is made to the numbers and locations of antennas. Anything specific would require a structure study by a licensed engineer.
