HomeMy WebLinkAbout20011343.tiff RESOLUTION RE: APPROVE TASK ORDER AMENDMENT#1 FOR ABSTINENCE EDUCATION PROGRAM AND AUTHORIZE CHAIR TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with Task Order Amendment#1 for the Abstinence Education Program between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Department of Public Health and Environment, and the Colorado Department of Public Health and Environment, with terms and conditions being as stated in said amendment, and WHEREAS, after review, the Board deems it advisable to approve said amendment, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that Task Order Amendment#1 for the Abstinence Education Program between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Department of Public Health and Environment, and the Colorado Department of Public Health and Environment be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said amendment. This amendment will provide 1.01.1'E Health Education Specialist to develop, implement and evaluate abstinence education activities in Weld County schools. The purpose of this program is to provide education to youth regarding abstinence, and to train teachersdo implement abstinence education activities within their curricula. The ultimate goal is to reduce the number of unintended pregnancies and sexually transmitted diseases by encouraging youth to abstain from sexual involvement. The original task order was for a sum not to exceed $63,235 for the time period June 1, 2000 through May 31, 2001. This amendment extends the ending date of the task order from May 31, 2001 until August 31, 2002 and changes the amount to be reimbursed to $120,098. I recommend your approval of this task order amendment. Enclosure 2001-1343 DEPARTMENT OR AGENCY NAME COLORADO DEPARTMENT OF PUBLIC HEALTH AND ENVIRONMENT DEPARTMENT OR AGENCY NUMBER FAA CONTRACT ROUTING NUMBER 01-01172 TASK ORDER AMENDMENT#1 This AMENDMENT is made this 18TH day of MAY, 2001,by and between: the State of Colorado,for the use and benefit of the DEPARTMENT OF PUBLIC HEALTH AND ENVIRONMENT whose address or principal place of business is 4300 Cherry Creek Drive South,Denver,Colorado 80246,hereinafter referred to as the State;and,the BOARD OF COUNTY COMMISSIONERS OF WELD COUNTY,(a political subdivision of the state of Colorado) whose address or principal plaice of business is 915 10TH Street 3RD floor,Greeley, Colorado 80631,for the use and benefit of the Weld County Department of Public Health and Environment whose address or principal plaice of business is 1555 NORTH 17TH Avenue,Greeley,Colorado 80631, hereinafter referred to as the Contractor. WHEREAS,the parties hereto executed a Master Contract on October 1, 1999,Contract routing number 00 FAA 00008,which authorizes the issuance of task orders pursuant to the terms and conditions of that Master Contract; WHEREAS,the Contractor was originally selected by the State as one of several responsive and responsible bidders to provide abstinence education services and activities pursuant to the terms and conditions of Request for Proposals(RFP)CDPHE-RO-ADL0002; WHEREAS,the parties subsequently entered into an Original Task Order,dated June 1,2000,with Contract encumbrance number PO FAA ADL0001131, and Contract routing number 00 FAA 01131 to provide abstinence education services and activities in Weld County, Colorado; WHEREAS,on February 13, 2001,the State Controller's Office granted a phase 1 waiver to the State for several types of program specific task orders including the abstinence education Task Order; WHEREAS,the parties desire to amend the first year budget of the Original Task Order to more accurately reflect current and projected contractual costs; WHEREAS, as of the made date of this Amendment,the State has a currently valid Group II purchasing delegation agreement with the division of finance and procurement within the Colorado Department of Personnel; WHEREAS,although this Amendment is exempt from the Colorado Procurement Code and Rules because the Contractor is a governmental entity,external review and approval of this Amendment is required because this Amendment is outside the terms and conditions of the February 13,2001,waiver; 1 WHEREAS,as to the State,authority exists in the Law and Funds have been budgeted,appropriated,and otherwise made available,and a sufficient uncommitted balance thereof remains available for subsequent encumbering and payment of this Amendment in Fund Number 100, Organization Code 6035,and Appropriation Code 591,under Contract Encumbrance Number PO FAA ADL0001131;and, WHEREAS, all required approvals, clearances,and coordination have been accomplished from and with all appropriate agencies. NOW THEREFORE, in consideration of their mutual promises to each other, stated below,the parties hereto agree as follows: 1. Consideration for this Amendment to the Original Task Order, Contract encumbrance number PO FAA ADL0001131, Contract routing number 00 FAA 01131, consists of the payments and services which shall be made pursuant to this Amendment,and the promises and agreements herein set forth. 2. It is expressly agreed to by the parties that this Amendment is supplemental to the Original Task Order, Contract routing number 00 FAA 01131,dated June 1.2000;hereinafter referred to as the Original Task Order,which is incorporated herein by this reference, made a part hereof,and attached hereto as Attachment A-1. All terms,conditions, and provisions thereof,unless specifically modified herein, are to apply to this Amendment as though they were expressly rewritten, incorporated, and included herein. 3. It is agreed to by the parties that the Original Task Order is, and shall be,modified,altered,and changed in the following respects only: A. Section A."Period of Performance and Task Order Termination"of the Original Task Order is amended as follows: A. PERIOD OF PERFORMANCE AND TASK ORDER TERMINATION The effective date of this Task Order is June 1,2000, or on the date this Task Order is approved by the State Controller,whichever is later. The term of this Task Order shall commence on June 1,2000,and continue through and including May 31, 2001, AUGUST 31, 2002,unless sooner terminated by the parties pursuant to the terms and conditions of the Master Contract and this Task Order. B. Paragraph 1 of Section B. "Scope Of Work' of the Original Task Order is amended as follows: 1. The Contractor, in accordance with the terms and conditions of the Master Contract and this Task Order,shall implement abstinence education services as described in the RFP. The Contractor shall implement abstinence education services for youth between the ages of 10 and 17 years, in Weld County, Colorado. The Contractor shall perform its duties and obligations hereunder in accordance with the work plan,goals,objectives and budget of the Contractor's abstinence education proposal,which is incorporated herein by reference, made a part hereof,and attached hereto as"Attachment B" AND "ATTACHMENT B-1". 2 C. Part C. "Compensation", of the Original Task Order is amended as follows: C. COMPENSATION. I. In accordance with the budget, as set forth in Attachment B, ,the State shall cause to be paid to the Contractor an amount not to exceed SELTV—ITIREE THOUSA TT T� O wDRED IIH TY FIVE DO r ADC ($61 235 Ml FORTY SEVEN THOUSAND,SIX HUNDRED FIFTY EIGHT DOLLARS,(547,658.001 for all work satisfactorily and timely completed by the Contractor under this Task Order. Of the total amount, (563,235.00) $47,658 are identified as attributable to a funding source of the federal government and$0_00 are identified as attributable to a funding source of the State of Colorado. IN CONSIDERATION OF THOSE SERVICES TIMELY AND SATISFACTORILY PERFORMED BY THE CONTRACTOR FOR THE TERM BETWEEN JUNE 1, 2001, AND AUGUST 31, 2002, THE STATE SHALL CAUSE TO BE PAID TO THE CONTRACTOR AN AMOUNT NOT TO EXCEED Seventy-two Thousand,Four Hundred Forty Dollars, (572,440.00). PAYMENTS SHALL BE MADE ONLY AFTER RECEIPT OF SIGNED MONTHLY OR QUARTERLY TASK ORDER REIMBRUSEMENT STATEMENT FROM THE CONTRACTOR REQUESTING REIMBURSEMENT IN ACCORDANCE WITH THE CATEGORIES AND LINE It_EMS OF THE YEAR TWO GRANT PROPOSAL AND BUDGET AND REVISED BUDGET NARRATIVE. (ATTACHMENT B-1). OF THIS TOTAL FINANCIAL OBLIGATION OF THE STATE TO THE CONTRACTOR UNDER THIS TASK ORDER$120,098.00 ARE IDENTIFIED AS ATTRIBUTABLE TO A FUNDING SOURCE OF THE UNITED STATES AND$0.00 ARE IDENTIFIED AS ATTRIBUTABLE TO A FUNDING SOURCE OF THE STATE OF COLORADO. PAYMENTS UNDER THIS TASK ORDER ARE SUBJECT TO VERIFICATION BY THE STATE THAT THE CONTRACTOR HAS FULLY AND SATISFACTORILY COMPLIED WITH THE TERMS AND CONDITIONS OF THIS TASK ORDER. THE TOTAL FINANCIAL OBLIGATION OF THE STATE TO THE CONTRACTOR UNDER THIS CONTRACT SHALL NOT EXCEED ONE HUNDRED TWENTY THOUSAND NINETY EIGHT DOLLARS, ($120,098.00)FOR THE ENTIRE TERM OF THIS CONTRACT. 4. The proposed effective date of this Amendment is June 1,2001. However, in accordance with section 24- 30-202(1),C.R.S., as amended,the effective date of this Amendment is the date the State Controller approves this Amendment. The Contractor may only commence performance under this Amendment as of its effective date. The State shall have no financial obligation to the Contractor for any work or services or,any costs or expenses,incurred by Contractor prior to the effective date of this Amendment. 5. Except for the General Provisions and Special Provisions of the Original Task Order,in the event of any conflict,inconsistency,variance,or contradiction between the teens and provisions of this Amendment and any of the terms and provisions of the Original Task Order,the terms and provisions of this Amendment shall in all respects supersede,govern, and control. The Special Provisions shall always control over other provisions of the Original Task Order or any subsequent amendments thereto. The representations in the Special Provisions to the Original Task Order concerning the absence of bribery or corrupt influences and personal interest of State employees are presently reaffirmed. 3 6. FINANCIAL OBLIGATIONS OF THE STATE PAYABLE AFTER THE CURRENT FISCAL YEAR ARE CONTINGENT UPON FUNDS FOR THAT PURPOSE BEING APPROPRIATED,BUDGETED, AND OTHERWISE MADE AVAILABLE. 7. THIS AMENDMENT SHALL NOT BE DEEMED VALID UNTIL IT SHALL HAVE BEEN APPROVED BY THE CONTROLLER OF THE STATE OF COLORADO OR SUCH ASSISTANT AS HE MAY DESIGNATE. 4 IN WITNESS WHEREOF,the parties hereto have executed this Amendment on the date first above written.
