SUBJECT: Weld County Service Center
United Power has completed the agreement for the line extension to provide and install electric
service to the new building located at 4215 Weld County Road 24'%. The job has been released
to our operations department for installation.
Our operations superintendent is Mike Bertke. He is responsible for setting the schedule for our
installation crew. Please coordinate your work with Mike at 303-637-1228.
I will need to know your intentions for construction power. At this time, we have no provision
for a temporary transformer or meter. You and your electrician should decide your needs and
provide me a written plan. Any cost for temporary construction service will be invoiced to Rus-
Den.
Finally, I have enclosed an information request sheet, which you should fill in and retum to me.
If you have any questions, please give me a call.

FOR
PERMANENT SERVICE PLAN LINE EXTENSION
THIS AGREEMENT, made by and between UNITED POWER, INC., a Colorado corporation
(hereinafter called the "United") and Weld County Government , a County
(hereinafter called "Applicant").
WITNESSETH:
WHEREAS, the Applicant has requested United to install certain electric distribution facilities to
provide electric service for the Applicant's Southwest Service Center (hereinafter called
the "Project"), located at 4215 Weld County Road 24 1/2, and;
WHEREAS, United is willing to provide said facilities in accordance with its Service
Connection and Line Extension policies for "PERMANENT SERVICE PLAN" on file currently
in effect;
NOW, THEREFORE, for and in consideration of the mutual covenants and agreements
hereinafter contained, the parties hereby agrees as follows:
1. Except as otherwise provided herein; United shall install, own, operate and maintain an
underground line extension to provide 3 phase 4 wire, sixty cycle,
277/480 volt service for the Project. The Applicant shall not use the electric
power and energy furnished hereunder as an auxiliary or supplement to any other source of
power regardless of source thereof, except upon such terms and conditions as may be
lawfully adopted by United, and shall not sell electric power and energy purchased
hereunder.
2. The terms of this Agreement shall apply only to the line extension and those facilities
necessary to provide service to the Project as indicated on the plat attached hereto and
made a part hereof as"EXHIBIT A".
3. The Applicant shall provide United with an accurate copy of the final plat of the Project,
such other information as United may reasonably request.
4. The Applicant hereby grants to United the right to enter upon the land of the Applicant
described herein to construct, operate and maintain the electric distribution facilities,
together with full right of ingress and egress.
5. The Applicant desires to have the electric distribution facilities described herein installed
within 60 days. United does not warrant or promise that the facilities will be
installed within that time period,but it shall use reasonable diligence to provide said
facilities within that period of time. If said facilities cannot be installed within that period
of time,United shall not be liable therefor or for damages caused thereby,particularly
if installation is prevented by an Act of God, Governmental Authority, action of the
elements, accident, strikes, labor trouble, inability to secure materials or equipment, or
any cause beyond the reasonable control of United.
6. Applicant shall perform all right-of-way clearing required for the construction
of the facilities described herein in accordance with United's specifications.
7. United shall perform all trenching and backfilling, including any rock
removal and backhoe work, in accordance with United's specifications.
8. The Applicant shall establish and stake all easements of rights-of-way on land owned by
the Applicant for installation of United's facilities. The Applicant shall assume all
responsibility for proper location thereof and shall reimburse United for any expense due
to subsequent changes and for any damage claims against United, including full
reimbursement for damages established and expenses incurred in regard thereto, plus
reasonable attorney's fees and court costs.

9. United shall install the facilities described herein in accordance with good engineering
practice after the Applicant has established said right-of-way, cut easements to final grade
and prior to the paving of any streets and the construction of any curbs and gutters. The
Applicant shall reimburse United for any expense due to subsequent changes by the
Applicant.
10. The Applicant shall be responsible for coordinating all construction activities within the
Project, including but not limited to the installation of utilities. The Applicant shall
reimburse United for any expenses incurred by United to repair damages to its facilities
caused by the Applicant or other parties during the construction period.
11. Electric service shall be provided hereunder to the Applicant under United's applicable
rates and upon the terms and conditions now in effect or at the rates and upon such terms
and conditions as may hereafter be lawfully adopted by United for such service. The
Applicant shall pay United not less than $84.51 per month for industrial distribution
secondary service. The initial billing period shall start when the consumer begins using electric
power and energy or 30 days after United notifies the consumer in writing that service is
available,whichever comes first. The Applicant agrees to guarantee the payment of such amount
continuously to United until such time as said obligation is assumed in writing by a subsequent
owner of the same premises. Said assumption shall be in form suitable to United and be subject
to approval by United. In the event the Applicant ceases taking electrical service hereunder prior
to the end of the terms of this agreement, the Applicant agrees to reimburse United a
proportionate amount of the construction allowance shown in paragraph 12.
12. The Applicant shall be entitled to a total standard construction allowance of $6,050 for the
Service Center and $350 for one streetlight to apply against the cost of the line extension to
be installed hereunder by United. In accordance with the Permanent Service Plan Line Extension
Policy, the Applicant shall advance a non-refundable construction deposit of $23,168 to
United; said deposit being equal to the estimated total cost of the line extension less the amount
of said standard construction allowance. Upon completion of the construction of the line
extension, the construction deposit shall be compared to the actual cost of the line extension as
entered into the books of United. If the actual cost is less than originally estimated, United shall
refund the difference to the Applicant. If the actual cost to United proves to have been greater
than the construction deposit,the Developer shall pay the difference to United within thirty (30)
days following written notice of such excess amount.
13. The estimate of the cost of electric facilities to be provided hereunder shall be valid until
July 31, 2001 . United reserves the right to revise said estimate and to
require an increase in the non-refundable construction deposit from the Applicant in the
event there are unexpected costs to install said facilities. Such costs shall be described
on a change order and billed to the Applicant according to the time, equipment, and materials
required. If the Applicant requires construction of facilities when the ground is frozen,
a time of inclement weather, or where blasting is required,which will result in
construction costs greater than the cost originally estimated, the Applicant shall advance
the estimated additional cost to United, as a contribution in aid of construction,prior to
the construction of facilities.
14. United may connect additional customers(s) and provide service thereto from the line
extension. If the connection of additional customers results in a lesser construction
deposit for the Applicant under the terms and conditions of the Permanent Service Plan
Line Extension policy,United shall refund to the Applicant, without interest, Applicant's
proportionate share of the construction deposit(s)provided by the additional customer(s).
The right to refund shall cease at the end of the five (5)year period immediately
following completion of the construction of the extension or upon bankruptcy of the
Applicant, whichever occurs earlier.
15. The Applicant may terminate this agreement at any time prior to the actual construction
of electric facilities described herein by United. In such an event, a portion or all of the
consideration paid by the Applicant in advance to United hereunder shall be used to
reimburse and pay United for all expenses or liabilities which may theretofore have been
incurred by United for engineering, construction, materials and equipment purchased or
ordered,prior to the date of termination; with the balance of construction deposit, if any

to be refunded to the Applicant. If the actual cost to United proves to have been greater
than the construction deposit, the Applicant shall pay the difference to United within
thirty(30) days following written notice of such excess amount.
16. This Agreement shall be binding upon the inure to the benefit of the successors, legal
representatives and assigns of the respective parties hereto.
