Dear Todd:
I enclose the Surface Use Agreement covering the above captioned well for your clients review and
execution. As we have discussed, the well, flow line and associated production facilities shall be
located as shown on the Exhibit "B" attachment to the Agreement which was drawn in coordination
with your surface development plat for Latham View Estates.
Patina Oil & Gas Corporation's preferred construction method of the access road that will service the
well and production facilities as well as the lot owners of Latham View Estates would be gravel road
base rather than asphalt paving. A simple gravel road will be easier to construct and maintain from
and oil&gas operation standpoint.
If the terms and conditions of the Agreement are acceptable to your clients, please have the same
signed and returned to the undersigned. Please do not hesitate to call if you have any comments or
questions.

This Memorandum is made this 18th day of May, 2001, by Patina Oil & Gas Corporation
("Patina"), 1625 Broadway, Suite 2000, Denver, CO 80202.
On April 24, 2001, David E. Keiser and Michael Sigg ("Surface Owner") and Patina
entered into a Surface Use Agreement (the "Agreement") providing for the use of the surface of
the land described below by Patina in connection with certain oil and gas operations and the
compensation to Surface Owner for all damages (except as provided in the Agreement) to the
surface of the land associated with the drilling, testing, completion, recompletion, reworking,
reentry, pumping, operation and maintenance of the wellsite to be located in:
Township 4 North, Range 65 West, 6th P.M.

Weld County, Colorado
This Memorandum of Agreement is executed by Patina and placed of record in Weld
County, Colorado for the purpose of placing all persons on notice of the existence of the Surface
Use Agreement. A true and complete copy of the Agreement is available from Patina to any
person with an interest in the above described land.
