the Board of Equalization for the purpose of adjusting, equalizing, raising or lowering the
assessment and valuation of real and personal property within Weld County, fixed and made by
the County Assessor for the year 2001, and
WHEREAS, said petition has been heard before the County Assessor and due Notice of
Determination thereon has been given to the taxpayer(s), and
WHEREAS, the taxpayer(s) presented a petition of appeal of the County Assessor's
valuation for the year 2001, claiming that the property described in such petition was assessed
too high, as more specifically stated in said petition, and
WHEREAS,in lieu of the hearing scheduled before the Board of Equalization a Stipulation
was agreed upon by the Assessor and said petitioner(s), and
WHEREAS, the petitioner(s)and the Weld County Assessor agree that the assessment

NOW,THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, acting as the Board of Equalization, that the Stipulation agreed to by the Weld County
Assessor and the above-named petitioner(s) be, and hereby is, accepted by the Board.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 3rd day of August, A.D., 2001.

LETTER OF ESTOPPEL AND CONSENT

RE: Lease Dated 12/19/84 between John R.P. Wheeler ("Lessor")
and Commonwealth Theatres Realty, Inc. ("Lessee"), as
amended (the "Lease")(Re£. No. CO-34) . See Schedule A for
Lease Documents.
Gentlemen:
The undersigned Lessor has been informed that Lessee has
reached an agreement for the sale of its theatre division to
United Artists Realty Company, a Delaware corporation
("UARC") . In connection with the proposed sale, Lessor has
been asked to consent to an assignment of Lessee's interest in
the Lease to UARC or an affiliate as described in this Letter.
In connection with UARC's acquisition by assignment of the
Lease, the undersigned hereby certifies to UARC and its
affiliates that the following information is true and correct
as of the date hereof:
(1) Schedule A lists all of the lease documents, and they
have not been further amended or modified;
(2) The current term of the Lease will expire on 8/31/06,
with options exercisable by Lessee to renew the Lease
for 2 additional periods of 5 years;
(3) The Lease is in full force and effect and no default
by the Lessee has occurred and is continuing under
the Lease, and no event has occurred and is
continuing which with the giving of notice or the
lapse of time, or both, will constitute a default
thereunder on the part of Lessee. The Lessor is not
in default in the performance or observance of any of
its obligations under the Lease;
(4) The rent and all other charges payable by the Lessee
for the period through August 31, 1988, other
than have been paid;
(5) The basic monthly minimum rental is $9,000.00;
additional percentage rental payable under the Lease
is accurately set forth in Schedule B hereto;

SECOND MODIFICATION OF LEAST
THIS AGREEMENT is made as of January 1, 199O between WHEELER REALTY
COMPANY, a Colorado Corporation, ("Landlord"), whose mailing address is 1331 8th
Avenue, Greeley, Colorado 8O631, and UNITED ARTISTS (REALTY COMPANY, a Delaware
Corporation, ("Tenant") , having an office at 113 Middleneck Road, Great Neck,
New York 11O21 , with respect to the following facts and objectives:
A. 8y that certain December 19, 1984 Lease, Landlord (by its predecessor
in interest) leased to Tenant (by its predecessor in 'interest) and Tenant agreed
to lease from the Landlord the land as therein described together with a
four auditorium motion picture theatre complex to be: constructed by Landlord*
commercial center commonly known as the Bittersweet Center, Greeley, Colorado,
as more fully described in said lease, which lease as thereafter assigned and
amended by modification of Lease dated January 15, 1986 shall and hereinafter be
called the "Lease", and
B. Landlord and Tenant now desire to modify the Lease in certain respects,
all as hereinafter set forth.
NOW, THEREFORE, in consideration of the nutual promises herein contained
and other good and valuable consideration, the receipt and sufficiency of which
are hereby acknowledged by both Landlord and Tenant, it is agreed:
1 . Supplementing Article 11 of: the Lease, it is hereto agreed as follows:
The Leased Premises are presently separately assessed or Landlord shall
cause said premises to be separately assessed. Landlord and/or Tenant
as appropriate shall each send such notices as called for to the taxing
authorities to have all real property tax bills and special assessments
on the Leased Premises sent directly to Tenant. Tenant shall pay all
said tax bills and assessments when due and provide Landlord and its
mortgagee (if name and address is supplied to Tenant by Landlord) with
proof of payment.
2. Except as hereinafter set forth, the provisions of said Lease shall
remain in full force and fact and each party hereto ratifies said Lease as
herein amended.

The Weld County Board of Equalization has set a date of August 3, 2001, at or about the hour of
9:00 AM,to hold a hearing on your valuation for assessment. This hearing will be held at the Weld
County Centennial Center, First Floor Hearing Room, 915 10th Street, Greeley, Colorado.
You have a right to attend this hearing and present evidence in support of your petition. The Weld
County Assessor or his designee will be present. The Board will make its decision on the basis of
the record made at the aforementioned hearing, as well as your petition, so it would be in your
interest to have a representative present. If you plan to be represented by an agent or an attorney
at your hearing, prior to the hearing you shall provide, in writing to the Clerk to the Board's Office,
an authorization for the agent or attomey to represent you. If you do not choose to attend this
hearing, a decision will still be made by the Board by the close of business on August 6,2001, and
mailed to you on or before August 10, 2001.
Because of the volume of cases before the Board of Equalization, all cases shall be limited to 15
minutes. Also due to volume, cases cannot be rescheduled. It is imperative that you provide
evidence to support your position. This may include evidence that similar homes in your area are
valued less than yours or you are being assessed on improvements you do not have. Please note:
The fact that your valuation has increased cannot be your sole basis of appeal. Without
documented evidence as indicated above, the Board will have no choice but to deny your appeal.
At least two(2)working days prior to your hearing the Assessor will have available,at your request,
the data supporting his valuation of your property.
