HomeMy WebLinkAbout20012652 SHAW ASSIGNMENT AND ASSUMPTION OF MINING AGREEMENT AND MINERAL DEED This Shaw Assignment and Assumption of Mining Agreement and Mineral Deed (this "Assignment") dated as of the 7 day of June, 1991, is by and between Frontier Sand and Gravel, Inc. , a Colorado corporation ("Assignor") and Mineral Reserves, Inc. , a Colorado corporation ("Assignee") . W I I H E S S E T H: WHEREAS, a Mining Agreement (the "Mining Agreement") was executed on October 8, 1987, by and between Virginia Shaw ("Shaw") , a feme sole, as seller, and the Assignor, as purchaser, by the terms of which certain rights in the property described on Exhibit "A" attached hereto and incorporated by reference herein (the "Property") were conveyed to the Assignor, as purchaser, for a term of fifteen years, commencing on October 8, 1987, and ending on October 8, 2002, subject to earlier termination as therein.provided; WHEREAS, a Mineral Deed (the "Deed") was executed on October 8, 1987, by and between Shaw, as seller, and the Assignor, as purchaser, by the terms of which all sand and gravel in place and existing in and under and that may be produced from the Property was conveyed by Shaw to Assignor, as purchaser, together with a right of ingress and egress and certain additional rights in the Property, for a term of fifteen years, commencing on October 8, 1987, and ending on October 8, 2002, subject to earlier termination as therein provided; WHEREAS, on June Z_, 1991, Shaw and Assignor entered into that certain Amendment of Shaw Mineral Deed and Mining Agreement; Shaw-15r-E5Fr—racr—ESHEiiit Certificate wherein Shaw and Assignor agrees to extend the Assignor's rights of ingress and egress and additional rights in the Property to a term of fifteen years from the date all necessary permits are obtained in connection with the mining of the Property; WHEREAS, pursuant to the terms and provisions of that certain Purchase Agreement (the "Agreement") dated as of June 7 , 1991 by and between Frontier Materials, Inc. , on Inc. , all as seller, and Western-Mobile Boulder, Inc. and Mineral Reserves, Inc. , all as buyer, Assignor agreed to assign, transfer and deliver to Assignee its rights under the Mining Agreement and the Deed (the Mining Agreement and the EXHIBIT 2001-2652 1 17 Deed are referred 'to herein, collectively, • as the "Mining Documents") and. the Assignee agreed to be bound by and to perform the terms, covenants and conditions of Assignor contained in such Mining Documents; WHEREAS, as of even date herewith, Assignor executed a Mineral Deed by the terms of which Assignor conveyed to Assignee all of the sand and gravel in place and existing in x and under and that may be produced from the Property, together with a fifteen year right of ingress and egress to the Property for a term commencing on the date all necessary permits are obtained in connection with the mining of the Property; and WHEREAS, the Assignor now desires to assign Assignor's remaining interest in the Mining Documents to the Assignee, and the Assignee desires to accept the Assignment. NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, and other good and valuable consideration, ,the receipt and sufficiency of which is hereby acknowledged, Assignor and Assignee hereby agree as follows: 1. Assignor hereby transfers and assigns to Assignee, subject to the terms of the Agreement, all of Assignor's right, title and interest in and to the Mining Documents, including but not limited to Assignor's right to the possession of the Property and Assignor's interest in any prepaid royalties pursuant to the terms of the Mining Documents. 2. Subject to the terms of the Agreement, the Assignee hereby assumes, agrees to be bound by, and undertakes to perform, from and after the date hereof, each and every one of the terms, covenants and conditions required of the Assignor in the Mining Documents, including but not limited to the making of all payments due to the seller when due and payable. 3. Assignor's representations and warranties (including but not limited to environmental representations and warranties) to Assignee and all obligations of each party to indemnify the other as provided for in the Agreement are incorporated by reference herein to the extent such representations, warranties and indemnity obligations affect the Property, all such representations and warranties and indemnity obligations expressly surviving the closing and termination of the Agreement. 4. Assignor hereby covenants and agrees with Assignee to _ sign, seal, execute, and deliver, or cause to be signed, sealed, executed, and delivered and to make or cause to be made, upon the reasonable request of Assignee, all additional - 2 - agreements, instruments, papers , deeds, acts, or things, supplemental, confirmatory, or otherwise, as may reasonably be requested by Assignee, for the purpose of or in connection with the assignment of the Mining Documents by Assignor to Assignee. 5. All of Assignor's and Assignee's rights and remedies under this Assignment shall inure to the benefit and advantage of the successors and assigns of Assignor and Assignee forever. 6. This Assignment may not be amended or modified except by instrument or instruments in writing signed by or on behalf of the parties against whom enforcement of any such amendment or modification is sought. 7. This Assignment shall be governed by, enforced in accordance with, and interpreted under the laws of the State of Colorado, without giving effect to the principles of conflicts of laws thereof.
