RE: APPROVE AMENDMENT TO AGREEMENT FOR PHYSICIAN SERVICES AND
AUTHORIZE CHAIR TO SIGN - BANNER HEALTH SYSTEM
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Amendment to the Agreement for
Physician Services between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Weld County Department of Public
Health and Environment, and Banner Health System, with terms and conditions being as stated
in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Amendment to the Agreement for Physician Services between
the County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, on behalf of the Weld County Department of Public Health and Environment, and
Banner Health System be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 21st day of February, A.D., 2001.

SUBJECT: Amendment to Agreement for Physician
Services
Enclosed for Board review and approval is an amendment to the Agreement for Physician
Services between Banner Health System as operator of North Colorado Medical Center dba
North Colorado Family Medicine and the Board of County Commissioners of Weld County. This
document is amending the agreement dated September 20, 1995 in which the Residency
Program agreed to provide Weld County with physician and substitute medical consultant
services
The amendment will change all references to "Western Health Network, Inc. operator of North
Colorado Medical Center d/b/a/ North Colorado Family Medicine" to "Banner Health System, a
North Dakota non-profit corporation, operator of North Colorado Medical Center DBA North
Colorado Family Medicine." It also adds a section to the agreement that addresses
governmental access to books and records because of possible application of Section
1395x(v)(1)(I) of the Social Security Act.
I recommend your approval of this amendment.

AMENDMENT TO THE AGREEMENT FOR PHYSICIAN SERVICES
This Amendment is made to the Agreement for Physician Services between Western Health
Network, Inc., now known as Banner Health System, a North Dakota non-profit corporation,
operator of North Colorado Medical Center dba North Colorado Family Medicine, hereinafter
referred to as "Residency Program," and the Board of County Conunissioners of Weld
County, Colorado, on behalf of the Weld County Board of Health, Weld County, Colorado,
hereinafter referred to as "Weld County."
RECITALS
A. Residency Program and Weld County entered into that certain Agreement, dated
September 20, 1995, pursuant to which Residency Program agreed to provide Weld
County with physician and substitute medical consultant services.
B. Residency Program and Weld County now desire to amend the Agreement and
Amendments thereto, if any, in certain respects.
Now, therefore, incorporating the above Recitals and in consideration of the mutual covenants
herein contained, the parties hereto agree as follows:
1. References to "Western Health Network, Inc., operator of North Colorado Medical
Center d/b/a North Colorado Family Medicine" shall be changed to "Banner Health
System, a North Dakota non-profit corporation, operator of North Colorado Medical
Center dba North Colorado Family Medicine" in all cases.
2. Section 10. Notices , address for Residency Program shall be amended as follows:
Residency Program: Banner Health Colorado

Attn: Contract Manager
3. Section 16 shall be added as follows:
Governmental Access to Books and Records. Residency Program shall retain and make
available upon request for a period of four (4) years after the furnishing of such services as
described in this contract, the contract, books, documents and records which are necessary to certify
the nature and extent of the cost thereof when requested by the Secretary of Health and Human
Services or the Comptroller General, or any of their duly authorized representatives.

If Residency Program carries out any duties of this contract through a subcontract with a
related organization, valued at $10,000 or more over a 12-month period, the subcontract shall also
provide that the Secretary of Health and Human Services or the Comptroller General may have
access to the subcontract and the subcontractor's books, documents and records necessary to verify
the costs of the subcontract for a period of four years after the services have been furnished.
This provision relating to the above retention and production of documents is included
because of possible application of Section 1395x(v)(1)(I) of the Social Security Act to this
Agreement; if this Section should be found to be inapplicable, then this clause shall be deemed to be
inoperative and without force and effect.
4. Full Force and Effect.
Except as expressly provided herein, the Agreement shall remain unmodified and in full
force and effect.
In Witness Whereof, the Parties have hereunto set their hand and seals effective the 15` day of
January, 2001.
