EASEMENT AND RIGHT-OF-WAY GRANT
(Roadway)
For and In consideration of the sum of $10.00 (Ten Dollars) and other goixl and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, HS
RESOURCES, a Delaware corporation, whose address is 1999 Broadway, Suite 1600,
Denver, Colorado 80202, ("Grantor," whether one or more) hereby grants, bargains, sells,
assigns and conveys to HS GATHERING,L.L.C.,a limited liability company,whose adclrns is
1999 Broadway,Suite 3600, Denver, Colonrde 80202("Grantee"),an ornament and I ifh4of-
way ki and across the following real estate,to wit

Weld County.Colorado
(the "Land") together with full rights of ingress and egress to and from the Land for the
purposes hereafter specified.
The easement and right-of-way Is granted for the purpose of providing Grardre, its
employees,agents,contractors and licensees access to the Land to conduct any activllie s that
are necessary for its current or future oil and gas operations on or adacent to thE. Land,
including, without limitation, the right to build, construct, knprove, repair, use and main-akr a
roadway("Roadway),to transport,haul,or provide access to Grantee's Platteville Compressor
Station and to carry on Grantee's oil and gas operations within said Compressor Station
The Roadway shall enter the Land from Weld County Road 37 beginning at
approximately 1,940 feet north of Weld County Road 32,thence running in a souttrwrestery
direction approximately 750 teat,thence running in a northerly direction approxn ately 12 3 feet
to the gate on the southeasterly side of the fence around the Platteville Compressor Stalk in.
it is agreed that the easement and right-of-way granted herein shall be binding upon
and run with the surface ownership of the Land and shall not be held or transferred separately
therefrom and shall continue for the benefit of Grantee and Its successors and assiirs, as
owners of the Compressor Station and related equipment in the Land.
The easement and right-of-way granted herein shall remain in effect for :co long
thereafter as the Compressor Station and related equipment is located upon the Lane,or so
long as any other oil and gas facility of Grantee is located upon the Land or on lands rdjacent
thereto,or as long as any other nil or gas facility serviced by the Roadway Is in Lrse.
This easement end right-of-way grant shall be binding upon the heirs, exr:culors,
administrators,successors,
and assigns of the parties hereto.
