Each of the undersigned hereby warrants that he/she is the owner of the Interest set out opposite his/her name in the oil produced from and in the
proceeds of the gas sold from or used off the lease or unit known as See Exhibit"A"well located in Boulder County,State of Colorado,which lease or
unit is described as follows:

Until further written notice,you are hereby authorized to give credit for all proceeds derived from the oil produced from and gas sold
from or used off said property as follows:

Until further written notice,you are authorized,for your own accounts,to receive such oil into your possession or the
possession of any person or corporation designated by you,the oil so received to be ran and measured in accordance with customary pipeline rules and
regulations including those of the governmental agency having recognized jurisdiction over or control of the production and handling of oil in such area.
2. The oil run hereunder shall,on the terms herein stated,become your property immediately upon being received into your
possession or the possession of your designated nominee;and you agree to receive the oil run hereunder and subject to the further provision hereof,to
pay the respective owners therefor according to the division of interest herein indicated,either at your posted per barrel(42 gallons)field price for
similar oil prevailing for the field where produced on the date of each respective run,or if the oil purchased by a nominee,the price to be paid shall be
the same price received from such nominee,or if you do not post a price for such oil,the price to be paid shall be an agreed price,and in the absence of
a pipeline connection,all prices are subject to deduction of barging or trucking costs.
3. For gas sold and/or used by you off the lease or unit,settlements shall be based upon the market value at the well. For
gas sold at the well,settlements shall be based upon the net sales price received by you at the well.
4. Settlements and payments based upon the prices set forth herein are to be made monthly by your checks mailed to the
respective persons interested at the addresses given herein. The undersigned authorize you to withhold their proportionate share of all taxes now or
hereafter imposed including without limitation all taxes imposed upon the production, severance, ad valorem, gathering, processing, and marketing
thereof. At your option,you many hold, without interest, and remit annually for the aggregate of 12-months accumulation of monthly accruals of
amounts less than Twenty Five Dollars($25 00).
5. Each of the undersigned hereby(I)warrants and guarantees the title to his/her interest in the oil and in the net proceeds
of gas sold or used off the property,and(2)in case of an adverse claim or claims to the oil run to his credit or his/her interest in the net proceeds of the
gas sold or used off the property or any part thereof,agrees to furnish indemnity satisfactory to you against all adverse claims and hereby authorizes you
to retain all proceeds accruing to the undersigned without any obligation to pay interest on the amount so withheld until the required indemnity shall
have been furnished or until the dispute as to the ownership of the production involved is settled. You are hereby relieved of any responsibility for
determining when any of the interests herein set forth shall revert to other parties as a result of the completion or discharge of money or other payments
from said interests.It is understood that any assignee/grantee/buyer of any interest in said property or the production thereof shall take subject to the
terms hereof,and you shall not be bound by any sale or assignment of any interest in said property until written notice thereof shall be furnished you in
the form of the original or a certified copy of the instrument by which said sale or assignment was made. Regardless of the effective date of the
instrument of conveyance,all transfers shall be made effective as of 7:00 am of the first day of a calendar month in which said written notice is received;
and transfers shall not be made effective earlier than the first day of the calendar month in which said written notice is received. Transferor and
Transferee are responsible for making any necessary adjustments for payments made by Patina Oil & Gas Corporation and/or SOCO Wattenberg
Corporation to the Transferor for oil and gas produced after the effective date of the transfer.'thus,if the Transferor receives or has received payments
to which the Transferee is entitled under the terms of a conveyance or agreement,the adjustment or reconciliation for such payments must be handled
directly between Transferor and Transferee.
6. The word"OIL",as used herein,is hereby declared to include all liquid hydrocarbons purchased hereunder;and the word
"GAS",as used herein,is hereby declared to include all gaseous substances including oil well gas(casinghead gas).
7 The undersigned hereby expressly ratify and confirm the oil,gas,and mineral lease or leases,pursuant to which oil and
gas from the property is being produced and sold,any amendments and supplements to such lease or leases including any designations,declarations,or
agreements creating the unit including the above described property,if such be the case.
8. This division order may be executed in counterparts and shall be binding on and shall inure to the benefit of each signer
hereto,his/her heirs,successors,and assigns,whether or not it is executed by all parties named herein.

Dear Mr. Barker:
Enclosed for your review are copies of correspondence between Weld County and Patina
over the last few years regarding Weld County's royalty interest in the referenced wells.
In answer to your question in your letter dated October 1, 1999, please refer to the letter
from Gerrity Oil & Gas Corporation dated July 19, 1995, which explains the interest
calculations for the wells in question. As you will see, the calculations for the interests in
our Division Order dated September 23, 1999 are explained in that letter.
After your review, if you agree with Patina's calculations, please sign the original
Division Order dated September 23, 1999 and return it to our office. If you need another
copy please let me know. Or, if you have any other questions, please feel free to call or

RE: Division Order for Weld County, Colorado
Dear Mr. Srikijkrn:
The Board of County Commissioners of Weld County, Colorado has received a Division Order
for various leased oil and gas interests it has in Section 30-5063. A copy of the Division Order is
enclosed.
I am somewhat uncertain as to whether the royalty interests included in Exhibit "A" attached to
the Division Order are correct. I therefore respectfully request that you provide me with
documentation showing how Patina arrived at those the numbers.

Dear Mr. Barker,• In response to your letter of June 29, 1995, I am enclosing for your review and execution
Corrected Oil &Gas Division Orders covering the captioned wells. The previous Division
Orders that you received were based on a title opinion which used an estimated acreage figure
to calculate Weld County's royalty interest. Once the leases were executed depicting the
correct acreage figures,the title opinion should have been updated and the interests corrected.
Unfortunately,this was not the case and I apologize for this oversight.
The interests reflected on the enclosed Division Orders was calculated as follows:
Monfort BB30-11 & 14 wells(E/2SW/4 of section 30)
4.1314 ac/80 ac unit x 1/2 mineral interest x 12.5%royalty= 0.322766%RI
Rothe BB30-10 & 15 wells(W/2SE/4 of section 30)
1.7985/80 x 12.5%x 12.5%=0.035127%RI
Should you have any questions or require any additional information,please do not hesitate to

Section 30,Township 5 North,Range 63 West
Dear Mr. Latimer:
The Board of County Commissioners of Weld County, Colorado has received a proposed Oil and Gas
Division Order from Gerrity Oil and Gas Corporation for property located in the W2SE4 of Section 30,
Township 5 North,Range 63 West of the 6th P.M.,Weld County,Colorado. Weld County's records show
that the County has two properties in the SE4SW4 and the SW4SE4 of Section 30-5-63. Those properties
are 1.7 85 and 4. 14 acres in size,respectively.
I am,at present,uncertain as to how Gerrity Oil and Gas Corporation calculates the decimal interest for the
property held by Weld County in the W2SE4 of Section 30-5-63 at .00027730. I therefore respectfully
request that you provide me with information regarding how Gerrity calculates this decimal interest.

office during the week of July 3, 1995,but will return on July 10, 1995.
