Dear Mr. Gathman:
This law firm represents Ken-McGee Rocky Mountain Corporation ("KMRMC")
(formerly HS Resources, Inc.) and its subsidiary, Kerr-McGee Gathering, LLC ("KMG").
KMRMC and KMG may be collectively referred to as "Ken-McGee." Kerr-McGee owns
certain oil and gas leasehold interests and pipeline easement rights in the above captioned lands
(the "Property"). The purpose of this letter is to respond to the Planning Commission's request
for comment with respect to Northern Colorado Constructors, Inc.'s Site Specific Development
Plan and request for a Special Use Permit for a Mineral Resource Development Facility (the
"Surface Development Plan"), as related to a portion of the Property.
As stated, KMRMC and its subsidiary, KMG, currently own the oil and gas leasehold
estate and pipeline easements in and on the Property, respectively. Enclosed for your review is
Ken-McGee's Notice of Oil and Gas Interests and Surface Use with respect to the Property,
dated November 17, 2000, as recorded in the Weld County real property records on December
28, 2000, at Reception No. 2813679. Kerr-McGee's estate and interests are derived from those
valid and subsisting oil and gas leases that are described on Exhibit A to the enclosed Notice.
Also enclosed is a pipeline map showing the location of the 829-04" pipeline running through
the Property.

Kerr-McGee believes that the oil and gas resources underlying the Property have
significant value and is, therefore, concerned about any surface use or plan of use that would
restrict or preclude the use and enjoyment of those rights by Kerr-McGee. Kerr-McGee is also
concerned about the health and safety issues raised by any anticipated development.
While we have not yet had the opportunity, it is Kerr-McGee's preferred practice to meet
with and attempt to conclude a mutually acceptable surface use agreement, and right-of-way
agreement, with the surface owners in the early stages of the process to accommodate both
surface and mineral development. This agreement should adequately address oil and gas
development, including access to existing wells on the Property, and access for future
development.
Kerr-McGee respectfully requests that the Planning Commission take into consideration
Kerr-McGee's rights for future development prior to approving the Surface Development Plan.
Accordingly, in the event that a mutually acceptable surface use agreement is not executed with
the surface owners, Kerr-McGee reserves the right to object to any such proposed development.

NOTICE OF OIL ANI) GAS INTERESTS AND SURFACE USE
This Notice of Oil and Gas Interests has been prepared and is being filed of record by 11S
Resources, Inc., (hereinafter, "I ISR") whose address is 1999 Broadway, Suite 3600, Denver,
Colorado, for the purpose of providing additional public notice of its rights to make use of the
surface of the lands described below lot oil and gas exploration,development and related operations.
For such purpose, IISR hereby stales as Ibllows:
I ISR is the owner of certain oil and gas leasehold rights affecting the following described
lands in Weld County, Colorado (the "Lands"):

HYDROCARBON PRODUCTS AS \VELL AS RIG IITS OF ACCESS AND USE OF 'HIE
SURFACE OF THE LANDS FOR CONSTRUC'T'ION, INSTALLATION, MAINTENANCE,
REPAIR, REPLACEMENT AND MONITORING OF \YELLS, WELL LOCATIONS,
EQUIPMENT, MUD AND RESERVE PITS, SEPARATORS, TANK BATTERIES,
PIPELINES,GATHERING LINES, FLOWLIN ES,PIPELINE INTERCONNECTIONS AND
ANY ANI) ALL OTHER REASONABLE OR CUSTOMARY USES OF '1'11E LANDS
RELATED TO SUCH OPERATIONS.
Exhibit "Ii'" attached hereto is a plat of the Lands showing the allowable locations under
Colorado Oil and Gas Conservation Commission Rule 3ISA and indicates potential drillsite
locations where oil and gas drilling operations may occur.
This Notice is intended to remain in effect for so long as the Leases, or any extensions or
renewals thereof, remain in effect as to any portion of the Lands. It is not intended to enlarge,
diminish or in any other way modify the respective rights, interests or titles of any party owning an
interest in the Lands, but is to be construed only as giving notice of I ISR's lawful rights under the
applicable Leases and the laws of the State of Colorado.
