This Warranty Deed(this"Instrument"),dated effective as of February 8, 1996 at
7:00 A.M.,local time(the"Effective lime"),is from CONQUEST DISPOSAL SERVICE LTD.
LIABILITY CO.,a Colorado limited liability company("Conquest Disposal"),and CONQUEST
OIL COMPANY,a Colorado corporation("Conquest Oil"),1610 29th Avenue Place,Suite 200,
Greeley, Colorado 80631 (Conquest Disposal and Conquest Oil being collectively called
"Grantor"),to MARCUM MIDSTREAM 1995-2 BUSINESS TRUST,a Delaware business trust
("Grantee"),1675 Broadway,Suite 2200,Denver,Colorado 80202.
For 310.0O and other good and valuable consideration,the receipt and sufficiency
of which are hereby acknowledged by Grantor,Grantor hereby transfers,grants,bargains,sells
and conveys to Grantee,and its successors and assigns,the following(all of which are herein
called the"Property"):
1. The real property located in Weld County,Colorado described in Exhibit
A attached hereto and made a part hereof(the"Fee Land"),together with all the property,
appurtenances and rights incident to the Fee Land,including without limitation all rights
in, to and under all leases, permits, rights-of-way, easements-and licenses in any way
relating thereto;and
2. The fixtures and improvements now or as of the Effective Time on the Fee
Land or appurtenant thereto.
To have and to hold the Property unto Grantee and its successors and assigns
forever.
Grantor represents,warrants and agrees to and with Grantee,and its successors and
assigns,that,except as set forth in Exhibit A,Grantor has good,absolute and marketable title to
the Property,free and clear of all liens,encumbrances,burdens,claims and defects of title of any
kind,and Grantor shall warrant and forever defend the title of Grantee,and its successors and
assigns,to the Property.
Grantor also hereby grants and transfers to Grantee,and its successors and assigns,
to the extent so transferable,the benefit of and the right to enforce the covenants and warranties,
if any, which Grantor is entitled to enforce with respect to the Property against Grantor's
predecessors in title to the Property.
The references herein to liens,encumbrances,burdens,defects and other matters are
for the purpose of defining the nature and extent of Grantor's warranty and shall not be deemed
to ratify or create any rights in third parties.

Unless provided otherwise,all recording references in Exhibit A are to the official
real ptuve.ty records of Weld County,Colorado.
This Instrument shall bind Grantor and inure to the benefit of Grantee,and their
respective successors and assigns.
Executed on February 8, 1996,to be effective for all purposes as of the Effective
Time. .

A tract of Land located in the SE1/4 of Section 8,Township 4 North,Range 64
West of the 6th P.M.,County of Weld,State of Colorado.and being that tract of
land lying South of the Southerly right-of-way of the Gilmore Canal as described
in Book 262,page 118,recorded December 23, 1911,in the Weld County records
and being more particulary described as follows:
Beginning at the Southeast corner of said Section 8 and considering the East line
of said Southeast quarter to bear North 00 degrees 00 minutes 00 seconds East,and
with all other bearings contained herein relative thereto;
Thence North 00 degrees 00 minutes 00 seconds East,697.64 feet along said East
line to a point on the Southerly right-of-way line of said Gilmore Canal, said
