Miller assigned to TAP Energy LLC DATED: October 27, 1999 extended to April 27,2003 RECORDED: #2730666 11/03/1999 Weld Co.,CO and, WHEREAS, under the provisions of each of said leases,the Lessee is granted the right and power to pool and combine the lands covered by each of said leases, or any portion or portions thereof, with other lands for the exploration and development thereof and the production therefrom of oil, gas and associated hydrocarbons;and, NOW, THEREFORE, pursuant to the right and option granted under each and all of the leases and pursuant to the terms and provisions thereof, the undersigned parties do hereby consolidate and pool the following described lands situated in Weld County,Colorado,to wit: Township 3 North, Range 61 West Section 1: S/2SW/4 Section 12:NW/4 Containing 240 acres more or less which lands are described in and covered by the said leases, into a consolidated and pooled area or unit for the exploration, development and production of oil, gas and associated hydrocarbons therefrom; and the undersigned parties execute this instrument as a formal declaration that the leases, insofar as they cover and pertain to the above described lands,are hereby combined and pooled under the terms and provisions of each of said leases. Box 758 Greely, Colorado 80631 Re: Payment of Rental, Declaration of Pooling Notification of Intention to Drill Gentlemen: Please direct your attention to the following items enclosed herewith: 1. Annual Rental Payment, our Check# 1048, in the amount of$160.00 for Weld County Oil and Gas Lease dated March 13, 2002, Weld County as Lessor and Pool Oil & Gas LLC Lessee (assigned TAP Energy LLC 6/11/02) and covering 160 acres described as: NW1/4 Section 12, Township 3 North, Range 61 West, Weld County, Colorado. 2. DECLARATION OF POOLING, the enclosed pooling document pools two Weld County, as Lessor, leases to form a proposed drilling unit of 240 acres. It is our intention to commence drilling before the extended expiration date (4/27/03), of one of the leases, on the newly pooled lands. The original Pooling Document has been forwarded for recording, in Weld County Courthouse, and we will sent a copy of the recorded document when received back by us. 3. Notification of our intent to drill: In accordance with the provisions of Paragraph 18, of our Lease from Weld County, we hereby notify you of our intent to drill a well in the NW1/4 Sec.12, Twp. 3N,Rge. 61W. Smith Oil Properties, Inc. will act as Operator, and has filed Form 2, Application for Permit to Drill, with the State of Colorado. We enclose herewith a copy of the Survey Plat for the well location, and copy of the permission, of the Surface Owner, granting the Operator, Smith Oil Properties Inc., access to the lands on which drilling will occur. Barker Board of County Commissioners Weld County, Colorado Re: Declaration of Pooling Dear Mr. Barker: We are enclosing herewith a copy of a Declaration of Pooling we have forwarded to the Board of Commissioners under separate cover. If you would please, review the enclosed pooling agreement and verify you believe it will be acceptable to the Board of County Commissioners and is consistent with the lease terms. Pool Tap Energy, LLC 518 17th Street, Suite 1180 Denver, CO 80202 Re: Request for Title Information for Oil and Gas Leases Dear Ms. Pool: This letter is in response to your letter dated March 3, 2003,regarding oil and gas leases between Pool Oil and Gas, LLC, and Weld County, dated March 13, 2002, and Floyd H. Miller and Weld County, dated October 27, 1999. Those leases are recorded in the Office of the Weld County Clerk and Recorder at Reception Numbers 2945263 and 2730666,respectively. You ask in your letter if Weld County has any title information regarding the County's mineral ownership. You also inquire how and when Weld County acquired these mineral interests. Please be advised that the records of the Clerk to the Board of County Commissioners contains no title information regarding the mineral interests involved in these two leases. Furthermore, the files contain no information as to when or how the mineral interests were obtained by the County. It is rare that Weld County will have such information. Most, if not all, of the oil and gas leases held by the County are entered into by the Board at the request of the lessees. The County does not warranty its ownership of such minerals.
