RE: APPROVE ROAD SIGNALIZATION AGREEMENT FOR USE BY SPECIAL REVIEW
PERMIT#1360 AND AUTHORIZE CHAIR TO SIGN - LAFARGE WEST, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Road Signalization Agreement for
Use by Special Review Permit#1360 between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Public Works, and LaFarge West, Inc., with terms and conditions being as stated in said
agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Road Signalization Agreement for Use by Special Review
Permit#1360, between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Department of Public Works, and
LaFarge West, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 6th day of January, A.D., 2003.

ROAD SIGNALIZATION AGREEMENT
This AGREEMENT, made and entered into the 6th day of January 7003,
between the COUNTY of WELD, STATE of COLORADO, hereinafter called"County" and
LAFARGE WEST, INC. hereinafter called"Lafarge."
WHEREAS, Lafarge has been granted a Weld County Use by Special Review Permit (USR
1360) for a ready-mix concrete plant operation known as the Heaton Plant, on part of the East
1/2 (E 1/2) of the Northeast Quarter (NE 1/4) of the Northeast Quarter (NE 1/4) of Section 9, all
located in Township 2 North, Range 68 West of the 6th Principal Meridian, Weld County,
Colorado, and
WHEREAS, the intersection of Colorado State Highway 119 and Weld County Road 7 that
serves the Heaton Plant requires signalization due to current traffic volumes, and
WHEREAS, the County and Lafarge agree to share the cost of signalizing the intersection of
Weld County Road 7 and Colorado State Highway 119 (Hwy 119).
NOW, THEREFORE, in consideration of the mutual covenants and conditions hereinafter set
forth, the County and Lafarge agree as follows:
1. Lafarge will fund the signalization and roadway improvement project until Weld
County's 2003 budget year begins.
2. Lafarge's share of the cost to signalize the intersection of Hwy 119 and WCR 7
will not exceed $100,000.00.
3. The balance of the cost for signalization and road improvements will be paid by
the County.
4. Lafarge has asked the civil engineering firm of Felsburg, Holt &Ullevig (FHU) to
prepare a"Proposal for Traffic Signalization and Roadway Improvement Design
—Weld County Road 7 at State Highway 119 in Weld County, Colorado," a copy
of which is attached as Exhibit 'A' to this Agreement.
5. The County will coordinate the design review process with the Colorado
Department of Transportation(C-DOT) and FHU.
6. Lafarge will contract with FHU for signalization and roadway improvement
design once this Agreement is executed and the County provides Lafarge with
written authorization to proceed including confirmation that the County has
obtained all necessary authorizations including but not limited to funding for
same.

7. It is the intent of the parties to this Agreement that C-DOT solicit bids, select the
contractor, and provide construction management oversight of said signal
installation and related improvements if any.
8. The County will apply to C-DOT for authorization to signalize the intersection.
9. No Third Party Beneficiary Enforcements: It is expressly understood and agreed
that enforcement of the terms and conditions of this Agreement, and all rights and
action relating to such enforcement shall be strictly reserved to the undersigned
parties, and nothing contained in this Agreement shall give or allow any claim or
right of actions whatsoever by any other person not included in this Agreement.
It is the express intention of the undersigned parties that any entity other than the
undersigned parties receiving services or benefits under this Agreement shall be
deemed an incidental beneficiary only.
10. Modifications and Breach: This Agreement contains the entire agreement and
understanding between the parties to this Agreement and supersedes any other
agreements concerning the subject mater in this transaction, whether oral or
written. No modifications, amendment, renewal, or other alteration of this
Agreement shall be deemed valid or any force of affects whatsoever, unless
mutually agreed upon in writing by the undersigned parties. No breach of any
term, provision, or clause of this Agreement shall be deemed, waived, or excused,
unless such waiver or consent shall be in writing or signed by the party claimed to
have waived or consented. Any consent by any party hereto, or waiver of, a
breach by any other party, whether expressed or implied, shall not constitute a
consent to waiver of, or excuse for any different or subsequent breach.
11. Non-Assignments: This Agreement shall not be assignable without prior written
consent of County or Lafarge, whichever is the non-assigning party.

Re: Proposal for Traffic Signalization Design
Weld County Road 7 at State Highway 119, Weld County, Colorado
Dear Mr. Moorhead:
Pursuant to your request, Felsburg Holt& Ullevig is pleased to submit this proposal to provide
traffic signalization and roadway improvement design for the above referenced project. As we
understand it, the work will be performed in two basic parts:
• Traffic signal design, and
• Design of an eastbound right turn acceleration lane on SH 119.
The design of these improvements will be to Colorado Department of Transportation (CDOT)
standards and specifications. From a conversation with CDOT personnel, the traffic signal will
be designed for a mast arm installation utilizing the latest CDOT M&S Standard Detail Drawings.
It is FHU's understanding that Weld County and CDOT will coordinate the design review process
and that Weld County will serve as the lead agency on the project.
We have prepared the following scope of work, schedule and fee estimate for the proposed
project:
I. SCOPE OF WORK
Task 1 - Data Collection and Base Sheet Preparation
We will utilize the services of the Farnsworth Group to survey the project boundary. We will use
that information to prepare the base mapping of the subject intersection and those areas for the
right turn lane. The mapping will include all of the existing physical features of the project area,
such as pavement and shoulder locations, utility boxes or pedestals, the existing right-of-way,
overhead and underground utilities, and existing and proposed signing and striping.

The mapping coverage area will include 150 feet along each intersection approach from the
center of the intersection. In addition, mapping will be provided along the south side of SH 119
for approximately 800 feet to the east of Weld County Road 7. Mapping coverage in this area
will be of sufficient length to design the acceleration lane and for any required grading
improvements. We will format the mapping at an appropriate scale that includes all of this
information.
Task 1.2 - Traffic Signal Design
Traffic signalization plans will be prepared through a "design-build" concept which delegates
authority for items such as wiring and traffic control details to the contractor. The plans will
consist of design information on pole, controller, detector and signal head placement, and on
traffic signal phasing. We will also include information on signing and striping changes or
additions related to the traffic signal installation. Preparation of traffic signal timing plans is not
part of this proposal.
Task 1.3 - Right Turn Acceleration Lane Design
The design of the eastbound right turn acceleration lane on SH 119 will complement the criteria
of the State Highway Access Code. A horizontal and vertical alignment will be created at the
edge of asphalt as part of the design. We have assumed that the additional pavement width to
construct the acceleration lane will be of the same pavement section as exists on SH 119. If
CDOT requires a soils investigation and a designed pavement section, we can contact a
geotechnical firm to perform this work. A pavement section design is not included in this
proposal, however. We anticipate that drainage adjacent the new acceleration lane can be
accommodated by a roadside ditch or by sheet flow. Hydraulic design is not included in this
proposal. We will utilize CDOT pay item descriptions and quantity tabulation format.
Preparation of a Survey Control Diagram, Right-of-Way Plans and Construction Phasing Plans
are not part of this proposal. We will prepare a construction traffic control plan for the project,
however, with appropriate signing and striping revisions for the new acceleration lane.
Task 1.4 - Plan Preparation
The traffic signalization and right turn lane plan sheets will be prepared as a "stand-alone"
document. We estimate that the following plan sheets will be necessary to provide the design
plans:

We will submit preliminary plans to you and CDOT for review, and will incorporate review
comments into the plans and assemble a final set of design plans ready for bidding.
Task 1.5- Specifications & Contract Documents
We will prepare the necessary project-specific construction specifications as a supplement to
CDOT's "Standard Specifications for Road and Bridge Construction", 1999. We will provide
these specifications to you and CDOT for review, and we will incorporate any review comments
regarding these specifications.
We will prepare a complete set of Contract Documents to serve as the contracting basis
between you and the selected contractor. This document will include such information as
Instructions to Bidders, Bid forms, the Agreement, and General and Supplementary Conditions.
We will incorporate the final project specifications into the Contract Documents. Tabulations of
project pay item quantities will be provided in the form of a Bid Schedule. It will be necessary for
your attorney to review the Contract Documents to assure that insurance requirements and other
contracting issues meet with your standards.
Task 1.6- Cost Estimating
We will provide an Opinion of Probable Cost to you based on current bid prices from the CDOT,
and on recent projects in which we have been involved. Tasks 1-6 will provide you with the
necessary construction plans, specifications, Contract Documents, and an estimate of the cost
for construction of the project.
Task 1.7- Coordination Meetings
We anticipate that meetings with CDOT will be necessary during the design of the project to
discuss design parameters and any other project details. This proposal assumes two meetings
will be required during the design process and that those meetings will be held at CDOT offices.

II. SCHEDULE
It is estimated that the above scope of work can be completed within a ten to twelve week
period, dependent upon weather-related survey delay and upon COOT review time.
III. FEE
We propose to conduct this work on a time and materials basis. In such an agreement, we are
compensated at hourly rates for all labor and other direct costs are also reimbursed at 1.1 times
actual cost. The following are our standard hourly billing rates for 2002:

At these rates, we estimate that the traffic signalization design can be completed for the
following fees:
Surveying $ 9,000.00
Traffic Signalization Design $ 7,000.00
RT Acceleration Lane Design $13,000.00
Specifications/Contract Documents $ 3,500.00
Cost Estimate $ 500.00
TOTAL $33,000.00
We will not exceed this amount without your prior approval. If the conditions of this proposal are
acceptable, please sign below and return the original to serve as our contract for services,
