Kerr-McGee has received the County's notice of a proposed hearing regarding the 2nd Filing of Beebe Draw Farms and affecting lands in Sections 4, 5, 8, 9, 10 and 17, T. 3 N., R. 65 W., in Weld County ("Application Lands"). To our knowledge, Kerr-McGee has not received any notice required to be sent by the applicant pursuant to C.R.S. § 24-65.5-101 et seq. Kerr-McGee owns interests in oil and gas leases covering significant portions of the Application Lands. At present, Kerr-McGee operates 35 wells and associated production facilities on the Application Lands. Based on its leasehold interests, Kerr-McGee has the right to drill a number of other wells at locations authorized under the regulations of the Colorado Oil and Gas Conservation Commission. Kerr-McGee also owns and operates a network of gas gathering pipelines and related facilities on the Application Lands. These facilities were constructed under the terms of the existing oil and gas leases and other right-of-way grants acquired by Kerr-McGee and its predecessors. Any surface development on Kerr-McGee's rights-of-way is absolutely prohibited, and any approval concerning the planned development must consider Kerr- McGee's rights (and safety needs) to access these facilities. The proposed plat submitted by the applicant fails to properly depict the location and type of Kerr-McGee's existing facilities on the Application Lands. The plat further fails to provide appropriate locations for future wells and facilities. The oil and gas resources owned by Kerr-McGee in the Application Lands have substantial value. Although surface development can occur in a manner compatible with the current and future mineral development of these lands, this requires mutual cooperation and coordination during the planning process. In these circumstances, Kerr-McGee's preferred practice is to meet with the applicant and attempt to conclude a comprehensive surface use agreement. Kerr-McGee has arranged a meeting with the applicant and the other owners of mineral and leasehold interests in the Application Lands prior to the rescheduled hearing on November 19, 2002. Kerr-McGee is hopeful that a surface use agreement can be reached with the applicant prior to final consideration of the application. In the absence of such an agreement, however, Kerr-McGee vigorously objects to any surface development that fails to recognize and accommodate Kerr- McGee's access to, and utilization of, its valuable property rights in the Application Lands. The following are comments in support of this Notice and Objection: 1. The Mineral Resources Owned by Anadarko Land Corp. Anadarko Land owns all of the minerals except for the oil and gas that underlie the three sections of land. A senior geologist for Anadarko Land has reviewed the Property and determined that it all falls within the northwestern portion of the Boulder-Weld Coal Field where there has been extensive coal mining in the past. The geologist opines that all three sections contain Laramie Formation coal which has a high BTU of approximately 8900 to 9800 btu/lb and a low sulfur content of between .3 and .5 percent. The geologist believes that Section 5 contains approximately 8.9 million tons of coal that is approximately eight feet thick at depths of 15 to 150 feet. He believes that Section 9 contains approximately 3.3 million tons of coal that is approximately three feet thick at depths of 100 feet and that Section 17 contains approximately 6.1 million tons of coal that is approximately five and a half feet thick at depths of between 175 and 240 feet. Please find enclosed the pertinent portions of the Weld County Coal Resources Map prepared by the Weld County Planning Commission(July 1, 1975)and the Coal Resources and Development Map of Colorado prepared by the Colorado Geological Survey. Both maps identify the coal resources that underlie the Property.' The Colorado General Assembly adopted a statute in 1963 entitled"Preservation of Commercial Mineral Deposits" in which it sought to protect commercial mineral deposits in the State and to foster the extraction of the deposits according to a rational plan. Commercial mineral deposits are defined to include hard rock minerals such as coal and sand and gravel,and the statute affords protection to deposits which are now or which may in the future be commercially feasible to extract. C.R.S. § 34-1-305(1)and(2)prohibit a governing body of a city or county from zoning or rezoning property known to contain a commercial mineral deposit"in a manner which would interfere with the present or future extraction of such deposit by an extractor." October 31, 2002 Members of the Board of County Commissioners Members of the Planning Commission Page 3 2. The Oil and Gas Resources Owned by Anadarko E&P Company LP. Anadarko E&P owns all of the oil and gas that underlies all three sections of land. Anadarko E&P believes that Kerr-McGee Rocky Mountain Corporation("KM"),Patina Oil & Gas Corporation ("Patina") and United States Exploration, Inc. ("UXP") have been assigned oil and gas leasehold interests in portions of the Property. Colorado Oil and Gas Conservation Commission reports reflect that there are twenty-one producing oil or gas wells in Section 5,twenty-one producing oil or gas wells in Section 9 and nineteen producing oil or gas wells in Section 17. Union Pacific Resources Company (predecessor to Anadarko E&P) and Amoco Production Company (predecessor to the leasehold interests of Kerr-McGee, Patina and UXP)entered into a Surface Use Agreement with Beebe Draw Farms,Ltd. and Beebe Draw Farms and Equestrian Center Property Owners Association in April 1990 which provided for the compatible development of the surface and oil and gas estates;however,the Surface Use Agreement automatically terminated by its own terms in 1993 and there is presently no agreement in place between Anadarko E&P or its predecessors and the surface owner or its predecessors. 3. There is Clear Statutory Authority and Direction for the County to Take Into Account the Rights of Mineral Interest Owners in Its Consideration of Subdivision Applications. The State of Colorado recognizes the important rights of mineral owners and lessees in C.R.S. § 30-28-133(10) which requires that notices of hearings of subdivision plat applications be given to mineral owners and lessees in counties. More important,subsection (10) states and acknowledges that both the mineral estate and the surface estate are interests in land and that the two interests are "separate and distinct." The subsection specifically directs county planning commissions to recognize that the owners of subsurface mineral interests and their lessees have "the same rights and privileges as surface owners." Further, C.R.S. § 24-65.5-101 et seq. requires that applicants for development approvals give notice to mineral estate owners of hearings to be held before local jurisdictions for applications for development and further requires that the developer certify that he has given the required notice as a condition to the approval of the application by the local jurisdiction. Government Action Which Allows Surface Development in a Manner Which Precludes Mineral Development May Impair the Vested Property and Contractual Rights of the Mineral Interest Owner. Colorado case law continues to provide that the mineral owner owns the dominant estate and has the right of reasonable access to and use of the surface estate to extract minerals.2 Actions by a government entity which may have the effect of reversing this basic tenet of Colorado property law and thereby deprive the mineral interest owner of its vested property and contractual rights maybe violative of federal and state constitutional provisions. For Section 5,Union Pacific Railroad Company("Railroad")gave a deed to George L. Reed dated September 3, 1911 and recorded in the Weld County Clerk and Recorder's office on January 18, 1911 in Book 320,Page 47 in which it reserved all of the minerals. For Section 9, the Railroad gave a deed to Edgar A. Bennett dated September 8, 1908 and recorded October 22, 1908 in Book 233, Page 179, and for Section 17, the Railroad gave a deed to Edgar A. Bennett dated January 18, 1910 and recorded February 9, 1910 in Book 233,Page 293, for which in both cases all minerals were reserved. The Railroad granted the �-. minerals for all sections to Union Pacific Land Resources Corporation (predecessor to Anadarko Land) by quitclaim deed dated April 1, 1971 and recorded on April 14, 1971 in Book 644, Reception No. 1565712. Applicant had record notice at the time it acquired its interests in the Property that the minerals were severed from the surface estate and that it received less than the entire interest in the Property. 5. An Action by the County to Approve the Application May Amount to a Regulatory Taking within the Meaning of the State and United States Constitutions for which the County Could Be Required to Pay the Anadarko Entities Fair Compensation. Action by the County to approve an application for surface development may constitute a regulatory taking, especially where the operator is deprived of all economically viable use of land or his investment-backed expectations to develop his property.3 2See Frankfort Oil Company v.Abrams 413 P.2d 190(Colo. 1966). Note also,Gerrity Oil&Gas Corporation v.Magness 946 P.2d 913 (Colo. 1977),which discusses in a footnote on page 927 the principle that the owners of both estates must exercise their rights in a manner consistent with one another. 3See for example Lucas v. October 31, 2002 Members of the Board of County Commissioners Members of the Planning Commission Page 5 The United States Claims Court and the Federal Circuit Courts have awarded compensation or affirmed decisions to award compensation to energy and mining companies based upon claims by the companies that their mineral properties had been taken by the government without just compensation because of government regulations which disallowed the development by the companies of their mineral rights.4 6. The Anadarko Entities Have Entered into Many Agreements with Developers With Respect to the Disposition of the Minerals at the Time that the Developer Proposes to Develop the Surface Estate, and the Public Interest is Served by the Parties Entering into Such an Agreement. The Anadarko entities have extensive mineral interests throughout Colorado where the surface estate and the mineral estate have been severed. The Anadarko entities have worked with many parties who wish to develop the surface estate in order to assure the compatible development of the surface and the minerals or to effect some other disposition of the minerals. The Anadarko entities wish to work with the Applicant in the same manner that they have worked with other developers and,toward that end,the developer has agreed to meet with the Oil Companies next week. The Anadarko entities, however, object to the Application until such time as they reach agreements with the Applicant and request that the County make any approval of the Application conditioned upon agreements between the Applicant and the Anadarko entities and their oil and gas lessees.
