RESOLUTION RE: APPROVAL OF SPECIAL USE PERMIT FOR A GRAVEL PIT FOR LESLIE AND MARTHA WILLIAMS, 8876 RODGERS ROAD, LONGMONT, COLORADO WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board of County Commissioners of Weld County, Colorado held a public hearing on the 4th day of March, 1981 at the hour of 2: 00 o 'clock p.m. in the Chambers of the Board of County Commissioners for the purpose of hearing the application of Leslie and Martha Williams, 8876 Rodgers Road, Longmont, Colorado for a Special Use Permit for a gravel pit on the following described real estate, to-wit: The Northwest Quarter of the Southwest Quarter of Section 29 , Township 2 North, Range 68 West of the 6th P.M. , Weld County, Colorado WHEREAS, evidence was presented in support of the granting of the Special Use Permit for a gravel pit on the above described real estate, and WHEREAS, Section 3. 3 (E) (2) of the Weld County Zoning Resolu- tion authorizes such a use in an Agricultural District upon appro- val by the Board of County Commissioners, and WHEREAS, the Board of County Commissioners of Weld County, Colorado heard all of the testimony and statements of those pre- sent, has studied the request of the petitioners and the recom- mendations of the Weld County Planning Commission and all of the exhibits and evidence presented in this matter, and having been fully informed, is satisfied that the request for a Special Use Permit for a gravel pit on the hereinabove described tract of land, conforms to the purposes of Section 3 .3 (E) (2) of the Weld County Zoning Resolution. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commis- sioners of Weld County, Colorado that the application of the petitioners for a Special Use Permit for a gravel pit on the 1 its i7 /'/ IP hereinabove described tract of land be, and hereby is, granted subject to the following: 1. The Operation Standards contained in the Special Use Permit. 2. The following note being placed on the Special Use Permit plat: "Note: The Mined Land Reclamation Board has the authority to issue permits for mining and reclamation activities. Activities re- lated to mining and reclamation are therefore under the jurisdiction of the Mined Land Reclamation Board, however, Weld County has jurisdiction of those matters outlined in the Operation Standards. " 3 . The Operation Standards being placed on the Special Use Permit plat. The Special Use Permit plat shall be delivered to the Department of Planning Services. 4 . The applicant shall offer and agree to an acceptable program of road maintenance with the Weld County Board of County Commissioners which will be required to mitigate impacts generated by the gravel mining operation. The maintenance proposal shall address maintenance of County Road 3 from the access point south to Highway 52. 5. The applicant shall submit information which demon- strates to the satisfaction of the Board of County Commissioners that stock piles and mining operations shall not interfere with the passage of the 100 year flood. BE IT FURTHER RESOLVED by the Board of County Commissioners that the reasons for approval contained in the Weld County Plan- ning Commission recommendations dated November 18 , 1980 be, and hereby are, adopted as the findings of fact of the Board of County Commissioners in this matter. VT/dr 11/24/80 • OPERATIONS STANDARDS Leslie and Martha Williams SUP 447:80:37 1. The uses permitted on the hereon described parcel shall be the extraction of sand and gravel as described in the report prepared by Rocky Mountain Consul- tants, Inc. and on file with the Special Use Permit application in the Office of the Department of Planning Services. Other uses permitted include all uses permitted by right in the Agricultural Zone District of the Weld County Zoning Resolution. 2. No excavation or processing of sand and gravel shall be permitted nearer than 10 feet to the boundary of adjacent property, easement or irrigation ditch or right-of-way, nor nearer than 125 feet to any existing residence. 3. All sand and gravel operations shall be conducted during the hours of daylight . except in the case of public or private emergency or to make necessary repairs to equipment. This restriction shall not apply to operation of administrative and executive offices or repair facilities located on the property. 4. The Special Use Permit area shall be maintained in such a manner so as to pre- vent soil erosion, -fugitive dust and growth of noxious weeds. The site shall be maintained in such a manner as to present a neat and well kept appearance. 5. Existing trees and ground cover along public road frontage and drainageways shall be preserved, maintained and supplemented if necessary, for the depth of the setback in order to protect against and/or reduce noise, dust and erosion. 6. Where topsoil is removed, sufficient arable soil shall be set aside, for respreading over the excavated area. 7. Insurance - The operator shall furnish evidence he is insured to the extent of not less than $100,000.00 against liability for any negligent act or omission by the operator fran the operation or maintenance of the sand and gravel pit and the extraction and production of sand and gravel and all activities connected with or incidental thereto. 8. Lighting provided for security and night operation on the site shall be designed so that the lighting will not adversely affect surrounding property owners. 9. All phases of the sand and gravel operation shall comply with all County and State Health Standards and regulations pertaining to air quality, water quality, noise emission, and sanitary disposal systems. 10. All access roads from surface gravel mining operations to public highways, roads, or streets, or to adjoining residential structures, shall be paved or otherwise treated to minimize dust conditions on all parts of such access roads which are located within one-fourth miles of the public highways, road, street, or ad- joining residential structure. The point of access for excavation generated traffic shall be to County Road 3 at the southeast corner of the Special Use Permit area. Final location and design of said access must be reviewed and approved by the Weld County Enginer- ing Department. All accesses shall be constructed in accordance with the recommendations and/or requirements of the Weld County Engineering Department. 12. The owner and/or operator shall submit to the Weld County Planning Department copies of any technical revisions, amendments, or annual reports submitted under the terms of the permit conditions for the Colorado Mined Land Reclamation Board. 13. All operations on the property shall be in conformance with Weld County Flood Hazard Regulations. 14. The Special Use Permit shall be limited to the plans shown hereon and governed by the Operations Standards stated above and all applicable Weld County Regula- tions. Any material deviations fran the plans and/or Operations Standards as shown or stated above shall require the approval of an amendment to the Special Use Permit by the Planning Commission and the Board of County Commissioners before such changes fran the plans and/or Operations Standards shall be per- mitted. Any other changes fran the plans and/or Operations Standards shall be filed in the office of the Department of Planning Services. 15. The property owner and/or operator of this operation shall be responsible for complying with all of the above stated Operations Standards. Noncanpliance with any of the above stated Operations Standards may be reason for revocation of the Special Use Permit by the Board of County Commissioners. COLTS Leslie and Martha Williams SUP 447:80:37 To date our office has received one letter from 8 surrounding property owners with regard to this request for a gravel operation. A copy is included in the attached packet. The Mined Land Reclamation Board has jurisdiction over reclamation of the property. All comments or questions regarding reclamation should be directed to the attention of that state agency. Colorado statutes place jurisdiction over water rights and augmentation plans in the hands of the Division of Water Resources and Division Water Court. Williams. This agreement allows Boulder Creek Gravel Products to mine gravel on the property described. The lease is reproduced in Appendix A. OTHER PERMITS HELD BY APPLICANT The applicant currently holds no other prior permits for open cut mining. 3 EXPLORATION Several exploration programs have been carried out on the property by various i• terests, and the results of the most recent investigation, indicate that the overburden varies from 1 foot to 2 feet and the gravel is approximately 14 to 16 feet in thickness. Bedrock, which is made up of the pierre shale, was found at a maximum depth of 20 feet. 4 I . PRESENT CONDITIONS A. Legal Description The Northwest Quarter of the Southwest Quarter of Section 29, Township 2 North, Range 68 West of the 6th P.M. , Weld County, Colorado being more particular- ly described as follows: Beginning at the West one-quarter corner of Section 29; thence South 89°56' 17" East 1331 .82 feet to the Northeast corner of the Northwest quarter of the Southwest quarter of said Section 29; thence South 00°11 ' 11" West 1335.49 feet to the Southeast corner of said Northwest quarter of the Southwest quarter of Section 29; thence North 89°49'00" West 1332.44 feet to the Southwest corner of said Northwest quarter of the Southwest quarter of Section 29; thence North 00°12'48" East 1332.66 feet to the point of beginning, containing 40.798 acres more or less. B. Water Resources To be submitted within 5 days. • C. Topography The proposed mining site is located south of Weld County Road 16-1/2 and west of Weld County Road 3. The entire site is in the floodplain of Boulder Creek. The site is flat and slopes gently from southwest to northeast. Currently, the site is used for pasturing a few horses and cattle. There are no buildings on the site. County Road 16-1/2 also traverses the northeast corner of the site. D. Geology Soil profiles indicate, as stated earlier, that the maximum depth to bed- rock is approximately 20 feet. Bedrock was found to be a blue-gray shale material which is indictive of the Pierre shale, which is found to be the bedrock strata in this area. The accompanying plans delineate the soils on the site as mapped by the Soil Conservation Service. The proposed site has been designated F-1 by the "Atlas of Sand, Gravel and Quarry Aggregate Resources Colorado Front Range Counties" published by the Colorado Geological Survey. The F-i designation indi- cates a flood plain deposit of relatively clean and sound gravel . E. Groundwater The groundwater table generally follows the slope of the ground surface. The groundwater table is fed from Boulder Creek and/or ditches which take water from Boulder Creek. Therefore, during mining operations the water entering the mining area will be settled in a settling pond and returned to Boulder Creek via a dewatering trench. By doing this no water rights will be affected. The water will be returned to the creek after obtaining a discharge permit from the State of Colorado and the water will meet effluent standards for discharge into Boulder Creek. The mining operation is far enough away from any area wells to prevent any damage to the wells. 6 F. Flooding and Drainage The area to be mined is included in the floodprone district as defined by the flood insurance rate map. No berms will be constructed in the floodway and stockpiles will be situated so that drainage patterns will not be affected. Conditions during the mining operation and afterwards will be essentially the same as they have historically been with respect to the floodway and drainage. G. Other Present Conditions As stated earlier, some of the land is being used as pasture ground and the remainder is swampy low lands with sparse native grasses and many weeds. No trees are presently found on the property. Revegetation and replanting of trees is included in the reclamation plan. There is also a three strand barbed wire fence around the border of the property. 7 II . PROPOSED OPERATIONS A. Operating Methods A perimeter ditch will be constructed around the mining areas in stages for the purpose of dewatering the area. As stated earlier, this water will be collected in a sump, settled and returned to Boulder Creek. With the area de- watered, the mining will be accomplished with front-end loaders and bulldozers and the material loaded from the pit and hauled by trucks to the market place. The mining operation will normally be conducted on a year-round basis, except during extremely bad weather or equipment breakdown. B. Handling and Storage As stated earlier, the gravel will be mined on the site and hauled from the pit to the market place. The majority of this material will be used in Weld, Boulder and surrounding counties. C. Equipment Equipment to be used will consist of bulldozers, front-end loaders, trucks, road graders and the necessary maintenance equipment to maintain the above- mentioned equipment. It is anticipated that the number of each type of unit will vary according to seasonal changes, demand and staging requirements. The mobile equipment, when not in use, will be parked in a yard in the center of the site. The yard area is located far enough from the county road to discourage trespassing and the equipment will be secured and protected from vandalism and unauthorized use. Trucks used to remove the material from the site will meet the weight limits for County and State Highways. 8 D. Pit staging Staging of the mining operation is shown in the drawings. The pits will be worked in numerical order as indicated on the same drawings. It is anticipated that the entire project will take approximately 5 years; each stage will take approximately 1 year to complete. This time schedule will obviously depend on market conditions and the economic growth patterns as they occur in the surrounding area. E. Water Pollution As stated earlier, dewatering will be required and the water will be collected in a sump area where it will be allowed to settle and then be returned to Boulder Creek. All discharges will be maintained within the established guidelines of the Environmental Protection Agency and a permit for this discharge will be obtained. F. Noise Noise levels for this operation will be monitered by the operator quarterly and will be kept within acceptable levels of all state and federal standards. This monitoring program will take place at the property boundaries. The operation will take place between the hours of 7:00 a.m. and 5:00 p.m. daily with the exception of sundays. G. Dust Control The material being extracted will be damp when it is extracted and loaded in the mining area. Therefore, there should be no dust created by the digging and loading of the material . Haul roads will be watered or chemically treated so as to control fugitive dust from the hauling operation. 9 H. Visual Effects The mining operation will be visable to only a few around the site. To minimize the visual impacts, the stockpiles of overburden will be placed in such a manner as to screen the mining operation from the movement of equipment and other activities from the homes in the area. By properly placing the overburden stockpiles as shown on the drawings, the visual impact on the surrounding houses will be minimal . I . Reclamation Plan Reclamation, as contemplated in this plan, will consist of four ponds to be created with side slopes of approximately 4:1 . Topsoil will be placed on all the disturbed areas and these areas will be revegetated with native grasses and trees common to the area. Islands will be constructed in the ponds to enhance wildlife habitat. All overburden stripped from this site will remain on the site to be used for reclamation of the disturbed areas. J. Access Roads Access is planned to be from the property onto Weld County Road 3 as shown on the plans. A road will be constructed from the center of the site to the southeast corner where a cattleguard and gate will be installed. The road will be built with the initial gravel extractions from Stage 1 . The trucks will go south on County Road 3 to Highway 52. K. Security and Safety During the operation, equipment will be stored as mentioned earlier in an area which will be patrolled and safety precautions will be taken to be sure that the equipment cannot be operated by unauthorized people. 10 L. Bonding, Escrow and Insurance Bonding will be set by the State of Colorado when application is made to the state for a gravel permit. It is our understanding that this bonding is acceptable to Weld County. Insurance as required by Weld County will be main- tained by the operator. Verification of such insurance coverage is shown in Appendix D. 11 APPENDIX A LEASE AGREEMENT a . .-,, T _ _ _ MIKA -�_ ' __—____—_ AGREEMENT FOR PURCHASE AND SALE OF SAND AND GRAVLL IN {'LACE 1. PARTIES. The parties to this Agreement are LESLIE J. WILLIAMS, JR. , MARTHA A. WILLIAMS, the Sellers , who are hereinafter referred to in the singular as "Williams ," and JAMES M. COAN, the Buyer, who is hereinafter referred to as "Coan. " 2. RECITALS AND PURPOSE. Williams is the owner of a certain parcel of real property, hereinafter referred to as the Property, legally described on Exhibit A which is underlain by deposits of sand and gravel . Williams desires to sell the sand and gravel in place and to have it removed in a neat and orderly fashion , leaving lakes and pasture land utilizable by Williams. Coan is engaged in heavy construction, specifically the construction of oil and gas drill sites and roadways , in connection with which he needs sand and gravel materials . Coan desires to purchase the sand and gravel in place together with the right to mine and remove the same. Therefore, the purpose of this Agreement is to set forth the specific terms and conditions of the purchase and sale between the parties . 3. AGREEMENT TO PURCHASE AND SALE. Williams agrees to sell and Coan agrees to buy sand and gravel in place within the Property. The precise quantity shall be determined by measurement or weight as material is removed from the Property. Williams makes no warranty or guarantee as to the quantity or quality of sand and gravel available. Coan agrees to stockpile and leave on the premises sufficient top soil to accomplish the reclamation of the Property. Top soil in excess of reclamation re- quirements may be removed with, and shall be considered as, the sand and gravel . 4. PURCHASE PRICE AND PAYMENT. A. Purchase Price. As the purchase price for sand and gravel pur- chased pursuant to this Agreement, Coan agrees to pay Williams the sum of fifty cents (S.50) for each cubic yard of material removed from the Property. The quantity of material removed shall be determined in accordance with measurement tecniques common to similar opo rations . If • B. Payment. Coan shall pay for each cubic yard removed on or before the tenth day of the month following the month in which said cubic yard is removed. In any event, Coan shall pay Williams the minimum amount of $12,500.00 on or before the last day of each year of this lease. If the amount actually paid during any calendar year exceeds the purchase price of sand and gravel removed from the Property, the excess payment shall be considered as compensation for Coan's continued, and exclusive , right to purchase and remove sand and gravel from the Property. C. Monthly Reports. Coan shall forward to Williams monthly reports showing the quantity of materials removed during the preceding month, according to load tickets setting forth dates of loading and quantities loaded. Such reports shall be forwarded to Williams by the tenth day of the month following any month in which materials are removed together with payment for the materials removed during the preceding month. It is under- stood that during certain months of the year it may be impractical to re- move materials because of weather conditions ; no reports shall be required for any month in which no materials have been removed. Coan shall forward to Williams on or before the tenth day of January of each year of this lease an annual report summarizing the reports for the preceding year. Coan agrees to keep a strict and accurate record of all materials removed from the Property and all sales thereof, and Williams shall have the privilege at reasonable times of examining the mining procedures and checking the books and records of Coan for the prupose of verifying the amounts paid or payable and the methods of determining quantities remove,. 5. MERCHANTABLE TITLE. Williams agrees to furnish an abstract of title, certified to date , or a title insurance commitment showing that Williams has good and merchantable title to the sand and gravel being sold pursuant to this Agreement, and the right to allow Coan to mine and remove it. The abstract or title insurance commitment shall be furnished to Coan prior to the execution of this Agreement and, if a title insurance commitment is furnished, Williams agrees to pay for the title insurance policy which shall be in an amount equal to $50,000.00 and deliver it to Coan within a reasonable time after signing. In the event an abstract is furnished, the abstract shall remain the property of Williams and - 2 - • shall be returned to Williams at signing, bul will be made available to Coan at any time and from time to time during the term of this Agreement. 6. USE OF THE PROPERTY. In order to conduct his operations and remove the sand and gravel purchased pursuant to this Agreement, Coan shall be entitled to possession of that portion of the property necessary for conducting his mining operation and shall he permitted to use additional portions of the Property reasonably necessary to explore for materials or to locate pits , quaries , stockpile areas , a site for a scale, scale house, office, equipment parking and storage areas . In order to obtain access to and carry on his operations on the leased premises , Coan shall have the right to use all roadways presently existing on the leased premises and shall have the right to build additional roads necessary for his operations provided that Coan shall obtain Williams ' written con- sent as to location prior to construction. Coan may use materials from the Property for on-site road construction and maintenance and shall not be required to pay Williams for materials so used. Coan shall be permitted to conduct a pitrun mining operation which may include crushing, screening and washing plants or equipment, but shall not use the Property for other types of operations or the storage of equipment used in other types of operations without Williams ' prior written consent. Coan shall not make any use of the Property which is contrary to applicable zoning regulations or the provisions of any permit issued. Williams reserves the right to use all portions of the premises not necessary for Coan's actitities , and expressly the right to conduct or allow oil and gas exploration and development, and Williams shall furthermore, at all times , have the right of access to the areas used by Coan for purposes of inspection. Coan shall limit his pitrun mining operation to one-quarter, or ten acres , of the Property at any one time. Reclamation shall be commenced on the first ten-acre parcel when mining operations are begun on the second parcel , and thereafter, reclamation shall be continued and completed with reasonable diligence. Coan shall have the right to drill water wells on the Property for use in connection with the mining operation thereon , as long as the same are permitted by applicable provisions of the law. On permanent cessation of the use of any such well , or on termination of this Agreement, Coan - 3 - Eie flip shall leave such well and the casings therein for the u.;e of Williams , but Coan may remove any pumps or motors . Williams reserves the right to use all portions of the Property not necessary for Coan's actitities . In the event Williams uses the surface for the grazing of livestock, Williams shall be responsible for fencing livestock out of the ares where mining and related operations are taking place and Coan will not be responsible for injuries surrered by livestock in the area where mining operations are being conducted, unless such injuries are caused by his negligence or the negligence of his employees or agents . Not- hwithstanding the foregoing, Coan shall be responsible for maintaining the perimeter fences in their present condition and installing cattle guards at all points of ingress and egress from the Property to adjacent property or roads . 7. PERMITS. Coan agrees to apply for all permits necessary to obtain legal permission to conduct its sand and gravel operations on the Property. Coan agrees to submit applications for permits to Weld County and the State of Colorado within 60 days of the signing of this Agreement and shall thereafter pursue such applications with reasonable diligence. All permits shall be obtained in the name of Williams , unless otherwise agreed to in writing. In the event necessary permits are denied or not obtained within 200 days after the signing of this Agreement, this Agreement shall be null and void and all parties released from further obligations hereunder. In no event shall any funds previously paid by Coan be reimbursed to him nor shall Williams be obligated for any portion of the cost of Coan 's permit applica- tions. All information gathered and work product developed by Coan shall be the property of Williams . 8. RECLAMATION OF AREA TO BE MINED. As part of the permit process de- scribed in the preceding paragraph, Coan will he required to prepare a plan of reclamation for the area to be mined. Loin agrees to consult with Williams in the preparation of the reclamation plan and, to the extent economically practical , to incorporate features in the plan desired by Williams . Williams may not unreasonably reject the plan but may require reasonable alterations in the plan so long as the alterations do not increase the cost to Coan of carrying out the plan. If the rejection was unreasonable ,Ind therefore in violation of this Agreement, Coan may also pursue such other remedies as may he available to him. The reclamation plan agreed upon by the parties , and as finally approved by the various regulatory agencies reviewing it during the permit process (and Williams agrees to consent to reasonable alterations required by such agencies ) shall be signed by the parties and shall thereafter be com- plied with by Coan. The reclamation plan shall be completed within two years from the date of completion of mining. 9. REMOVAL OF IMPROVEMENTS AND EQUIPMENT. All improvements and equip- ment placed on the leased premises by Coan, except water well casings , fences , gates and cattle guards , shall remain the property of Coan, and Coan shall have the right to remove such property prior to the expiration of this Agreement. On termination of this Agreement for any cause, Coan shall have the right to remove all such improvements and equipment within a reasonable time, except water will casings , fences , gates and cattle guards , but excluding any materials mined and produced but not removed on the date of termination, which materials shall become the property of Williams . 10. INSURANCE. At all times that Coan is in possession of the premises , he will maintain in force a public liability and property damage insurance policy naming Williams as an insured and having limits of not less than $100,000.00 per person and $300,000.00 per accident for personal injury and $100,000.00 for property damage. 11. REMOVAL OF SAND AND GRAVEL AND USE OF PROPERTY. Coan agrees to execute and remove all sand and gravel purchased hereunder from the Property within 5 years from the date permits allowing his proposed operations have been issued. If at the end of the 5-year period, Coan has failed to execute and remove the sand or gravel which he is purchasing hereto, this Agreement shall terminate , the rcmiining sand and gravel shall revert to Williams and the parties shall be released from further obligations hereunder, PROVIDED, HOWEVER, that Coan shall not be released - 5 - 410 from his obligation to complete the reclamation plan or, at his election, to pay to Williams an amount equal to the cost of completing the plan as determined by a qualified person reasonably ,icceptahle to Williams . 12. INDEMNITY AGAINST CLAIMS OF OTHERS. Coan shall fully indemnify and hold Williams harmless from any demand, claim or cause of action for personal injury, death or property damage brought against Williams by a person or entity not a party hereto and not a successor, assignee, grantee, employee or tenant of Williams , arising out of or connected with any operations or activities conducted or performed hereunder by Coan or his successors , tenants , agents , employees or assigns . As an aid to understanding the fore- going language, it is stated that the indemnity is not intended to protect Williams or Williams ' successors , assigns , grantees , employees or tenants from the consequences of the mining operations contemplated herein, but rather is intended to protect Williams against litigation and claims brought by unrelated parties and arising out of those operations . The obligation to indemnify shall not include payment of Williams ' attorneys ' fees so long as Coan provides competent counsel to represent Williams in the action. Coan shall have full control of any litigation covered by the indemnity, with right to settle or compromise, and Williams shall cooperate fully in any such litigation, settlement or compromise. Williams shall give Coan written notice of the assertion against Williams of any matter covered by the indemnity, promptly after such assertion is first made. Nothing in this paragraph shall diminish Williams ' express obligations con- tained under other paragraphs of this Agreement. 13. WATER RIGHTS. Williams will provide any ditch or water rights which must be used to compensate the flow of Boulder Creek for any evaporation resulting from creation of lakes according to the reclamation plan, or which are otherwise necessary to compensate other water users for the effect of the reclamation plan upon water rights of others. Coan will not be respon- sible to Williams , or his tenants , successors or assigns , for any injury to land, livestock, or crops , if any, resulting from a lowering of the water table during mining operations or thereafter. - 6 - I. 14. INDEMNIFICATION OF WILLIAMS. Coan agrees to indemnify Williams against any liability and all claims for damages and injuries to persons or property that are claimed to have res►►lted from the activities or omissions of Coan or his agents or employees during the term of this Agreement or any renewal hereof. As an aid to understanding the foregoing language, it is agreed that this indemnity is not intended to protect Coan's , or Williams ' successors , assigns , grantees , employees or ten-rnts from the consequences of the mining operation contemplated herein , but rather is intended to protect Williams against litigation and claims brought by unrelated parties and arising out of those operations . The obligation to indemnify shall not include payment of Williams ' attorney fees so long as Coan provides competent counsel to represent Williams in any such action. Coan shall have full control over any such litigation covered by this indemnity, with right to settle or compromise, and Williams shall cooperate fully in any such litigation, settlement or compromise. Williams shall give Coan written notice of the assertion against Williams of any matter covered by this indemnity, promptly after such assertion is first made. Nothing in this paragraph shall diminish Williams ' express obligations contained in other paragraphs of this Agreement. 15. TAXES AND ASSESSMENTS. Williams shall be responsible for the payment of all real property taxes and assessments levied during the term hereof and for all assessments on ditch and wader tights associated with with the premises . Coan shall pay, before they become delinquent, all taxes and assessments levied against property owned or leased by it or resulting from his operations on the premises , and all taxes or assessments relating to the sand and gravel purchased hereunder, specifically including all severance taxes. 16. RENEWAL. On condition that Coan has at all times faithfully and functionally performed all of the covenants and conditions of this Agreement on his part to be performed, Williams grants to Coan the option to extend this Agreement for an additional term of five years on the same covenants and conditions as are herein contained, except as modified by this provision, a new Agreement for the additional term of such renewal being unnecessary on such extension. The option shall be exercised by a writing delivered to Williams by Coan at least 90 but not more than 180 days prior to the expiration of the term of this Agreement. The parties shall agree in writing on Coan's payment to Williams for each cubic yard of materials removed during the extended term, if they are able to so do. If within 30 days after the exercise of this option by Coan, the parties are still unable to agree on the payment to be made, then Williams or his successor within 10 days shall in writing appoint an appraiser, and Coan within 10 days shall in writing appoint an appraiser, and the two appraisers so appointed shall determine the payment to be made for the renewed term. If, within 10 days of their appointment, the two appraisers so appointed are unable to agree on such payment, they shall in writing immediately appoint a third appraiser, and the majority of the three so appointed shall determine the payment. If either of the parties fails and refuses to appoint an appraiser within the time aforesaid, the other party shall appoint both appraisers who shall determine the amount of the payment. In no event shall the price during the renewal term be less than $.50 for each cubic yard. 17. DEFAULT BY COAN. In the event any default occurs in the performance of any term or condition of this Agreement by Coan, Williams shall have the right to give a 30-day notice in writing to Coan, demanding the cor- rection or removal of such default. In the event Coan fails to correct or remove such default within such period, Williams may, at his option, terminate this Agreement. If this Agreement is terminated by Williams pursuant to this section, Williams shall be entitled to recover damages sustained as the result of Coan's breach. 18. ATTORNEY FEES. In case any action is brought by either party to enforce this contract or any provision thereof, the successful party in such action shall be entitled to a reasonable amount for attorney fees in addition to the ordinary taxable costs of suit. 19. RECORDING. Coan has requested of Williams an extension of the time limits for obtaining sand and gravel mining permits and Williams have agreed to granting such extension in consideration of Coan' s and Barclay' s agreements and payments set forth herein. Therefore, the purpose of this Supplemental Agreement is to set forth the specific terms and conditions under which Williams grant an extension to Coan and Barclay. 3. EXTENSION. In consideration of Coan's and Barclay's covenants and agree- ments hereinafter set forth, Williams agree that the time for obtaining sand and gravel permits from Weld County and the State of Colorado shall be and hereby is extended to and including February 28, 1981 . If such permits are obtained on or before that date, the Agreement for Purchase and Sale of Sand and Gravel in Place shall remain in full force and effect, as modified by this Supplemental Agreement. In the event permits are not obtained on or before February 28, 1981 , the Agreement for Purchase and Sale of Sand and Gravel in Place shall be null and void, Williams shall retain all payments previously made and the parties shall be released from any further obligations under said Agreement as suplemented hereby. i 4. COVENANTS AND AGREEMENTS OF COAN AND BARCLAY. In consideration of the exten- sion hereby granted by Williams, Coan and Barclay agree as follows: a) Barclay hereby assumes and guarantees the performance of all of the covenants and agreements made by Coan in the "Agreement for Pur- chase and Sale of Sand and Gravel in Place" dated February 28, 1980, and hereby consents to being treated as a party to said Agreement. In the event such $6,250.00 is paid when due, Coan and Barclay shall have the right to mine sand and gravel pursuant to said Agreement and in accordance with permits issued and shall pay Williams for all sand and gravel removed in accordance with the provisions contained in said Agreement. Coan and Barclay shall be entitled to credit the $6,250.00 paid on February 28, 1981 , against sand and gravel purchases in excess of the annual minimums provided for in said Agreement, provided, however, that they shall not be able to credit more than $1 ,250.00 of such payment per year. Location The NW 4 of the SW 4, Section 29, T2N, R68W, 6th P.M. which property is approximately 41 acres as described in the permit. II. Potential Sources of Flooding Boulder Creek and adjacent tributary area. III. Floodplain Information Available for Review A. "Flood Insurance Study, Weld County, Colorado, Unincorporated Areas and Town of Eaton, Colorado" prepared in December, 1979 by Gingery Associates, Inc. , under FNMA-FIA contract. This study was designated by the Colorado Water Conservation Board on March 17, 1980 (#156) and thus is available to local governments for regulation purposes. B. "Floodplain Information, St. Vrain Creek, Boulder Creek and Idaho Creek, Weld County, Colorado". This study is presently in progress by the U.S. Army Corps of Engineers, Omaha District, and will provide detailed information in this area when conpleted. C. "Map of Floodprone Areas, Erie, Colorado 7.5 Minute Quadrangle" prepared by the U.S.G.S. for HUD-FIA in 1974. These maps are approximate studies and have never received any formal designation; however, they are very useful in identifying approximated flood hazard areas. IV. Findings 1. The Flood Insurance Study contains the presently designated flood hazard information for this area and is correctly identified cn the permit. The Flood Insurance Study identifies the area as a "Zone A", which means it is an area within an approximate 100-year floodplain, but for which no base flood elevations or flood hazard factors have been determined. This also means that the flood outline could change upon completion of the detailed study by the Corps. 2. The floodplain is approximately 2700' wide on the southeast gip side of the Boulder Creek in this location and the mining operation will effect approximately 1800' or 66% of the entire southeast floodplain width in this location. 3. The present design of the access road, equipment area and overburden stockpiles could substantially effect the passage of the 100-year flood flows. For example, the access road and overburden stockpile stage 1 obstruct flows for 1500-1600 feet or over 50% of southeast overbank area by raising the existing ground elevations at least 1.5 feet. 4. The permit clearly states under the flooding and drainage portion that: "No berms will be constructed in the floodway and stockpiles will be situated so that drainage patterns will not be affected. " The findings in item 3 are in contradiction here. 5. Equipment will be located in the floodplain. 6. A reclamation plan is included which will return the mined area to presently existing elevations around the lake. 7. The proposed overflow spillways should be situated at the lowest points possible in the terrain surrounding the lakes for maximum effectiveness. This does not presently appear to be the case for the spillway connecting ponds 2 & 3. V. Recommendations A. Any operations of the gravel pit should not obstruct the passage of the 100-year flood to the point that it has any adverse effects on others. In this case, the U.S. Army Corps of Engineers - Omaha District should be contacted for the available floodplain information. This more detailed information could then be used to help locate access roads, equipment areas and stockpiles in a parallel-to-flow pattern or other manner that would not obstruct the passage of the 100-year flows. B. Offices, fuel tanks, storage sheds and equipment should be safely located outside the 100-year floodplain if possible. If location out of the floodplain is not possible, then adequate floodproofing measures should be taken to prevent any creation of "hazards to public welfare". C. Applicable floodplain regulations should be applied to both now and in the future. D. The applicant mentions that the reclaimed plan will result in four ponds which will enhance wildlife habitat. We view this use of gravel pit water as putting the ground water to a bene- ficial use which would thus make the pit a "well"; and in order to construct the "well", a well permit must be obtained in order to not be in violation of CRS 1973, 37-90-137. Until this well permit has been obtained, the applicant will be in violation of the above referenced statutes. We may have to order the applicant to cease operations if our Water Commis- sioner determines that they have begun constructing the "well" without a well permit. It was very responsible of the applicant to pursue a plan of augmentation with the District 6 Water Users Association to protect downstream water users . We would need to review and approve the plan prior to issuance of any well permit and the applicant may have to submit the plan to the Water Court. The applicant mentions that the haul roads will be watered so as to control fugitive dust.
