SPREADING AND PIPELINE EASEMENT
AGREEM ENT MADE at Greeley,Colorado on the ZO day of Fed,2003,between John Johnson and JF Cattle Co.,a
corporation organised and existing under and by virtue of the laws of the State of Colorado,and Marvin and Mildred Bay,of
WCR C/r, Eaton,Colorado 80615,hereinafter collectively called"Grantor",and IF Cattle Co.,a limited liability company
organized and existing under and by virtue of the laws of the State of Colorado,whose legal address is 23016 WCR 74,Eaton,CO
80615,hereinafter called"Grantee".
IN CONSIDERATION of the Grantee's promise to deliver stormwater and process water effluent to the crops of Grantor and for other
good and valuable consideration,the receipt and sufficiency of which is hereby acknowledged,the Grantor hereby grants the Grantee an
easement of ingress and egress,and an easement to transport and spread stonnwater and process water effluent across and upon certain
lands owned by Grantor,subject to the following terms and conditions:
I. The effluent shall originate on the Grantee's feedlot and dairy operation facilities located upon the Northwest'A of
Section I,Township 6 North,Range 65 West of the 6th P.M.,Weld County,Colorado.
2. The following real property of the Grantor shall be subject to the spreading and pipeline easement,to-wit:
Township 6 North,Range 65 West of the 6th P.M.
Section I: Southeast Y.
3. The Grantee's application of effluent to the Grantor's land shall be accomplished using methods and application rates
which comply with all federal,state and local laws and regulations pertaining thereto,including,but not limited to,the Colorado Water
Quality Control Act(C.R.S.25-8-101,et seq.),"Confined Animal Feeding Operations Control Regulation"(5 CCR 1002-81),as adopted
by the Water Quality Control Commission for the State of Colorado,the Colorado Chemigation Act(C.R.S.35-11-101,et seq.),any rules
and regulations adopted by the Colorado Department of Public Health and Environment,the Colorado Department of Agriculture,or by
any Federal,state or local agency,and any amendments or additions to such federal,state or local laws or regulations. The Grantee
further agrees to apply the effluent upon the lands of the Grantor at a rate,which does not exceed the agronomic capabilities of the crops
and vegetation,existing on the lands at the time of application,to make beneficial use of the effluent. The spreading of effluent shall be
accomplished in a manner that does not interfere with the farming practices of the Grantor,and shall not be done immediately prior to or
during harvest. Land application shall be done at the discretion of the Grantor.
4. The Grantor agrees to only supplement crops and vegetation with commercial fertilizer so as not to cause non-
compliance with all federal,state and local laws and regulations pertaining thereto,including,but not limited to,the Colorado Water
Quality Control Act(C.R.S.25-8-101,et seq.),"Confined Animal Feeding Operations Control Regulation"(5 CCR 1002-81),as adopted
by the Water Quality Control Commission for the State of Colorado,the Colorado Chemigation Act(C.R.S.35-11-101,et seq.),any rules
and regulations adopted by the Colorado Department of Public Health and Environment,the Colorado Department of Agriculture,or by
any Federal,state or local agency,and any amendments or additions to such federal,state or local laws or regulations.
5. The Grantee further agrees to comply with all environmental laws,which shall include any statute,resolution,
ordinance or other public law,which is designed,in whole or in part,to protect the environment or the public health,safety or welfare.
6. The pipelines located upon the Easement Property shall be located in a manner,which is acceptable to the parties
hereto. Underground pipe shall be installed in a commercially reasonable manner,which will not interfere with the farming operations of
Grantor. Grantee shall be permitted to apply effluent through any center pivot irrigation systems located upon the Easement Property.
Grantor shall penn it Grantee to modify such center pivot irrigation systems as may reasonably be required to effectuate the easement
granted hereby and in a manner permitted by law and satisfactory to Grantor. Grantee shall pay the initial cost of modifying the
irrigation system. The cost of installing transportation piping to any center pivot irrigation system and the cost of future modifications
resulting from any changes in any local,state or federal law or regulation shall be paid by the Grantee. Any damages or expenses
occurred from effluent discharge shall be the responsibility of the Grantee.
7. Grantor hereby grants to Grantee an easement across and upon all of the Easement Property. This easement shall
include the right to enter upon the lands of the Grantor in order to install permanent or temporary pipe for the transportation of effluent to
the Easement Property,and to maintain such pipe and appurtenances so that the Grantee may conduct effluent spreading operations
associated with its feedlot and dairy facility in accordance with all federal,state and local laws and regulations and in a commercially
reasonable manner and to otherwise effectuate the spreading and pipe easement granted herein. This right does not include the
construction of roads or permit the Grantee to disturb the growing crops located thereon.
8. This easement is granted for a period of five(5)years from the date hereof(hereinafter"primary term"). Unless
ninety(90)days'written notice is given prior to the expiration of the primary term of the easement by Grantor to Grantee of the desire to
terminate the easement,or unless like notice is given by Grantee to Grantor of the intention to abandon the easement after expiration,this
easement shall be considered as extended and binding in all its provisions hereinafter known as "extended tens". This easement shall
continue indefinitely until such notice be given by either party prior to the expiration of the primary term or the extended term. If

Grantor terminates the easement at the end of the primary term or at the end of any extended term,Grantee is hereby given the first right
of refusal to purchase the Easement Property at its then fair market value.
9. Grantee,for itself,its successors,assigns and all future owners and transferees of the real property,agrees to dispose
of effluent consistent with the requirements of paragraphs 3 and 4 above. In the event the feedlot and dairy produces more effluent than
can be utilized by the owner of the Easement Property,the excess effluent may be disposed of by the Grantee without violating the
foregoing covenant. In the event Grantee fails or ceases to operate in the normal course of business at its feedlot and dairy located on the
Northwest 1/4 of Section I,Township 6 North, Range 65 West of the 6'h P.M.,for a period of 365 continuous days or violates the
covenants contained in the first and second sentences of this paragraph,then at Grantor's option,(x)the easement over the Easement
Property shall terminate,and/or(y)the right of first refusal granted by the Grantor to the Grantee of even date herewith shall terminate.
10. The use of any gender shall include all genders,and the use of any number shall be construed as singular or plural as
the case may be required. The"Grantor"and"Grantee"refers to either the singular or plural,as the case may be.
11. This agreement shall be govemed by,and construed in accordance with the laws of the State of Colorado.
12. This agreement contains the entire agreement between the parties with respect to the subject matter hereof and
supersedes all prior understandings with respect thereto.
13. This agreement shall be binding upon and shall inure to the benefit of the parties hereto,their heirs,representatives,
successors and assigns.
