RE: APPROVE PURCHASE OF SERVICES AGREEMENT FOR BILLING ASSISTANCE AND
AUTHORIZE CHAIR TO SIGN - NORTH PARK HOSPITAL DISTRICT
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Purchase of Services Agreement for
Billing Assistance between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Weld County Paramedic Service, and
North Park Hospital District, with terms and conditions being as stated in said agreement, and
WHEREAS,after review,the Board deems it advisable to approve said agreement,a copy
of which is attached hereto and incorporated herein by reference.
NOW,THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Purchase of Services Agreement for Billing Assistance between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County,on behalf of the Weld County Paramedic Service,and North Park Hospital District be,and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was,on motion duly made and seconded,adopted by
the following vote on the 22nd day of December, A.D., 2003.

PURCHASE OF SERVICES AGREEMENT
Between Weld County Paramedic Service and
North Park Hospital District
THIS AGREEMENT is entered into by and between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Weld County Paramedic Service (hereinafter referred to as "WCPS"), and the North Park
Hospital District (hereinafter referred to as "NPHD").
BACKGROUND INFORMATION
A. The WCPS has the capability, and desires to provide billing assistance to NPHD;
B. NPHD desires to purchase such services.
C. The parties wish to reduce their agreement to writing.
NOW THEREFORE, in consideration of the premises and mutual covenants contained
herein, the parties hereto covenant and agree as follows:
1. Recitals The above set forth recitals are hereby incorporated as if fully restated herein.
2. Term This Agreement shall become effective upon signing by both parties, and shall
remain in effect for one year. This Agreement may automatically renew from year to
year, unless sooner terminated pursuant to the provisions set forth in this Agreement.
3. North Park Hospital District Responsibilities North Park Hospital District agrees to
be responsible for the following:
a. Establish rates for the provision of ambulance transport and Emergency Medical
Technician (hereinafter referred to as "EMTs") services, pursuant to the direction
of the Board of Directors for NPHD.
b. Establish a process of pre-hospital data collection and entry into the computerized
billing system of WCPS that captures all of the required data elements of the State
of Colorado Department of Public Health and Environment for pre-hospital
Advanced Lift Support and Ground Ambulance Licensing (hereinafter, the said
information shall be referred to as "pre-hospital data"), and which process also
complies with all of the requirements of the Health Information Portability and
Accountability Act(hereinafter referred to as "HIPAA").
c. Establish a process that allows for the transfer of the pre-hospital data collection
and entry referred to in paragraph 3.b. in either a paper or an electronic format that
is HIPAA compliant and meets the timely filing requirements of Private Insurance
providers, as well as Medicare or Medicaid programs.
d. The pre-hospital data shall be easily and readily transferable from NPHD to the
billing office at WCPS in Greeley, Colorado.
e. NPHD will pay to WCPS $25.00 per billing statement which is processed and
mailed concerning any NPHD account for services provided by NPHD on or after
the date this Agreement becomes effective, and which account remains unpaid,
until such time as the bill on the account is paid, or is submitted to a collection
agency, or collection on that account is otherwise terminated.
f. For each account for services provided by NPHD prior to the date this Agreement
is executed and becomes effective, NPHD will pay to WCPS $25.00 per hour for
the handling and processing of such account. WCPS will notify NPHD when the
total amount billed to NPHD by WCPS during the term of this Agreement has
reached $2,000.
g. NPHD will, contemporaneously with the execution of this Agreement, also enter
into an agreement with a collection agency to handle referrals of unpaid NPHD
accounts. Within ten (10) days after NPHD has entered into an agreement with a
collection agency, NPHD will so notify WCPS of the agreement, and the agency
which will handle collection referrals on NPHD accounts. NPHD is informed that
WCPS currently refers unpaid WCPS accounts to Professional Finance Company,
and for efficiency and more ease in handling unpaid accounts, WCPS would
prefer that NPHD use the same collection agency for referrals of unpaid accounts.
If WCPS decides to use a different collection agency for processing unpaid
accounts, WCPS agrees to provide no less than 30 days notice to NPHD prior to
making such change.
4. Weld County Paramedic Services Responsibilities Weld County Paramedic Service
agrees to be responsible for the following:
a. Process the initial billing for NPHD, based upon the information submitted to
WCPS from NPHD. WCPS will input the required information into a computer
software program which will forward to the billing company used by WCPS, after
which a billing statement will be generated for the NPHD account.
b. Track the payment on the account billed, ensuring that a follow-up billing
statement is mailed on the NPHD account after 30 days, if the account has not
paid.
c. Prior to submitting any NPHD account to a collection agency, WCPS will provide
a list of such NPHD accounts which WCPS proposes to submit to collection
agency, to NPHD for review and approval. NPHD will notify WCPS within
forty-five (45) days of receipt of each such proposed list, any accounts to which
NPHD has an objection to the account being submitted for collection agency
services. After theleq day period, the proposed accounts to which NPHD has not
responded or has not objected, will be submitted to the collection agency for
further processing.
d. Provide NPHD with a monthly statement which specifies the NPHD bills
processed, and the amount due and owing from NPHD to WCPS for services
rendered.
e. WCPS will deposit all amounts collected from NPHD billings in a clearing
account, from which payment will be made on a monthly basis, of all amounts
collected from NPHD accounts, less any amounts due and owing to WCPS. An
accounting of all payments received, less any amounts deducted will be included
with the monthly payment. The monthly payment will be made either by check,
or by wire transfer, whichever method the parties agree upon.
5. Joint Responsibilities of the Parties The parties to this Agreement agree to jointly be
responsible for the following:
a. The parties will work together to establish a process of reporting accounts
receivables and other necessary reporting that meets the needs of both the NPHD
special district and the Weld County requirements for budgetary review and
accurate reporting for auditing processes.
b. WCPS will assist NPHD in working with the computer information services
sewing Weld County, known as ACS, to establish a cost for, and obtain computer
hardware, software, and support necessary for the implementation of the billing
process anticipated by the parties and set forth in this Agreement. WCPS hereby
states that WCPS has entered into preliminary discussions with ACS and with
Weld County, and believes that ACS is willing and able to assist in the
implementation of the necessary computer aspects of this Agreement.
c. My disputes or questions from third parties concerning billing statements for any
NPHD accounts will be handled by WCPS, to the extent that WCPS is capable of
responding to such disputes or questions. WCPS agrees to immediately refer any
questions or disputes to NPHD's representative for response in the event that
WCPS does not have the knowledge or capability of response to any particular
question or dispute.
d. Additionally, NPHD shall be solely responsible for any liability concerning the
services provided to any patient by NPHD, or any liability concerning incorrect
information forwarded to WCPS for processing. WCPS is only responsible for
the actual billing, based upon the information provided by NPHD. WCPS shall be
liable only for incorrect information contained in the billing statement over which
WCPS had control, e.g., clerical errors which originate with WCPS.
6. Parties' Relationship The parties to this Agreement intend that the relationship between
them contemplated by this Agreement is that of independent entities working in mutual
cooperation. No employee, agent, or servant of one party shall be or shall be deemed to
be an employee, agent, or servant of the other party to this Agreement.
7. Immunities No portion of this Agreement shall be deemed to constitute a waiver of any
immunities the parties or their officers or employees may possess, nor shall any portion of
this Agreement be deemed to have created a duty of care with respect to any persons not a
party to this Agreement.
8. No Discrimination No party shall, on the grounds of race, color, sex, religion, age,
national origin, or individual handicap, be excluded from or denied services, or be subject
to discrimination under any provision of this Agreement.
9. Budget Restraints No portion of this Agreement shall be deemed to create an obligation
on the part of the County of Weld, State of Colorado, or upon the Weld County
Paramedic Service to expend funds not otherwise appropriated in any relevant year.
10. Applicable Law This Agreement is expressly made subject to all laws and regulations of
the United States and the State of Colorado.
11. Modifications This Agreement constitutes the entire understanding between the parties
with respect to the subject matter hereof. All modifications to this Agreement shall be in
writing and signed by both parties.
12. Binding Agreement This Agreement shall be binding upon the parties hereto, their
successors, legal representatives and assigns. Except for any action provided for in this
Agreement, neither party may assign any of their rights or obligations hereunder without
the prior written consent of the other party.
13. Termination This Agreement may be terminated by either party upon sixty (60) days
written notice to the other party. Upon termination, NPHD will pay to WCPS within
thirty (30) days, any amounts that have been incurred for billing statements which have
been processed by WCPS, and which have not been previously paid by NPHD. Upon
termination, WCPS will immediately cease to process any additional accounts for billing
which may have been forwarded to WCPS from NPHD, and return all patient health
information concerning such billings to NPHD.
14. Notices Any notice provided for in this Agreement shall be in writing and shall be served
by personal delivery or by certified mail, return receipt requested, or by confirmed
facsimile, at the addresses or facsimile number set forth in this Agreement, until such
time as written notice of a change in address or fax number is received from the party
wishing to make a change of address. Any notice so mailed or faxed, and any notice
sewed by personal delivery shall be deemed delivered and effective upon receipt or upon
attempted delivery. This method of notification will be used in all instances, except for
emergency situations when immediate notification to the parties is required.

15. No Third Party Enforcement It is expressly understood and agreed that enforcement of
the terms and conditions of this Agreement , and all rights of action relating to such
enforcement, shall be strictly reserved to the undersigned parties, and nothing contained
in this Agreement shall give or allow any claim or right of action whatsoever by any other
person not included in this Agreement. It is the express intention of the undersigned
parties that any entity, other than the undersigned parties, receiving services or benefits
under this Agreement, shall be deemed an incidental beneficiary only.
