In these circumstances, HS's preferred practice is to meet with and attempt to conclude a mutually acceptable surface use agreement and right-of-way agreement with the surface owners or their agents. To this end,Don French of HS and John Davis of Lyons 66 Pacific met about a month ago and agreed that they would either determine an oil and gas operational area on the Property where HS can conduct its operations or Lyons 66 Pacific would pay HS to provide a surface use agreement wherein HS would agree not to drill any oil and gas wells on the subject lands (see copy of Mr. French's 12/7/00 letter to Mr. Davis, attached hereto.) Although it is crucial that this process occur prior to approval of the developer's application, at the present time no final agreement has been reached and no surface use agreements concerning HS's rights to explore for oil and gas in Section 26 are in place. In the absence of any such agreements, HS vigorously objects to any future surface development that fails to recognize and accommodate HS's access to, and utilization of, its valuable property rights in Section 26. We also reviewed Lyon's plans for the commercial development of the captioned lands. It was agreed that HSR and Lyon's would either determine an oil and gas operational area on the captioned lands or Lyons would pay HSR to provide Lyons with Surface Use Agreement wherein HSR would agree not to drill any oil and gas wells on the subject lands. HSR is willing to provide you with said Agreement upon your payment to HSR of$75.000. HSR is aware of the Weld County Planning hearing of January 2, 2001 concerning this development and will notify the planning department that their approval of the development should be contingent upon Lyon's and HSR entering into a Surface Use Agreement.
