RE: APPROVE AGREEMENT CONCERNING PURCHASE OF RIGHT-OF-WAY FOR
CERTAIN IMPROVEMENTS TO WELD COUNTY ROAD 13, GRANT OF
PERMANENT EASEMENT, AND TEMPORARY CONSTRUCTION EASEMENT,
AND AUTHORIZE CHAIR TO SIGN NECESSARY DOCUMENTS - GADDIS FAMILY
REGISTERED LLLP
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement Concerning the Purchase
of Right-of-Way for Certain Improvements to Weld County Road 13, Grant of Permanent
Easement, and Temporary Construction Easement between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Public Works, and Gaddis Family Registered LLLP, 2034 Falcon Drive,
Longmont, Colorado 80502, with terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Agreement Concerning the Purchase of Right-of-Way for
Certain Improvements to Weld County Road 13, Grant of Permanent Easement, and Temporary
Construction Easement between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, on behalf of the Department of Public Works,
and Gaddis Family Registered LLLP be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign any necessary documents.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 24th day of September, A.D., 2003.

AGREEMENT
CONCERNING PURCHASE OF RIGHT-OF-WAY FOR CERTAIN IMPROVEMENTS TO
WELD COUNTY ROAD 13 BETWEEN GADDIS FAMILY REGISTERED LLLP AND
WELD COUNTY, COLORADO
THIS AGREEMENT is made this /S-It-day of aØ. ,2003,by and between Gaddis
Family Registered LLLP, whose address is 2034 Falcon Drive, Longmont, Colorado 8058 a
hereinafter referred to as"Owner,"and the County of Weld,a body corporate and politic of the State
of Colorado,by and through its Board of County Commissioners,whose address is 915 10th Street,
Greeley, Colorado 80631 hereinafter referred to as "County."
WITNESSETH:
WHEREAS, County finds it necessary to rebuild and improve Weld County Road 13, and
WHEREAS, Owner owns the property described in the attached Exhibit "A" Legal
Description, hereinafter referred to collectively as "Right-of-Way", and
WHEREAS, County needs the Right-of-Way in order to complete said rebuilding and
improvement project, and
WHEREAS, said rebuilding and improvement project involves the construction and
realignment of said roadway, and
WHEREAS, Owner wishes to cooperate with County in said road improvement.
NOW, THEREFORE, the parties herein agree as follows:
1. Owner agrees to sell and County agrees to purchase the Right-of-Way shown and/or
described on Exhibit"A",attached hereto and hereinafter referred to herein as the"Right-
of-Way" for the sum of Twelve Thousand Forty Five and no/100 ($12,045.00) dollars.
This consideration is being offered in lieu of condemnation
2. Owner agrees to grant the Right-of-Way to County by Deed of Dedication,free and clear
of all encumbrances, except existing easements. Owner shall retain the mineral estate
under the Right-of-Way, including oil and gas, and shall also retain any water rights
currently attached or associated with the Right-of-Way.

3. County agrees to pay the costs of title insurance and recording fees, if necessary as
determined by County.
4. The parties hereby agree that neither has made or authorized any agreement with respect
to the subject matter of this instrument other than expressly set forth herein, and no oral
representation,promise,or consideration different from the terms herein contained shall
be binding on either party,or its agents or employees,hereto. This Agreement embodies
all agreements between the parties hereto and there are no promises,terms,conditions,or
obligations referring to the subject matter whereof other than as contained herein.
5. Although the date of the transfer of the Right-of-Way shall be the date of the delivery of
the documents of conveyance, it is expressly agreed by the parties hereto that upon
execution of this Agreement by County and Owner, County, its contractors, agents,
employees,and all others deemed necessary by County shall have the irrevocable right to
possess and use all of the Right-of-Way for the purpose of said rebuilding and
improvement project.
6. Owner warrants that he/she is the owner of the Right-of-Way and will defend title thereto
against all claims.
7. General taxes for the year 2003 for the Right-of-Way shall be apportioned to the date of
delivery of the deed based on the most recent levy and the most recent assessment.
Owner represents and warrants that all general taxes levied prior to such year have been
paid in full by Owner.
8. Owner agrees to Grant a Temporary Construction Easement and Permanent Easement as
described in the attached Exhibit A Permanent Easement Legal Description and Exhibit
A Temporary Construction Easement Legal Description. Owner agrees to Grant said
Easements by using the easement forms attached herein.County agrees to reimburse the
Owner the total sum of Eighty Five and no/100 ($85.00) dollars for said easements.
9. County agrees to reimburse the Owner the sum of Nine Thousand Five Hundred Ninety
and no/100 ($9590.00) dollars for damages to the remaining parcel.
IT IS MUTUALLY AGREED that the terms and conditions of this Agreement shall extend to
and be binding upon the heirs, executors, administrators, successors, and assigns of the respective
parties hereto.

11 GRANT OF PERMANENT EASEMENT

KNOW ALL MEN BY THESE PRESENTS:
That Gaddis Family Registered LLLP, whose address is 2034 Falcon Drive,
Longmont, Colorado, 80530, (hereinafter "Grantor"), for and in consideration of the sum
of Ten and No/100 Dollars ($10.00), and other good and valuable consideration, the
receipt and sufficiency of which is hereby acknowledged, does hereby grant, sell and
convey to Ronald L. Morris and Nanette L. Morris, whose address is 18501 Weld County
Road 13, Johnstown, Colorado 80534 (hereinafter "Grantee"), its successors and assigns,
a non-exclusive permanent easement for the purpose of constructing, operating and
maintaining an access driveway and related appurtenances, over, under, across and
through that property situate in the County of Weld, State of Colorado, more particularly
described as follows:
SEE EXHIBIT A - PERMANENT EASEMENT LEGAL DESCRIPTION
and EXHIBIT MAP A
Together with all appurtenances thereto, and together with the right to enter upon
said premises and upon so much of the adjoining premises of Grantor as may be
reasonably required for the purposes of constructing, installing, operating, maintaining
and replacing the improvements for which this easement is granted.
In further consideration hereof, Grantor covenants and agrees that no building,
improvement, structure or other obstruction will be placed, erected, installed or permitted
upon the above-described premises that will interfere with the purposes aforesaid; and
further covenants and agrees that in the event of any violation of the terms of this
paragraph, such violation will be corrected and eliminated immediately upon receipt of
notice from the Grantee.
The rights and benefits created, granted,bargained, sold and conveyed hereby
shall constitute a perpetual burden upon the estate of Grantor and shall run with the land
and be binding upon the Grantor, and its administrators, successors, heirs and assigns.
Grantor shall retain the mineral estate under the Easement, including oil and gas, and
shall also retain any water rights currently attached or associated with the Easement

THIS TEMPORARY CONSTRUCTION EASEMENT is between Gaddis Family
Registered LLLP, whose address is 2034 Falcon Drive, Longmont, Colorado 80530,
Grantor, and the County of Weld, a body corporate and politic of the State of Colorado,
by and through its Board of County Commissioners, whose address is 915 10th Street
Greeley, Colorado 80631, Grantee.
WITNESSETH:
Grantor hereby grants to the Grantee, its contractors, agents and all others deemed
necessary by Grantee, a Temporary Construction Easement. Said Temporary
Construction Easement is for the construction of a driveway as part of the
improvements to Weld County Road ( "WCR") 13, in and to, over, under and across the
following described land:
All of the real property described in the attached Exhibit "A" Temporary
Construction Easement Legal Description
Together with all rights and privileges as are necessary or incidental to the reasonable
and proper use of such easement. Said Temporary Construction Easement is subject to
the following conditions and covenants:
1. The Temporary Construction Easement shall commence on September 1, 2003,
and shall expire and be of no further force or effect on May 31, 2004 or the end
of the road reconstruction and improvements to WCR 13, whichever is earlier.
2. During the term of the Temporary Construction Easement, Grantor shall not erect
or construct, or allow to be erected or constructed, any building or other
structures which may interfere with Grantee's full enjoyment of the rights
hereunder.
3. As a condition of the granting of this Temporary Construction Easement, the
Grantee covenants and agrees to restore said lands to a level comparable to
their original condition.
4. Grantors have been paid a sum certain which compensates Grantors for all crop
and surface damages caused to the property described on said attached Exhibit
"A" Temporary Construction Easement Legal Description.
5. Grantee shall be responsible for all reasonable costs and expenses for any other
damages or injuries caused to any improvements upon the property caused by

Grantee's use of the rights granted herein.
6. All of the covenants herein contained shall be binding upon and inure to the
benefit of the parties hereto, their respective personal representatives,
successors and assigns.
IT IS MUTUALLY AGREED AND ACCEPTED that the terms and conditions of this
Temporary Construction Easement shall extend to and be binding upon the heirs,
executors, administrators successors and assigns of the respective parties hereto.

DEED OF DEDICATION
KNOW ALL MEN BY THESE PRESENTS that Gaddis Family Registered LLLP,whose address is
2034 Falcon Drive,Longmont,Colorado 80503,being all of the owners of certain property in Weld
County, Colorado,which is described in the attached Exhibit "A", do hereby dedicate forever said
property as parts of a public highway,pursuant to Colorado Revised Statute 43-2-201(1)(a),free and
clear of all liens and encumbrances, except existing easements, and warrants title to the same.
Reserving,however, to the Grantor, its successors and assigns, all oil, gas, and other hydrocarbons
(and all other minerals and/or mineral rights whatsoever, except for sand, gravel, soil, and
aggregate),owned by the Grantor that may be produced from the above described property;together
with the right of ingress and egress to the property for the purpose of drilling for production or
exploration, and the right to grant an oil and gas lease and to receive any share of rents, bonus
payments or similar sums that might be payable under the terms of any oil and gas lease.
Notwithstanding anything contained herein to the contrary,such reservation is subject to the express
understanding that no operations for the exploration, production, or storage of oil and gas or other
minerals shall be conducted upon the lands described in Exhibit A. It is the intent of the parties that
there shall not be a disturbance of surface uses or improvements by the Grantor hereunder.
Production of oil and gas or other minerals from the lands may occur only if grantor drills the
property or otherwise recovers the minerals from adjoining tracts of land
