The undersigned warrants/certifies/agrees that he, she or it is the legal owner of the interest set out
below in production payable by EXCO Resources,Inc., "Payor", from the property described below:
OSTER 10-1
E/2 of the SE/4 of Section 10, Township 4 North, Range 67 West, Weld County, Colorado, as to the Codell
and Niobrara Formations.
SEE EXHIBIT"A"
In the event of a claim or dispute that affects title to the above referenced interest, Payor is
authorized to withhold payments accruing to such interest, without interest unless required by
applicable statute, until the claim or dispute is settled.
The undersigned agrees to notify Payor in writing of any change in the division of interest, and no
transfer of interest shall be binding on Payor until the recorded copy of the instrument of change, or
documents satisfactorily evidencing such change, are furnished to Payor at the above address. Any
change or transfer of interest shall be made effective on the first day of the month that commences
30 days after receipt of such notice by Payor.
Payments may be accrued until the total amount equals $100.00, or until annual minimum amounts
are paid, whichever occurs first. The undersigned agrees to indemnify and hold Payor harmless from
all liability resulting from payments made in accordance with this Division Order.
This instrument shall be binding upon and shall inure to the benefit of the parties hereto and to their
respective heirs, devisees, legal representatives, successors and assigns.
This instrument may be executed in any number of counterparts, each of which shall be considered an
original for all purposes.

You have been receiving payment for your interest in the subject property from the
purchaser, Duke Energy Field Services. Effective with sales beginning April 1, 2003, EXCO
Resources, Inc., as operator of the property, will assume the responsibility for revenue
disbursements.
Accordingly, enclosed is EXCO's division order prepared from a paylist furnished by Duke.
Please sign one copy of the division order in the presence of two witnesses, insert your social
security number in the space provided, and return it to this office. You may keep the extra
copy for your records.
Please note it is EXCO's policy not to issue checks for less than $100.00 unless requested to
do so by the owner, except the annual release when all accrued amounts are paid.
Anticipating your early return of the signed division order, we have placed your interest in pay
status.
