WITNESSETH,That the grantors)for and in consideration of the sum of Seven Hundred Fifty Thousand and
00/100 DOLLARS($750,000.00),the receipt and sufficiency of which is hereby acknowledged,has granted,
bargained,sold and conveyed,and by these presents does grant,bargain,sell,convey,and confirm,unto the grantee its
heirs and assigns forever,all the real property,together with improvements,if any,situate,lying and being in the
County of Weld,State of Colorado,described as follows:
Property described in Exhibit"A"attached hereto and incorporated by reference herein for
all purposes.
TOGETHER WITH all minerals of whatsoever kind or character, including, but without
being limited to oil and gas and constituents thereof,in,under,and upon or that might be
produced therefrom, but reserving to the grantor, its successor; and assigns all royalties
payable under leases existing on the date of this deed for a period of ten(10)years from the
date of this deed; and together with all easements, rights of way, appurtenances,
improvements,development rights and entitlements.
Grantor further reserves for itself and its successors and assigns,an easement across and to
otherwise enter upon the property conveyed hereby to access, use, maintain, repair, and
replace the irrigation pump located on the property,and for other reasonable uses necessary
for Grantor, its successors or assigns to access, catty and to otherwise use the water
associated with the property.
Grantor further reserves for itself and its successors and assigns,all ditches and ditch rights,
water and water rights belonging to or in any way associated with the property described
herein.

TOGETHER with all and singular the hereditaments and appurtenances thereto belonging, or in anywise
appertaining,and the reversion and reversions,remainder and remainders,rents,issues and profits thereof;and all
the estate,right,title,interest,claim and demand whatsoever of the grantor,either in law or equity,ot;in and to the
above bargained premises,with the hereditaments and appurtenances;
TO HAVE AND 7'O HOLD the said premises above bargained and described with the appurtenances,unto the
grantee,its heirs and assigns forever. The grantor,for itself, its heirs and personal representatives or successors,
does covenant and agree that it shall and will WARRANT AND FOREVER DEFEND the above-bargained
premises in the quiet and peaceable possession of the grantee,its heirs and assigns,against all and every person or
persons claiming the whole or any part thereof;by,through or under the grantor(s),subject to easements,rights of
way of record and/or in use,and all matters of record.
