Dear Mr. Nevamo: This letter is being written as a result of your October 11,2002 meeting with Clay Munger,Operations Manager of Merit Energy Company(MeriC)at the site of your proposed expansion of your existing painted facility located on the referenced WEL As you know,Merit operates the Vetting Well located on the same parcel of land that you intend to use as an expanded pained factdy. Mr. Munger advises me,as a result of your meeting,that Action Pursuit Paintball ('Action')has abandoned the idea of creating an outdoor facility on the IocaBon and intends rather to construct an indoor facility and that,as a result,the proposed Indoor facifity win not impact the existing weihead and the existing separator. Mr Munger also advises me that the location of your proposed indoor facility Is acceptable to Merit provided that the Indoor tacitlly is no doss Man 140 feet from the location al the berm swrotmdng all oxistrg product stock tanks. Further,Merit's agreement to your plan is conditioned upon your agreement to pay for fencing around the existing stock tank location to the rests satisfaction of Mr. Munger with respect to the location of the fence and the materials to be used. The fence is to be constructed ted prior the commencement of any construction of the indoor pdnlbai levity Further, Mr.Munger has advised me that Action has agreed to maintain the access road into the indoor petntbe4 fealty to a etandcrd that will be stadent for Action's purposes and that access to the stock tent facility and the related water vault will be preserved at all times and that such access wit not be impaired by your expanded operation. The most Important issue from Merits perspective is the safety of Action's clients and the security of Merit's dl and gas operations at the Voting Wet Accordingly, Merit wants Action's written agreement to construct,at Action's cost and expense, a 6-foot high gain link fence amid the existing production facility. The fence will be instated at the locations as deathbed by Clay Munger. Merit needs to make sure that the fence constructed around the production tastily will not inhibit the pick up of product by Merit's of purchaser. 2. Merit,also for safety mesons,wards Action's agreement that there will be no pcdtaball activity within 150 feat of the existing production fatty,inducing the water vault in addition,thaw should be no smoking within 150 feet of the Merit facilities. Action's fealties,including parldngfaalties, shall not interfere with Merits ability to access the production facility to remove product therefrom and to maintain the facility. Actonctngy,there will be no pwldng on the West side of the Merit production facility or Within 50 feet on the ends South site of the facility or within 75 feat on the antis East side of the facility. Action wit consult with Merit and obtain Molts prior written approval of the design of the parking facility to ensure that Merits operations will not be inpaired by the Action faciites. 3.
