RE: APPROVE AMENDMENT TO MEMORANDUM OF AGREEMENT AND AUTHORIZE
CHAIR TO SIGN - BANNER HEALTH SYSTEM, OPERATOR OF NORTH COLORADO
MEDICAL CENTER
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Amendment to the Memorandum of
Agreement between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, and Banner Health System, operator of North
Colorado Medical Center, commencing January 1, 2003, and ending December 31, 2003, with
further terms and conditions being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Amendment to Memorandum of Agreement between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, and Banner Health System, operator of North Colorado Medical Center be, and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 12th day of February, A.D., 2003, nunc pro tunc January 1, 2003.

AMENDMENT TO
MEMORANDUM OF AGREEMENT
THIS AMENDMENT TO MEMORANDUM OF AGREEMENT (this "Amendment") is made
and entered into as of the dates set forth below, to be effective as of January 1, 2003, (the
"Effective Date") by and between Banner Health System, an Arizona non-profit corporation the
operator of North Colorado Medical Center, (hereinafter referred to as "NCMC"), and Weld
County, (hereinafter referred to as "County").
WITNESSETH:
WHEREAS, NCMC and County are parties to that certain Agreement dated effective as
of January 1, 1999, as the same has been amended by that certain Amendment to
Memorandum of Agreement, dated effective as of January 1, 2000, January 1, 2001,and
January 2002 (as amended, the "Agreement"), pursuant to which County has awarded to
NCMC a sum of Weld County General Fund monies to provide psychiatric inpatient care for
patients held under Section 27-10, CRS, and NCMC agreed to provide such mental health
services to Weld County citizens.
WHEREAS, the parties desire to amend the Agreement and Amendments thereto, in
accordance with the terms and conditions hereof.
NOW, THEREFORE, the parties hereto agree as follows:
1. Page 1, Section 2 shall be deleted in its entirety and replaced with the
following:
Contract Period will be from January 1, 2003 through December 31,
2003.
2. Agreement Effective. Except as otherwise expressly provided herein, all terms
and conditions of the Agreement shall remain unmodified and in full force and effect.
3. Precedence of Amendment. In the event of a conflict between the terms and
conditions of this Amendment and the terms and conditions of the Agreement, the terms and
conditions of this Amendment shall govern and control.
4. Capitalized Terms. All capitalized terms used in this Amendment and not
otherwise defined herein shall have the meaning ascribed to such terms in the Agreement.
5. Incorporation. This Amendment shall be attached to, and made a part of, the
Agreement.
