Per our phone conversation, I am sending you this letter as notification that we are proceeding
with development of the property referenced in my October 21, 2002 letter. Along with the
October 21 letter you also received adequate proof of ownership and mineral rights of Union
Pacific Railroad.
Please forward this letter to Union Pacific as notification of development and retain for your

Dear Sheri:
This letter follows up our telephone conversation today concerning an application for
a change of zone that has been filed with Weld County by Lance and Julee Meiners
("Application") for property described as a portion of the NW/4 of Section 33, Township 9
North, Range 67 West ("Property").
As we discussed,this law firm represents Anadarko Land Corp. ("Anadarko Land"),
formerly known as Union Pacific Land Resources Corporation, and Anadarko E&P
Company LP ("Anadarko E&P"), formerly known as Union Pacific Resources Company,
with respect to the Application. The Anadarko entities own all of the minerals that underlie
the NW/4 of Section 33.

I understand from our conversation that the request in the Application is to change the
zoning for Lots 1 through 7 as identified in the attached plat to PUD zoning and that the
portion of the property generally in the E/2NE/4NW/4 where Lots 1 through 6 are located
will be changed to PUD zoning-estate and that the remainder of the property,generally in the
S/2NW/4 and the W/2NW/4NW/4, will be changed to PUD zoning-agricultural. I
understand further that the change to PUD zoning-agricultural will have no impact on the
ability of the Anadarko entities to access their minerals and that oil and gas development in
Lot 7 will continue to be a use by right for which the County will require no special use
permit.
The Anadarko entities acknowledge receipt of a notice of hearing from the Applicants
for the Application, and, in light of the understanding described in this letter, they do not at
this time intend to file an objection to the Application.
