RE: APPROVE MEMORANDUM OF UNDERSTANDING FOR TRANSFER OF COMMUNITY
DEVELOPMENT BLOCK GRANT ("CDBG") PROGRAM FUNDS AND AUTHORIZE
CHAIR TO SIGN - WELD FOOD BANK
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board of County Commissioners has been presented with a Memorandum
of Understanding ("MOU") between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, and the Weld Food Bank, for the transfer of
Community Development Block Grant ("CDBG") Program funds, with terms and conditions being
as stated in said MOU, and
WHEREAS, after review, the Board deems it advisable to approve said MOU, a copy of
which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Memorandum of Understanding between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, and the Weld Food
Bank, for the transfer of Community Development Block Grant ("CDBG") Program funds, be, and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair is authorized to sign the MOU.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 9th day of June, A.D., 2003.

MEMORANDUM OF UNDERSTANDING
AGREEMENT:
This Memorandum of Understanding ("MOU") is made this 9th day of June , 2003,by
and between the County of Weld, State of Colorado,by and through its Board of County
Commissioners, whose address is P.O. Box 758, 915 10th Street, Greeley, CO 80632, hereinafter
referred to as "County," and the Weld Food Bank, whose address is 104 11t Avenue, Greeley,
CO 80631, hereinafter referred to as "Food Bank."
FEDERAL FUNDING SOURCES:
County, through the Community Development Block Grant ("CDBG") Program, is providing to
Food Bank the sum of$300,000 for equipment for a new facility to be located on land adjacent
to Weld County's North Business Park. Legal description for said property is: Lot 2 of RS-1023,
Resubdivision of Union Colony Subdivision, being part of the Southeast Quarter(SPA) of
Section 31, Township 6 North, Range 65 West of the 6th P.M., Weld County, Colorado.
SCOPE OF WORK:
This project consists of the purchase of equipment for Food Bank's new warehouse facility to be
located on the property described above.
FINANCIAL ASSISTANCE:
Food Bank, acting as a sub-recipient of the CDBG Program, will receive said funds from
County. Payment of said funds shall be made to Food Bank as the equipment is purchased
through the County's bid process to ensure compliance with all required procurement rules and
regulations.
CONDITIONS OF OWNERSHIP AND DELIVERY OF PROPERTY:
County shall grant to Food Bank ownership of the equipment purchased for this project upon
delivery with the condition that the equipment is to be used to serve Weld County residents in the
provision of food stuffs for a period of twenty-five (25) years. Any equipment not being used as
specified herein shall be returned to County immediately.
DISALLOWANCE OF FUNDS:
If reimbursement of the funds from the CDBG Program for this project are disallowed for any
reason, Food Bank shall immediately reimburse County for the disallowed amount.

ACCOUNTING:
County shall establish and maintain a separate set of accounts for the purchase of the equipment
for the project to assure that the program funds are expended and accounted for in a manner
consistent with this MOU and the laws of the state of Colorado and the Department of Housing
and Urban Development's federal requirements.
NO WARRANTY:
Through this MOU, County does not provide or promise to Food Bank or its clients any warranty
with respect to the labor and materials used in the delivered equipment, and/or the fitness and
suitability of the equipment for the purpose for which it is being used.
