Grantor does herewith grant to Grantee a right of first refusal to acquire three shares of
capital stock in the Farmers Reservoir and Irrigation Marshall water,evidenced by Stock Certificate

If Grantor desires to assign or otherwise transfer all or any portion of three shares of stock
in the Farmer's Reservoir and Irrigation Company Marshall water, evidenced by Stock Certificate
No. 5667 (the "Offered Interest") to any person who has presented Grantor a bona fide written
executed offer (the "Offer"), the Grantor shall give written notice (the "Offering Notice") to the
Grantee of the Grantor's intention to so transfer. The Offering Notice shall include a copy of the
Offer. For twenty (20) days after the receipt of the Offering Notice (the "Review Period"), the
Grantee shall have the option to elect to purchase from the Grantor all (but not less than all) of the
Offered Interest at the same price and on the same terms as are specified in the Offering Notice by
delivering to the Grantor a written offer to purchase the Offered Interest along with any deposit made
or required pursuant to the Offer. At the closing, the Grantor shall deliver the Offered Interest free
and clear of all liens, security interests and competing claims and shall deliver to the Grantee such
evidence of due authorization, execution and delivery and of the absence of any such liens, security
interests or competing claims as Grantee reasonably requests. If within the Review Period, the
Grantee fails to timely and validly offer to purchase all of the Offered Interest,then the Grantor may,
within ninety (90)days after the expiration of the Review Period,transfer the Offered Interest to the
person or entity identified in the Offering Notice on the same terms and conditions and at the same
price specified in the Offering Notice. If the Grantor fails to so transfer the Offered Interest within
such ninety (90)day period, then prior to transferring the Offered Interest,the Grantor shall resubmit
an Offering Notice in accordance with the provisions of this paragraph and shall comply with the
other terms of this paragraph.

In the event the consideration consists or includes non-cash consideration, the Grantee at its
sole option may pay such non-cash portion of the purchase price with either (I) substantially similar
consideration of equivalent value or(11) cash in an amount equal to the fair market value of the non-
