HomeMy WebLinkAbout20030329.tiff RESOLUTION RE: APPROVE PROFESSIONAL SERVICES AGREEMENT FOR PARAMEDIC SERVICES BILLINGS AND AUTHORIZE CHAIR TO SIGN - DANTOM SYSTEMS, INC. WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Professional Services Agreement for Paramedic Services Billings between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Paramedic Services, and Dantom Systems, Inc., commencing upon full execution of said agreement, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Professional Services Agreement for Paramedic Services Billings between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Paramedic Services, and Dantom Systems, Inc., be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. Intelligent Collection Letters Professional Services Agreement SERVICES The professional services provided by seller to client will be as described in Attachment A. CONFIDENTIALITY Seller agrees to treat all information provided by Client in a confidential manner. Reasonable efforts will be made to insure Client's information is not divulged to any outside party without prior written consent. All Client records/data/information will be returned upon termination of this agreement. TERM This agreement shall be effective when signed by both seller and client. The term of this agreement is six (6) months beginning upon the date of the first transmission of live data. This agreement shall be in effect until canceled by either party with a ninety (90) day written notice. TAXES Client agrees to pay all taxes levied on professional services including Federal, State, or Local if applicable. ADVANCE DANTOM Systems, Inc. maintains a strict policy of securing an advance payment from all clients prior to the first mailing. The advance is determined by the client's actual monthly letter volume multiplied by the letter cost (see Attachment A) and will be used to cover the client's postage expense for 45 days, which by then payment for the preceding month's business should be received. Volumes will be monitored and advance payment adjustments made as needed. Monthly Volume o(,3 '(-- Advance $ I,/ NON-EXCLUSIVITY The provision of these services is not exclusive to this Client. DANTOM is not limited in supplying similar services to any other Client. RESPONSIBILITIES: Except as expressly provided above, the DANTOM Systems, Inc. products, software and services are provided "as is". DANTOM Systems, Inc. does not make any, and hereby disclaims all warranties of any kind, either expressed or implied, including, but not limited to, the implied warranty of merchantability and fitness for a particular purpose. DANTOM Systems, Inc. shall not be liable for any defect, indirect, consequential or inconsequential damages (including damages from loss of business profits, business interruption, loss of information, and the like) arising out of the use of or inability to use the DANTOM System products, software or services. Seller shall not be considered in default due to any failure in performance of this agreement, should such failure arise out of causes out of its contro' and without its fault or negligence. Such causes may include, but are not limited to, acts of God or of a public acts of t;le Go,ecnmeni, files, iiuuds, epidemics, quaianiinea ,cstrictions, strikes, negligence of third parties. freight embargoes or unusual weather conditions. Intelligent Collection Letters ATTACHMENT B NCOA AND OTHER INFORMATION SERVICES The data received from DANTOM is obtained from information sources available to the public in conjunction with agreements with a third party (AKA "Providers"). The Providers compile the data/information and make it available to DANTOM. Customer agrees that its use of the data/information will be limited to one or more of the following applications: 1) verifying address information; 2) verifying phone numbers; 3) providing bankruptcy information (via batch processing). Customer agrees it will always use the data/information in compliance with Federal, state and local laws, and will not use the data/information as a determinant in: establishing an individual's eligibility for credit, insurance, employment, promotion, reassignment or retention as an employee, eligibility for a license or benefit granted by a government agency, association with any direct marketing or promotional activities, criminal investigations or other law enforcement purposes. Customer agrees it will not: redistribute the data/information obtained through DANTOM to any other company or individual and ensures it will be used in accordance with this agreement. If Provider or DANTOM becomes aware of information that suggests the Customer has used or intends to use the data/information for purposes that are inappropriate and or inconsistent with this Agreement this Agreement will be terminated without obligation or penalty of any kind. In such case the Customer will be liable for payments for all data/information services. Provider's aggregate liability to Customer for any failure to perform under the Agreement shall be limited to amounts paid by Customer under this Agreement. Customer also understands the data/information obtained from DANTOM is subject to copyright and other intellectual property rights of Provider and Customer will take no action in violation of such rights. ADDRESS SERVICE REQUESTED If forwarded, a separate change of address notification is provided. If returned, a new address or reason for nondelivery is provided. Intelligent Collection Letters �� ATTACHMENT D DASTM - DUAL ADDRESS STANDARDIZATION In an effort to maximize the number of deliverable addresses, we use two separate standardization programs that have been approved by the United States Postal Service. Through extensive testing we have determined that greater standardization rates can be achieved using this approach, resulting in less returned mail. Another great feature is the cost — THERE ISN'T ANY. DASTM is a standard part of our Intelligent Collection Letter Software process. We understand the importance of not just mailing your letters but getting them delivered. That's why we offer services in addition to National Change of Address (NCOA) that are focused on deliverability: Electronic Return Mail (ERIVIWM) and Address Element Correction (AECTM). Each of these services works in it's own way to decrease return mail. Please place a check mark next to your selection(s). ERMTM - ELECTRONIC RETURN MAIL Option ($.10 per return) The ERMTM option identifies addresses that fail the standardization process and removes them from production. An electronic report is then created listing a brief description of why each address could not be standardized. AECTM - ADDRESS ELEMENT CORRECTION Option ($.05 per pass) AECTM uses specialized USPS-controlled address element evaluation programs to perform a series of evaluation and comparison steps. When AEC determines a match to an unambiguous address, the missing or incorrect address elements are corrected and the piece is then mailed. The corrected addresses are returned electronically via a data upload as a "standardized address". ACS - ADDRESS CHANGE SERVICE ($.30 per hit) ACS is an electronic USPS product designed to reduce the manual address change notification process (Form 3575's).
