RE: APPROVE LETTER OF AGREEMENT FOR EXCHANGE OF GEOGRAPHIC
INFORMATION SERVICES DATA AND AUTHORIZE CHAIR TO SIGN - MINER AND
MINER CONSULTING ENGINEERS, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Letter of Agreement for the exchange
of Geographic Information Services Data between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Geographical
Information Systems, and Miner and Miner Consulting Engineers, Inc., with terms and conditions
being as stated in said letter of agreement, and
WHEREAS, after review,the Board deems it advisable to approve said letter of agreement,
a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Letter of Agreement for the exchange of Geographic Information
Services Data between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Geographical Information Systems, and Miner
and Miner Consulting Engineers, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said letter agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 5th day of May, A.D., 2003.

Subject: Weld County, Colorado GIS Data Exchange
Miner and Miner has reviewed Weld County's GIS data including landbase and digital
orthophotography data. We have found this data to be both comprehensive and accurate, and
would like the County's permission to create a sample data set from this GIS data. It is our
intention to then use the sample data for product demonstration and distribution (not for profit)
purposes.
It is likely that Miner and Miner will need to embellish the existing Weld County data to properly
configure with the ArcFMTM tools. Miner and Miner shall identify and share with Weld County
these data changes and whether, if any, it substantially changes the context of the Weld County
data. For example, we will add fields to the existing data to support ArcFM workflow options
and existing business rules. These particular changes should not affect the basic context of the
data. However, Miner and Miner may need to provide default data to new or existing fields that
may not actually occur in the field. In these cases, Miner and Miner shall notify Weld County.
Miner and Miner will create the sample data set by modifying Weld County's data by:
1. Naming the GeoDatabase `Minerville.'
2. Changing customer information, including the removal of asset values, customer names,
ID numbers, parcel numbers, and other customer-sensitive information.
3. Removing landbase data outside the Greeley city limits.
4. Adding water, sewer, electric, and gas feature data sets.
5. Loading the County's data into a GeoDatabase and appropriate feature datasets.

Intended uses of the sample dataset include:
1. Sample data for product demonstration purposes.
2. Distribute sample data to Miner and Miner business partners.
3. Distribute sample data to licensed Miner and Miner users
In exchange for using the County's GIS Data, Miner and Miner would like to offer the County the
following:
1. Two (2) free ArcFM software licenses. One year following software shipment, Weld
County will be required to pay the annual software maintenance fee, which is based on
15% of software list price, or $2,085. The software maintenance fee is calculated as
follows:
ArcFM, first seat $10,000
ArcFM , second seat $3,900
Software Total $13,900
Maintenance @ 15% x .15
Annual Maintenance $2,085
Weld County may choose to not accept the software if they deem the software not useful
for Weld County purposes. In this case, Weld County will not be charged the annual
maintenance fee.
If at a later date, Weld County decides to install and use ArcFM, the County can still
receive two (2) free ArcFM software licenses, but will be required to pay the annual
maintenance fee of$2085 one year after the software shipment date.
2. After Miner and Miner has configured the GeoDatabase, Miner and Miner shall provide
the configured GeoDatabase to Weld County free of charge. It is expected that the
County's GIS data will be a subset of the configured sample dataset. Miner and Miner
will deliver the configured GeoDatabase in the form of export files compatible with the
RDBMS installed at the County. The GeoDatabase will contain the ArcFM schema and
configuration without the data.
3. Miner and Miner occasionally develops custom applications to work with the sample data
for product demonstration purposes. Miner and Miner will provide these custom
applications to the County free of charge.
