Dear Sheri:
Doug Tiefel is out of town until August 23, so would you please communicate with
me, if you can. I have enclosed a copy of our attorney's title opinion for the owners of
the mineral interests. In addition to the two land owners (Douglas A. Tiefel and River
Runs Through It, LLC) the mineral interest owners have been identified as State of
Colorado Board of Land Commissioners, J.L. and Ruthanne Bailey, J Bar B, Inc. and
Kerr-McGee Rocky Mountain Corp.
J.L. and Ruthanne Bailey and J Bar B, Inc. are the previous owners from whom Doug
Tiefel purchased the property. They are appearing in the records because the
assignment of their mineral interest has not yet been recorded. Nevertheless, we will
send a notice of the pending September 17, 2002 Planning Commission Meeting to
each of them by certified mail.
For your review, I am providing you with a copy of our that notice. Please let me know
if the format we used is acceptable or if you have a specific format that we are to use.
Since our hearing is set for September 17, we would like to mail these notices today,
consequently, your expeditious response would be greatly appreciated.

We have reviewed title policy FT 118116, dated December 28, 2000 issued by North
American Title Company (the "Title Company"), pertaining to the Tiefel Parcel and title
policy LVR 126171, dated December 28, 2000 issued by North American Title Company,
pertaining to the RRTI Parcel (collectively, the "Title Policies") and accompanying
documents provided by the Title Company in connection with the Title Policies (the
"Documents"). Based solely upon our review of the Title Policies and the Documents, and

Dear Planning Services:
This law firm represents Kerr-McGee Rocky Mountain Corporation ("KMRMC"),
formerly HS Resources, Inc., and Kerr-McGee Gathering LLC ("KMG"), owners of certain oil
and gas leasehold and pipeline interests in the above captioned lands (the "Property"). The
applicant for the proposed development has been in contact with KMRMC and KMG personnel,
however, a surface use agreement has not been executed among the surface and mineral owners.
In addition to an existing well, KMRMC has four to five future drillsite locations on the
Property that must be identified within the proposed development plan so that safe and
reasonable surface use among the mineral and surface owners can be adequately accommodated.
Due to past g≤av'1 -•-•«:ng of the Property by the applicant and/or surface owners; KMRMC is
very concerned the proposed development will prevent reasonable oil and gas development of the
Property and that valuable property rights will be lost.
The applicant has also requested a relocation of a pipeline that traverses the Property and
is operated by KMG. Negotiations addressing specific relocation costs and alternative locations
will begin soon, but a relocation agreement has not been executed.
KMRMC and KMG personnel look forward to working with the applicant and the Weld
County Planning Commission as the Pelican Shore development proceeds.

Dear Ms. Lockman:
This letter is written in response to our phone conversation this afternoon
regarding the subject development. Kerr-McGee Rocky Mountain Corporation
("KMRMC") owns 100% of the oil and gas leasehold interest in the subjects lands.
KMRMC currently operates two natural gas wells and associated production facilities on
the property and has proposed to drill another well on the property to be located in the
SWNE. In addition, Kerr-McGee Gathering LLC ("KMG" and together with KMRMC,
"Kerr-McGee") currently operates a high pressure natural gas pipeline that traverses the
subject property.
Kerr-McGee has met with the surface owner/applicant, Mr. Douglas Tiefel,
regarding his proposed Pelican Shores PUD. At this time, his proposed plat does not
adequately address the rights of Kerr-McGee to develop the mineral estate. Kerr-McGee
has proposed a draft surface use agreement to Mr. Tiefel which would address such
issues, and he and I reviewed the agreement together for the first time this morning.
Until the proposed plat accommodates Kerr-McGee's present and future use of
the surface to access its minerals, or a surface use agreement is entered into between the
parties which adequately address such use, please be advised that Kerr-McGee objects to
this proposed development. We therefore request that the Weld County Planning
Department delay any public hearings with respect to this development until this issue
can be resolved.
Kerr-McGee will continue to work with this applicant and is hopeful that a
surface use agreement can reached in the near future.
