RESOLUTION
RE: APPROVAL OF POOLING AGREEMENT WITH PETROMAX ENERGY CORPOR-
ATION AND AUTHORIZATION FOR CHAIRMAN TO SIGN
WHEREAS , the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
o00 WHEREAS , Weld County, Colorado is the holder of a certain
lease covering mineral acres more particularly described as
o follows, to-wit:
Township 6 North, Range 66 West, 6th P .M.
Section 25 : S/2 SW/4

W WHEREAS, Petromax Energy Corporation has submitted a Dec-
laration of Production, Pooling, Ratification of Lease, Spac-
o ing, and Stipulation of Acreage on the subject property for the

-----LEASE, SPACING, AND STIPULATION OF Main
-Kissler/Amen #25-1 Well-
KNOW ALL PERSONS BY THESE PRESENTS:
WHEREAS, PETROMAX ENERGY CORPORATION, of 14 Inverness Drive
East, Suite H-140 , Englewood, Colorado 80112, as principal operator
and holder for itself or as general partner of PETROMAX ENERGY
CORPORATION 1981 MAX DRILLING PROGRAM, A Colorado Limited
Partnership, and others, holds an undivided share of the working
interest in the Kissler/Amen #25-i well; and
WHEREAS, by various Orders of the Oil and Gas Conservation
Commiunitsssion for have beenthe State of established fororado,productioncre sping and of oilcand drilling
gas and
associated hydrocarbons from the CODELL FORMATION within the lands
described below; and
WHEREAS, to prevent waste, protect correlative rights, insure
proper and efficient development and promote conservation of oil and
gas resources , the undersigned desire to establish a pool and
operating unit for the production of oil and gas from the CODELL
FORMATION ONLY underlying the leases, lands and well as set forth in
Exhibit "A" attached hereto, to-wit:
Well Name: Kissler/Amen #25-1
Drillsite: Township 6 North, Range 66 West, 6th P.M.
Section 25: S/2 SW/1
which POOLED AREA shall be deemed to contain for purposes of pooling
and the allocation of production from the CODELL FORMATION only,
78.54 acres of land, whether said drillsite should actually contain
more or less. Said formation and lands hereafter referred to as the
"POOLED AREA"; and
WHEREAS, the undersigned wish to acknowledge and affirm the
establishment of production under the Oil and Gas Leases covering
the POOLED AREA, and stipulate as to the number of acres to be
considered to be included within the POOLED AREA from each oil and
gas for the e or purpose by eaofoh allocationrofet rentalh in the attached, royalties, production t and

and
lease obligations.
NOW, THEREFORE, in consideration of the premises and other good
and valuable considerations, the undersigned, hereby:
1. Ratify the leases set forth in Exhibit "A" and acknowledge
the same to be in full force and effect to the extent of their
interest therein and agree to the pooling of said leases and the
lands covered thereby insofar and only insofar as the undersigned
hold an interest in lands lying within the POOLED AREA for the
purpose of creating a single pool or operating unit for the
production and development of oil, gas and other hydrocarbons from
the CODELL FORMATION.
2. The parties further stipulate and agree to be effective
solely as between parties signing this agreement, their succesors
and assigns, and only for the purpose of allocating production from
the above well, that the number of acres from each of the leases
included within said POOLED AREA and the total number of acres
considered as being within the POOLED AREA shall be as set forth in
the attached Exhibit "A" , whether said acreage is actually more or
less.

Subsequently hereto, the POOLED AREA under each of the
Leases described in Exhibit "A" shall be treated and operated as one
unit and one tract; and all rentals and royalties accruing under
said Leases shall be divided among and paid to the separate royalty
owners in the proportion that the acreage within the POOLED AREA
owned by each royalty owner bears to the total acreage within the
POOLED AREA. Payment of rentals and royalties accruing under the
terms of said Leases, when made in the aforementioned proportions,
shall constitute full compliance by the lessees, their successors
and assigns of their obligation to make such payments.
4. Drilling and production of oil, gas or other hydrocarbons
from the above well, or any substitute well provided for under the
terms of the Leases, shall be considered drilling or production in
compliance with the terms of each of said Leases; and so long as
such drilling or production is maintained within the POOLED AREA,
all the Leases shall remain in full force and effect and shall be
held beyond the Primary Term thereof as if drilling and production
had occurred on each respective Lease included within the POOLED
AREA.
