RESOLUTION RE: APPROVE NONEXCLUSIVE LICENSE AGREEMENT FOR UPGRADE AND MAINTENANCE OF A PORTION OF WELD COUNTY ROAD 118 AND AUTHORIZE CHAIR TO SIGN -SCOTT AND PEGGY KOSKIE WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Nonexclusive License Agreement for the Upgrade and Maintenance of a portion of Weld County Road 118, between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Scott and Peggy Koskie, 14570 North County Road 7, Wellington, Colorado 80549, with terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Nonexclusive License Agreement for the Upgrade and Maintenance of a portion of Weld County Road 118, between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Scott and Peggy Koskie be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. WITNESSETH: WHEREAS, Second Party desires to more effectively access property located at the East '/2 of Section 12, Township 10 North, Range 67 West at the 6`h P.M. in Weld County, Colorado, and WHEREAS,First Party is the owner of the right-of-way known as WCR 118 for a distance of one mile east of WCR 23 and located as follows: 60 feet of right-of-way between Sections 12 and 13, Township 10 North, Range 67 West at the 6`h P.M. in Weld County, Colorado, which is hereinafter referred to as "ROW," and WHEREAS, ROW is currently not being maintained by First Party, and WHEREAS,Second Party wishes to upgrade and thereafter maintain ROW at his/her/its sole expense in order to provide said more effective access. NOW,THEREFORE,in consideration of the covenants contained herein and the agreements of said Second party to be performed hereunder, and upon the conditions herein stated, First Party does grant to Second Party, its successors and assigns, a nonexclusive license to upgrade and maintain ROW without gating or fencing across the same. The conditions by which Second Party may upgrade and maintain ROW are as follows: 1. First Party retains the right to revoke this Nonexclusive License Agreement at any time for any reason,but such revocation shall not prohibit Second Party's continued use of the ROW for access to Second Party's property, to the extent that such continued use is consistent with the right of the public to use the ROW. First Party shall give Second Party written notice of its intent to revoke this Nonexclusive License Agreement at least ninety (90) days prior to the intended date of revocation. Such notice shall be sent to Second Party by Certified Mail to its address written above or served upon Second Party in accordance with the Colorado Rules of Civil Procedure. The upgrade and maintenance of ROW by Second Party shall be done in such manner as reasonably prescribed by First Party, which manner shall include, but not be limited to, the following: a. ROW shall be constructed and maintained as a graded and drained all-weather road. b. If the installation of a cross culvert is required through an existing drainage pattern or ditch, Second Party shall be responsible to supply and install such culvert, which shall be inspected by First Party to ensure adequacy of capacity,strength,and length. Second Party shall be responsible to maintain the culvert after its installation, including periodically cleaning the same. c. If the installation of a cattle guard is required, Second Party shall be responsible to supply and install such cattle guard, which shall meet County standards. Second Party shall be responsible to maintain the cattle guard after its installation, including periodically cleaning the same. d. This Nonexclusive License Agreement does not grant the right to gate or fence ROW for private use, but is intended to provide access to private property. e. Prior to commending work within the ROW,Second Party shall,through the services of a licensed registered surveyor hired and paid for by Second Party, mark the location of the exterior boundaries of the ROW. 3. The upgrade and maintenance of the ROW by Second Party, including those items set forth in Paragraph I., above, or any other requirements stated by First Party, shall be at its own expense and without the aid or use of Weld County funds. Second Party shall be responsible for snow removal from ROW, if required to gain access, as part of the maintenance responsibilities referred to herein. 4. Except for the negligence of First Party, Second Party shall indemnify and save harmless First Party, its successors, assigns, employees, and agents from any damage or loss sustained by them or any of them to the extent caused by Second Party's negligence with respect to the upgrade and maintenance of the ROW. 5. Except for the negligence of First Party,Second Party agrees to protect First Party and save and hold it harmless from any and all third party claims and damages that said upgrade and maintenance may directly or indirectly cause to the extent attributable to the negligence of Second Party. Second Party hereby releases First Party,its successors,assigns,employees,and agents from any and all claims and damages of whatsoever character to property owned by Second Party resulting from any act, either on the part of the First Party or on the part of any third party. Second Party shall not assign any or all of its rights under this Nonexclusive License Agreement without first obtaining written consent to such assignment from First Party, which consent shall not be unreasonably withheld. 7. The parties hereby agree that neither has made or authorized any agreement with respect to the subject matter of this instrument other than expressly set forth herein, and no oral representation,promise,or consideration different from the terms herein contained shall be binding on either party hereto,or its agents or employees. This Nonexclusive License Agreement embodies all agreements between the parties hereto and there are no promises,terms,conditions,or obligations referring to the subject matter whereof other than as contained herein. 8. If any term or provision of this Nonexclusive License Agreement,or the application thereof to any person or circumstances shall, to any extent, be held invalid or unenforceable, the remainder of this Nonexclusive License Agreement,or the application of such terms or provisions, to a person or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected, and every other term and provision of this Nonexclusive License Agreement shall be deemed valid and enforceable to the extent permitted by law. 9. No portion of this Nonexclusive License Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess, nor shall any portion of this Nonexclusive License Agreement be deemed to have created a duty of care which did not previously exist with respect to any person not a party to this Nonexclusive License Agreement. 10. It is expressly understood and agreed that the enforcement of the terms and conditions of this Nonexclusive License Agreement,and all rights of action relating to such enforcement,shall be strictly reserved to the undersigned parties and nothing in this Nonexclusive License Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Nonexclusive License Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Nonexclusive License Agreement shall be an incidental beneficiary only. They are buying the 320-acre section to the east of our property. There is a right-of-way at the south end of our 160 acres at SW 'A of Section 12,Township 10 North. Scott and Peggy Koskie want to put their driveway down this right-of-way,which is right next to where our house is,even though they have complete access from county road 120. We have several concerns about this because we have so much to lose. We will lose our privacy,which is the main reason we moved out to the country. When you drive down the right- of-way one can look right into our house. We will lose acreage and have to take down our fence that parallels the right-of-way due to the 30-foot easement on either side. A dirt driveway and the possibility of electric poles going to Scott and Peggy's house will replace our beautiful view of the mountains and rolling hills. We already have a problem with hunters driving down it during hunting season and we are afraid it will attract more people because they will think it is a public access road. We also believe that having the driveway there will decrease the value of our property. All of the things that are important to us are lost because they don't want to use county road 120 as access to their land. They gain privacy at the expense of ours.The first excuse we heard from Scott Koskie about using it as a driveway was that he would be land locked. This simply is not true.They are buying all 320 acres that touches the north end of county road 120 and is fully accessible from there. Then they told a Weld County Public Works employee that a creek and gullies prevented them from putting their driveway in from 120. This is not true either.The only creek that is there,doesn't even touch their property line and the small gullies that are there,are only on the far west end part of their land. The truth finally came out when they called us several times at our home to persuade us to change our minds. They said,"we just don't have the money to put our driveway in from county road 120 and would not be able to do what they wanted with the design of their house". We suggested they move their house plan further north instead of at the far south end of their 320 acres,but they won't even consider this option. Unfortunately if the driveway is allowed it is for money purposes only and is at the expense of our privacy,and everything we love about our land. The last time we spoke to Jerry Rouse, who owns the adjacent property to the south of us,he said he was also in agreement that he did not want a driveway. Koskie SUBJECT: WCR 118 ROW Request for Access Sections 12 and 13, Township 10 North, Range 67 West Don; We are submitting the following request for access to the Weld County ROW between Sections 12 and 13, Township 10 North, Range 67 West. Using the ROW will mean extending WCR 118 east beyond WCR 23 for approximately 1/2 mile to access the property currently under contract to purchase (East 1/2, Section 12, Township 10 North, Range 67 West). There are three key reasons for making the request to use the ROW instead of accessing the existing WCR 120. The first is related to safety concerns. One of the two current accesses to WCR 120 is near the crest of a hill. The second access to WCR 120 is directly across from a Weld County gravel pit that will be regularly accessed by large construction equipment. A second key reason is related to road maintainability. In order to ensure the current farm ground can still be tilled, extensions from both current accesses will have to pass through large waterways indicating past issues with erosion. One of the extensions would also pass through a marshy area. The terrain of the land establishes the southwest corner of the property as most conducive to building a home and building a road. Utilizing the Weld County ROW will make the driveway length approximately 1/2 mile. The ROW consists of level terrain with minimal drainage issues. The current accesses from WCR 120 would require building a driveway with a length of 1 to 1 '/2 miles long through difficult terrain. RECOMMENDATION OF LEGAL AND TAX COUNSEL By signing this document, Buyer and Seller acknowledge that the Selling Company or the Listing Company has advised that this document has important legal consequences and has recommended the examination of title and consultation with legal and tax or other counsel before signing this contract. 20. TIME OF ESSENCE AND REMEDIES Time is of the essence hereof If any note or check received as Earnest Money hereunder or any other payment due hereunder is not paid, honored or tendered when due, or if any ether obligation hereunder is not performed or waived as herein provided, there shall be the following remedies: a. If Buyer is in Default: ® (1) Specific Performance Seller may elect to treat this contract as canceled, in which case all payments and things of value received hereunder shall be forfeited and retained on behalf of Seller, and Seller may recover such damages as may be proper, or Seller may elect to treat this contract as being in full force and effect and Seller shall have the right to specific performance or damages, or both. O (2) Liquidated Damages. All payments and things of value received hereunder shall be forfeited by Buyer and retained on behalf of Seller and both parties shall thereafter be released from all obligations hereunder. It is agreed that such payments and things of value are LIQUIDATED DAMAGES and (except as provided in subsection c) are SELLER'S SOLE AND ONLY REMEDY for Buyer's failure to perform the obligations of this contract Seller expressly waives the remedies of specific performance ' additional damages. b. If Seller is in Default Buyer may elect to treat this contract as canceled, in which case all payments and things of value received hereunder shall be returned and Buyer may recover such damages as may be proper, or Buyer may elect to treat this contract as being in full force and effect and Buyer shall have the right to specific performance or damages,or both. c. Costs and Expenses. In the event of any arbitration or litigation relating to this contract, the arbitrator or court shall award to the prevailing party all reasonable costs and expenses, including attorney fees. 21. MEDIATION. If a dispute arises relating to this contract, prior to or after Closing, and is net resolved,the parties shall first proceed in good faith to submit the matter to mediation. Mediation is a process in which the parties meet with an impartial person who helps to resolve the dispute informally and confidentially. Mediators cannot impose binding decisions. The parties to the dispute must agree before any settlement is binding. The parties will jointly appoint an acceptable mediator and will share equally in the cast of such mediation. The mediation, unless otherwise agreed, shall terminate in the event the entire dispute is not resolved 30 calendar days from the date written notice requesting mediation is sent by one party to the other(s). This Section shall not alter any date in this contract, unless otherwise agreed. 22. EARNEST MONEY DISPUTE. Notwithstanding any termination of this contract,Buyer and Seller agree that, in the event of any controversy regarding the Earnest Money and things of value held by broker or Closing Company(unless mutual written instructions are received by the holder of the Earnest Money and things of value),broker or Closing Company shall not be required to take any action bout may await any proceeding,or at broker's or Closing Company's option and sole discretion, may interplead all parties and deposit any moneys or things of value into a court of competent jurisdiction and shall recover court costs and reasonable attorney fees. 23. TERMINATION. An 80-acre parcel of this land shall be used by Buyer for a Reverse 1031 exchange. 5. Buyer and Seller shall cooperate for the achievement of a tax-deferred real estate exchange pursuant to section 1031 of the Internal Revenue code and the Treasury Regulations promulgated thereunder. 6. Seller shall retain all rights to the crops currently growing on the Property. Said crops shall be harvested and removed from the Property no later than August 1, 2003 or at a mutually agreed upon date.
