RE: APPROVE AGREEMENT TO ADMINISTER PROMISES FOR CHILDREN GRANT
FUNDS AND AUTHORIZE CHAIR TO SIGN - UNITED WAY OF WELD COUNTY
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board has been presented with a Agreement to Administer Promises for
Children Grant Funds between the County of Weld,State of Colorado, by and through the Board of
County Commissioners of Weld County,on behalf of the Weld County Department of Public Health
and Environment,and United Way of Weld County,commencing September 1,2003,and ending
June 30, 2004, with further terms and conditions being as stated in said agreement, and
WHEREAS,after review,the Board deems it advisable to approve said agreement,a copy
of which is attached hereto and incorporated herein by reference.
NOW,THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado,that the Agreement to Administer Promises for Children Grant Funds between
the County of Weld,State of Colorado,by and through the Board of County Commissioners of Weld
County, on behalf of the Weld County Department of Public Health and Environment, and United
Way of Weld County be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be,and hereby is,authorized to
sign said agreement.
The above and foregoing Resolution was,on motion duly made and seconded,adopted by
the following vote on the 10th day of December, A.D., 2003, nunc pro tunc September 1, 2003.

AGREEMENT TO ADMINISTER"PROMISES FOR CHILDREN"
GRANT FUNDS
This Agreement is entered into by and between United Way of Weld County("United Way") and
the Board of Weld County Commissioners, on behalf of the Weld County Department of Public
Health and Environment("the Health Department").
BACKGROUND INFORMATION
A. United Way has been awarded a grant to provide outreach to Weld County children to
provide health assessments and referrals(`the Grant");
B. Health Department has agreed to collaborate with United Way in providing the services
pursuant to the Grant.
C. The parties wish to set forth their agreement in writing.
NOW THEREFORE, in consideration of the mutual promises contained herein, the parties
agree as follows:
AGREEMENT
1. Recitals The above set forth recitals are hereby incorporated into this Agreement.
2. Term The parties agree that the terms and conditions contained in this Agreement shall
initially apply from September 1, 2003 through June 30, 2004. This Agreement may be
renewed for additional terms, depending upon renewal of the Grant funding. In the event
that such Grant funding is available, the patties may agree in writing to renew this
Agreement.
3. Health Department Responsibilities Health Department agrees to be responsible for the
• following:
a. Provide support to Promises for Children, its philosophy, mission and goals, and
specifically to work with the Promises for Children Home Visitation Committee.
b. Subject to the requirements of the Health-Information Portability and
Accountability Act ("HIPAA"), execute necessary releases and consent forms to
coordinate activities, and share appropriate information with other agencies
involved in the project.
c. Upon receipt of referral from United Way, designated RN staff will provide up to
four(4)Public Health Nurse(PIN)home visit assessments per month, in keeping
with the goals and activities of those set forth in the Grant proposal. Home visit
assessments in addition to the initial four(4)per month may be performed on an
emergency basis only, but the parties agree that no more than 50 home visit
assessments will be referred or performed during the term of this Agreement.
d. The PUN will report client health needs and assessment results in a timely manner,
subject to HIPAA requirements, to the Promises for Children coordinating panel
designated by United Way.
e. Submit an invoice to United Way on or before the fifth(5th) day of the month
following the end of each quarter(i.e.,three month period). For example, an
invoice for the first three month period, or the first quarter, from September],
2003 through November 30, 2003, should be submitted by Health Department to
United Way on or before December 5, 2003.
f. The parties agree that the charge for each assessment is $80.00. Health
Department's invoice shall not charge more than$80.00 for each assessment
provided. The actual cost for each assessment is approximately $135.12. Health
Department agrees to provide the balance of the cost of each assessment by in-
kind services.
g. Complete interim and final reports that are provided for in the Grant, and the
information for which interim and final reports is reasonably only within the
possession of the Health Department.
h. Provide a designated contact person to United Way for any communications which
may be necessary or may enhance the delivery of the program. Nancy Weber is
currently the designated contact person at the Health Department for purposes of
this Agreement, unless United Way is notified by the Health Department in writing
of a different designated contact person.
4. United War resnonsibilities
a. Initiate referrals meeting the criteria of the Grant project to the Health
Department.
b. Obtain consent from the person whose name is being provided to the Health
Department for a referral for a home visit,prior to the referral to the Health
Department.
c. Monitor and provide comprehensive case management for clients pursuant to the
home visit program protocol of the United Way Promises for Children.
d. Recognize the autonomy of the Health Department and its position in determining
the nature and scope of programs and services offered by the Health Department.
e. Respect confidentiality requirements between a client and the Health Department.
All communication with the Health Department containing personal health
information("PHI")will be handled in a manner compliant with HIPAA
regulations.
f. Facilitate coordination of the Grant project and communication between
participating agencies, including, but not limited to, the agencies which are
members of the Family Services Group.
g. Reimburse the Health Department, on a quarterly basis, $80.00 per PUN
assessment completed. United Way recognizes that the balance of the cost of each
assessment is being provided by in-kind services from the Health Department.
h. When the billing invoice from Health Department is received by the fifth (5"') of
the month following a quarter in which services were provided by Health
Department, United Way will mail the payment for the reimbursement on or before
the twentieth(20th) of the same month in which the invoice was received.
i. Provide a designated contact person to the Health Department for any
communications which may be necessary or may enhance the delivery of the
program. Judy Kron is currently the designated contact person at United Way for
purposes of this Agreement, unless Health Department is notified by United Way
in writing of a different designated contact person.
5. Use of Funds The funds provided to Health Department by United Way pursuant to this
Agreement(sometimes referred to in this Agreement as"Grant Funds") are restricted to
the purposes specified in this Agreement and in the Grant.
6. Termination In the event that the Health Department fails to meet the terms of this
Agreement, United Way may terminate this Agreement upon thirty (30)business days
written notice to the Health Department. Health Department may terminate this
Agreement for any reason upon thirty (30)business days written notice to United Way.
7. No Waiver of Governmental Immunities Notwithstanding the provisions stated herein,
nothing in this Agreement is intended as a waiver by Health Department of governmental
immunity rights pursuant to state or federal law.
8. Budgeting Nothing in this Agreement shall be construed to require Health Department or
Weld County to expend funds not previously budgeted.
9. Independent Parties The parties to this Agreement intend that the relationship between
them contemplated by this Agreement is that of independent entities working in mutual
cooperation. No employee, agent, or servant of one party shall be or shall be deemed to
be an employee, agent, or servant of another party to this Agreement.
10. Agreement not Assignable. This Agreement shall not be assignable to any third party.
11. Notices Any notice provided for in this Agreement shall be in writing and shall be served
by personal delivery or by certified mail, return receipt requested, postage prepaid, at the
addresses set forth in this Agreement, until such time as written notice of a change is
received from the party wishing to make a change of address. My notice so mailed and
any notice served by personal delivery shall be deemed delivered and effective upon
receipt or upon attempted delivery.

12. Entire Agreement-Modification This Agreement contains the entire agreement and
understanding between the parties to this Agreement and supersedes any other agreements
concerning the subject matter of this transaction, whether oral or written. No
modification, amendment, novation, renewal, or other alteration of or to this Agreement
shall be deemed valid or of any force or effect whatsoever, unless mutually agreed upon in
writing by the undersigned parties. No breach of any term, provision, or clause of this
Agreement shall be deemed waived or excused, unless such waiver or consent shall be in
writing and signed by the party claimed to have waived or consented. Any consent by any
party hereto, or waiver of, a breach by any other party, whether express or implied, shall
not constitute a consent to, waiver of, or excuse for any other different or subsequent
breach.
13. Provisions Severable If any term or condition of this Agreement shall be held to be
invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without
such a provision, to the extent this Agreement is then capable of execution within the
original intent of the parties.
14. No Third Party Enforcement It is expressly understood and agreed that enforcement of
the terms and conditions of this Agreement, and all rights of action relating to such
enforcement, shall be strictly reserved to the undersigned parties, and nothing contained in
this Agreement shall give or allow any claim or right of action whatsoever by any other
person not included in this Agreement. It is the express intention of the undersigned
parties that any entity, other than the undersigned parties, receiving services or benefits
under this Agreement, shall be deemed an incidental beneficiary only.

SUBJECT: Promises for Children Home Visitation
Agreement with United Way of Weld
County
Enclosed for Board review and approval is an agreement between the United Way of Weld
County and the Weld County Board of Commissioners on behalf of the Weld County
Department of Public Health and Environment (WCDPHE)to administer"Promises for
Children" grant funds.
The United Way of Weld County has been awarded a grant to provide outreach to Weld County
children through health assessments and referrals. Through this agreement, WCDPHE nursing
staff members will provide home visit assessments to teen mothers with new infants and refer
these mothers and children to other community agencies for services. The objective of this grant
is to promote healthy early childhood patterns for Weld County infants. The nursing staff will
complete up to four of these assessments per month during the time period of the agreement,
September 1, 2003 through June 30, 2004. For these services, WCDPHE will be paid $80 per
visit.
