Establishment The North Colorado Medical Center was established by Resolution of the • Board of County Commissioners of March 31, 1944 turning over control , main- tenance and conduct of the Hospital to the Board of Trustees of the Hospital effective April 15, A.D. , 1944. Section 2. Statute Authorizing The North Colorado Medical Center was established in accordance with Section 25-3-301, Colorado Revised Statutes 1973 and Weld County Home Rule Charter dated January 1 , 1976. Section 3. Name On February 3, 1953 an affidavit was filed with both the Secretary of State and the County Re reques- ted Clerk & Recorder Cc•::::�;,� Colorado which =•.;u_;- ted and received permission to assume the name of Weld County General Hos- pital . On June 30, 1932 an affidavit was filed with the Secretary of State and on July 1 , 1982 with the County Clerk of Weld County Colorado which re- quested and received permission to assume the name of North Colorado Medical Center. This is legalized by Colorado Session Laws of 1943, C.S.A. Chapter 78, Article 5. ARTICLE II GENERAL DUTIES & POWERS OF THE BOARD OF TRUSTEES The duties of the Board of Trustees, as the governing body, are as prescribed in Section 25-301, CRS 1973 and subsequent revisions. In general the duties of the Board of Trustees are: A. To determine the policies of the institution in relation to community needs. B. To require that proper professional standards are maintained in caring for the sick. C. To provide adequate financing for the operation of the Medi.cal. . Center and to require that businesslike methods be employed in the expenditure of and accounting for all monies . D. To provide necessary buildings, equipment and supplies for the care of patients, research, teaching and other proper activities of the Medical Center. E. To employ an experienced and properly qualified Administrator. F. To require that all responsible employees be bonded and se+ the amount of the bond. ARTICLE 11I ORGANIZATION OF THE BOARD OF TRUSTEES Section 1 . Officers At the annual meeting of the Board of Trustees , after appointment of new members to the Board of Trustees by the Board of County Commissioners, the Board shall elect a president ; vice president and secretary. President:A. The r 1 Cs iu_crii,: The president shall' i i preside at al i meetings of the Board. He shall appoint all standing and special committees unless otherwise provided and shall be ex-officio a member Of all such committees. He shall perform such other duties as may be required by the Bylaws. • B. The Vice President: The Vice President shall perform the duties of president whenever the president is, for any reason, absent or unable to serve. C. The Secretary: The Secretary shall require that minutes of the proceedings of the Board be recorded, ensure that appropriate notices of meetings are sent, act as custodian of all records and reports, have charge of the correspondence of the Board, the seal of the Medical Center, and such other papers and docu- ments as are not evidence of investment; and shall perform such other duties as usually pertain to the office. Section 2. Executive Committee The president, vice president and secretary shall constitute the Execu- tive Committee, with power to act on matters between the meetings of the Board of Trustees. The Administrator of the Medical Center shall act as the secre- tary of the Executive Committee and shall keep minutes of the meetings. The Executive Committee 'shall report to the Board on any action taken by it between the meetings of the Board of Trustees. - 2 -- Section 3, Standing Committees The president shall , following the annual meeting, appoint the follow- ing standing committees from the membership of the Board of Trustees and designate a chairman, unless otherwise provided. A. House Committee: The House Committee shall concern itself with financial activities of the Medical Center and serve as the Board of Trustees representatives to the Joint Budget Committee. The Committee shall prescribe the form and content of financial reports as may be required by the Board. The Committee shall deal with such matters of internal adminis- tration as may be referred to it by the Administrator or delega- ted to it by the Board of Trustees. All deliberations regarding internal administration shall be in conference with the Adminis- trator and the Committee shall exercise no administrative auth- ority nor in any manner deal directly with personnel of the Med- ical Center. The Committee shall consider requests for the purchase of major equipment not included in the budget. The Committee shall re- port its recommendations to the Board of Trustees for Board • action. In specific cases the Board may charge the Committee to act on behalf of the Board. The Committee may appoint such subcommittees as may be necessary to assi:.•t in fulfilling its responsibilities . Membership on sun subcommittees is not restricted to members of the Board of Trustees. B. Plannin`& Develojment Committee: The Planning & Development Com- mittee shall concern itself with the needs of the area served by the Medical Center and long range planning to meet those heeds. It shall be the duty of the Committee to consider all matters per- taining to new construction, major buildings alterations and the purchase of major equipment to be included in such projects. The Committee shall also serve as liaison with the Board of County Com- missioners, community groups, legislative representatives and bodies, familiarize the community with the services offered by the Medical Center and develop and maintain a proper relationship between the institution and the community. The Committee shall report its rec- ommendations to the Board of Trustees for Board action. In specific cases the Board may charge the Committee to act on behalf of the Board. The Committee may appoint such subcommittees as may be necessary to assist in fulfilling its responsibilities. Membership on such sub- committees is not restricted to members of the Board of Trustees. C. Joint Advisory Committee: The president, vice president and secre- tary of the Board of Trustees , together with the chief of staff, vice chief of staff and secretary of the Medical Staff, and the Administrator, shall constitute the Joint Advisory Committee. The Joint Advisory Committee shall be the liaison group for dis- cussion and consideration of medico-administrative matters which the Board of Trustees, the Medical Staff or the Admin- istrator may refer to it. The Committee shall exercise no authority but shall be the instrumentality through which the Board of Trustees and Medical Staff may discuss matters of common concern. The Administrator shall be the Chairman of the Joint Advisory Committee. • D. Joint Budget Committee: The Joint Budget Committee shall be composed of the House Committee of the Board of Trustees, the chief of staff and the two immediate preceding chiefs of staff and three representatives of the administration appointed by the president. The Committee shall annually review the proposed operating budget of the Medical Center prepared by the management and make recommendations to the Board of Trustees for changes in, and adoption of, the annual budget for the forthcoming fiscal year. The chairman of the House Committee shall serve as chairman of the Joint Budget Committee. Section 4. Special Committees • The President may appoint such special coniittees as may be required for specific assignments. Section 5. Ex Officio Members The president and the administrator shall be ex officio members of all committees of the Board of Trustees without voting power. Section 6. Visitors The president shall each month appoint two Trustees to visit and examine the Medical Center and report to the Board at its next regular monthly meeting. Section 7. Annual Meeting The annual meeting, as prescribed by law, shall be held on the second Tuesday of each January. • Section 8. Regular Meetings The regular monthly meeting of the Board of Trustees of the Medical Center shall be held on the fourth Monday of each month at such time as may be indicated in the call , unless changed by the Board or Executive Committee thereof. - 4 - • • Section 9. Special Meetings Special meetings of the Board may be called by the president, vice president, or any three members, provided every member shall receive twenty-four (24) hours notice of such meeting or shall waive such notice. Section 10. Quorum Four members of the Board shall constitute a quorum for the trans- action of business at regular and special meetings of the Board of Trustees . Section 11. Meetings of the Board Meetings of the Board of Trustees shall be open to the public as pre- scribed in CRS 29-9-101 1973. The Board may go into executive session upon a majority vote of those present. Section 12. Schedule of Committee Meetings Committee meetings shall be held on the call of the chairman. The House and Planning & Development Committees shall meet at least six times year. • Section 13. Conflict of Interest Any conflict of interest or any possibility thereof on the part of any Trustees should be disclosed to the Board of Trustees at the annual meeting or at such time a conflict may arise and shall be made a record of the pro- ceedings of the Board. • Section 14. Attendance at Meetings Members of the Board of Trustees shall be required to attend all meet- ings of the Board unless excused by the presiding officer. Members of committees of the Board shall be required to attend all meet- ings of the committee unless excused by the committee chairman. Section 15. Volunteer or Similar Type Organizations No volunteer or similar type organization shall be formed or operated within the Medical Center except upon express approval by the Board of Trus- tees of the volunteer bylaws, rules and regulations that delineate the pur- pose, function and operation of such organizations. No Trustee shall serve as an officer of a Medical Center volunteer organization during tenure as a Trustee. - 5 - Section 16. Delegation of Authority No assignment, referral or delegation of authority by the Board of Trustees to Medical Center management, the medical staff, or anyone else shall preclude the Board of Trustees from exercising the authority requi- red to meet its responsibility for the conduct of the Medical Center. The Board of Trustees shall retain the right to rescind any such delegation. • ARTICLE IV NON DISCRIM? NATION The Medical Center shall operate without restriction by reason of creed, color, sex, age, national origin or handicap in the provision of patient care, physician appoinWent and privileges or employment. • ARTICLE V THE ADMIiv!S•Li't►;uOT: Section 1. Appointment The Administrator of the Medical Center shall be appointed by and be responsible only to the Board of Trustees and shall serve as the chief executive officer of the Medical Center. He shall be responsible for the management of the Medical Center and the coordination of all departments thereof, including the Medical Staff, according to the policies and direc- tives set forth by the Board of Trustees. The Administrator shall be authorized to sign and execute contracts and documents for the operation of the Medical Center except that when competitive formal bids have been solicited the award shall be made by the Board of Trustees. He shall not purchase any unbudgeted item of capital expense exceeding $5,000 without the advance approval of the Board or its Executive Committee. Section 2. Standards The Administrator shall be required to operate the Medical Center and to coordinate all departments thereof in accordance with standards required by the Joint Commission on Accreditation of Hospitals and other recognized organizations or associations responsible for maintaining ade- • quate modern standards of hospital procedure and practice. To this end the Administrator shall promulgate and issue such rules and regulations and shall prescribe such procedures and techniques for the internal man- agement and operation of the hospital as may be necessary to fully meet and maintain these standards consistent with these bylaws and the policies adopted by the Board of Trustees. Section 3. Enforcement of Bylaws, Rulesand Regulations The Administrator shall see that all bylaws are complied with and shall enforce all rules and regulations of the Medical Center. Section 4. Interpretation of Rules and Regulations In all cases of disputed authority or uncertainty as to the mean- , ing of those bylaws or the rules and regulations of the Medical Center, the decision of the Administrator shall be operative until a ruling shall have been rendered by the Board of Trustees or the Executive Committee thereof. Section 5. Appoint All Personnel The Board of Trustees delegates to the Administrator authority to appoint, hire and dismiss all employees and to regulate the hours of work. Within the wage scale established by the Board of Trustees, the Administra- tor shall set and may adjust wages and rates of pay of all personnel of the Medical Center. Snctioil 6. Supervision The Administrator shall supervise the operations of the Medical Center and see that they are conducted in a competent and efficient manner. The Medical Staff shall he considered a department of the Medical Center for the purpose of administrative control . Section 7. Prescribe Standards and Procedures The Administrator, after consultation with and the advice of the Exec- utive Committee of the Medical Staff, shall prescribe all procedures, stan- dards, methods of techniques bearing upon the care of patients and practiced in the Medical Center. No such procedures, standards, methods or techniques shall be adopted or practiced except upon the authority and after the appro- val of the Administrator. Section 8. Medical Staff The Administrator shall see that all physicians, dentists and other practitioners comply with the rules and regulations and the standards of practice of the Medical Center. He shall require all physicians to limit their practice to privileges granted to each by the Board of Trustees and may deny or suspend privileges of any member of the staff for violation of, or non-compliance with, the regulations or standards of practice of the Medical Center. In addition, the Chief of Staff, the chairman of a clinical department, the Administrator and the Executive Committee of the Board of - 7 - Trustees shall each have the authority, whenever action must be taken immediately in the best interest of patient care in the Medical Center, to summarily suspend all or any portion of the clinical privileges of a practitioner and such summary suspension shall become effective immedia- tely upon imposition. Section 9. Records The Administrator shall adopt a system of records and reports which shall reflect the quality of professional work and the volume of service rendered. Section 10. Business Methods The Administrator shall prescribe the procedures and methods employed in the management of the Medical Center, and such other statistical and financial data as may be prescribed or required by the House Committee. The Administrator shall not have the authority to make any change in the established rate schedule with respect to the charges for day rate, but shall have the authority to establish such charges for services, lab- oratory examinations, x-ray examinations, use of operating rooms, adminis- tration of anesthetic, et cetera , as may he necessary to provide adequate income for the efficient operation of the Medical Center. Section 11. Reports The Administrator shall keep the Board of Trustees fully advised in all matters pertaining to the operation of the Medical Center; services rendered, operating income and expense, financial position, and, to this end, shall prepare and submit a comprehensive report to the Board of Trus- tees at each regular monthly meeting or at any time as may be directed by the Board of Trustees. Section 12. Meetings The Administrator shall attend all meetings of the Board of Trustees and all Committees thereof. He shall have the right to attend all meetings of the Medical Staff or Committees thereof, and of any other groups or com- mittees which may be formed to promote or carry on any transaction in the interest of the Medical Center. ARTICLE VI TI;C MEDICAL-DENTAL STAFF Section 1. Organization For the purpose of these bylaws , the designation Medical Staff shall be interpreted to be the organization of physicians, dentists and other practitioners who have privileges to attend patients in the Medical Center. The term "Medical Staff" shall mean the Medical-Dental Staff. The Medical Staff shall , after appointment, perfect its own organiza- tion and shall adopt bylaws, rules and regulations for the conduct of its affairs, but such bylaws, rules and regulations shall be subject to the approval of the Board of Trustees and shall not conflict with the rules and regulations adopted by the Board. Section 2. Duties of the Medical Staff it shall be the duty of the Medical Staff to supervise and maintain the quality of professional work in accordance with the standards of med- ical practice and to maintain high ethical standards of the profession . . Section 3. Appointment to Medical Staff Members of the Medical Staff shall be appointed by the Board of Trustees. All applications for appointment to the Medical Staff shall be addressed to the Board of Trustees in writing and shall be filed with the I.L.:�i 11...; NVV1 • 1Tie upl, t`aiiY shall i Jp\.V ry the and shall make a statement regarding his general training, experience and qual- ifications. The application shall contain full information concerning he applicant's education, licensure, practice, previous hospital experience, and any unfavorable history with regard to licensure and hospital privileges. Upon receipt of an application, the Administrator shall transmit same to the Medical Staff for necessary action. The Medical Staff shall , thereupon, make such comment and recommendations to the Board of Trustees as it shall deem proper, such recommendations being made in writing through the Administrator. The details of procedure in the consideration of applications by the Medical Staff shall be prescribed in the Bylaws of the Medical Staff. All physicians/ dentists practicing in the Medical Center must be appointed members of the Medical Staff and shall have only such privileges as have been granted by the Board of Trustees. All other practitioners must be reviewed by the Med- ical Staff and shall have only such privileges as have been granted by the Board of Trustees. Any Medical Center employed physician or dentist who has been granted Medical Staff membership and clinical privileges shall not have such member- ship or privileges modified in any manner without the same due process as provided any other Medical Staff member unless specifically provided in the terms of the employment agreement. All physicians, dentists and other practitioners shall be required to agree in writing to be hound by and to follow Bylaws of the Medical Center and Medical Staff and all policies, directives and other such rules and reg- ulations of the Medical Center before the granting of appointment or privi- leges by the Board of Trustees. Practitioner shall mean any individual not an employee or contractor of the Medical Center who is granted privileges to practice a discipline of medical care in the Medical Center. Section 4. Eligibility Applicants for appointment to the Medical Staff must be fully licen- sed to practice in the State of Colorado. The Medical Center reserves the right to declare closed staff status when warranted by the best int- erest of the Medical Center and patients. Section 5. Tenure Appointment and reappointment to the Medical Staff shall be for a period not to exceed two calendar years. Section 6. Appointment of Officers and Clinical Chiefs All appointments for the Chief of Staff, Vice Chief of Staff, Secre- tary-Treasurer and clinical chiefs of service (department chairmen) shall be made by the Board of Trustees upon recommendation of the Medical Staff. Duties and responsibilities of the clinical chiefs shall be set forth in the Medical Staff Bylaws. Clinical chiefs shall be required to maintain their qualifications for Medical Staff membership and privileges appropriate to their assignments. Section 7. Medical Care and it -r`_._._.^ton ______ The Board of Trustees shall , in the exercise of its overall responsi- bility, assign to the Medical Staff reasonable authority for ensuring appro- priate professional care to the Medial Center's patients. The Medical Staff shall conduct an ongoing review and appraisal of the quality of professional care rendered in the Medical Center and shall report such activities and their results to the Board of Trustees. The Medical Staff shall make recommendations to the Board of Trustees concerning: 1) disciplinary actions; 2) all matters relating to professional competency; and 3) such specific matters as may be referred to it by the Board of Trustees. Section 8. Responsibility All medical or dental care given in the Medical Center, whether to in- patients or outpatients, shall be the responsibility of the attending physi- cian or dentist who shall write all orders for treatment and receive all clinical reports. He shall be responsible for transmitting reports of the condition, or death, of the patient, to relatives and to the referring physi- cian or practitioner. • - 10 - . ARTICLE VII AMENDMENTS These Bylaws may be amended at any meeting .of the Board of Trustees provided the call for such meeting gives notice of the intended amendment. . For such action, affirmative vote of five (5) Trustees shall be necessary. Adopted as revised by the Board of Trustees for Weld County General Hospital at a meeting held at the Hospital on November 28, 1977 to be effective January 1 , 1978.
