I, Del Thompson("Affiant"), being of lawful age and hereby swear and affirm under oath
the following:
1. I am employed by Duke Energy Field Services ("Duke Energy"), and its
designated attorney-in-fact.
2. Duke Energy is the successor-in-interest to the rights of Associated Natural Gas
(ANGI), as grantee, under a "Compressor Site Contract" dated March 7, 2002. A copy of the
contract is attached hereto.
3. The contract concerns property located in the S/2 of Section 28, Township 4N,
Range 64W of the 6th P.M., in Weld County, Colorado, and operates under USR 991.
4. Duke Energy operates a natural gas processing facility on the site, known as the
"Marla" site.
5. All matters stated herein are based on Affiant's personal knowledge, and if called
as a witness, Affiant is competent to testify and would testify to the matters stated herein.

COMPRESSOR SITE CONTRACT
Duke Energy Field Services, LP(DEFS) is successor-in-interest to a certain compressor site contract dated
the 10th day of June 1991, recorded in book 1322, REC. 02274035. By and between Myrtle A.Thompson
(Grantor) and Associated Natural Gas (ANGI)as Grantee. Said compressor site contains 2 acres more or
less.
FOR AND IN CONSIDERATION OF THE SUM OF$6670.00 in hand paid,the receipt is hereby acknowledged,
Myrtle A.Thompson does hereby warrant and convey unto DEFS and additional 1.32 acres(more or less)
adjacent to the existing compressor site.Total acreage of expanded compressor site is 3.32 acres more or
less. DEFS, its successor and assigns, has the right to install, maintain, inspect, operate, repair, replace,
change or remove a pipeline compressor, storage tanks, meters, gate-valve or gate-valves with any by-
passes, cross-overs, scraper traps or other material, apparatus, and equipment used in connection
therewith or incident thereto, inclusive of the right, if Grantee so desires, to build such fences and
structures as may be necessary to enclose the same, or any part thereof,on the following described land,
of which Grantors warrants she is the owners in fee simple,
A 3.32 Acre tract of land situated in Weld County,State of Colorado,to wit:
THE SOUTH HALF (51/2) OF SECTION TWENTY-EIGHT (28), TOWNSHIP FOUR (4) NORTH, RANGE SIXTY-

Said 3.32 acre Compressor Site being more particularly described on Exhibit"A"attached hereto and made
a part hereof.
For the same consideration, Grantors hereby agree that said land may be used for the purposes herein
provided as long as any pipelines or compressors now or hereafter constructed are maintained upon and
over said lands by said Grantee. Said Grantee shall at all times have full rights of ingress and egress to
and from said land for the full enjoyment of said Grantee of the rights granted herein.

successors and assigns, harmless from damages or liability of any character which may arise out of the
exercise of the rights herein granted.
The terms, conditions and provisions of this contract shall extend to and be binding upon the heirs,
