WHEREAS, the Board of County Commissioners of Weld County, Colorado pursuant to Colorado Statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, Weld County has utilized paper towels from Zellerbach in the past because Zellerbach has provided towel dispensers free, and WHEREAS, in exploring optional bids it was determined that, with the free dispensers, Zellerbach is the low bid, and WHEREAS, the Board wishes to enter into an agreement which would allow Weld County, over a three year period, to acquire the towel dispensers, and WHEREAS, it has been determined that, until Weld County does acquire its own towel dispensers, it will be not in the economic interest of Weld County to bid out paper towels, and WHEREAS, it is the desire of the Board of County Commissioners to bid out paper towels after the dispensers are acquired in three years, and WHEREAS, Zellerbach has offered to enter into a contract which would allow Weld County to acquire all towel dispensers installed in County facilities three years from now if the towels are purchased from Zellerbach for another three year period, and WHEREAS, the Director of Finance and Administration and Purchasing Agent have done a cost benefit analysis and determined that it would be most cost effective for Weld County to continue to purchase the paper towels from Zeller- bach with the understanding that at the end of the three year period the towel dispensers will belong to Weld County, per a contractual arrangement. NOW, THEREFORE BE IT RESOLVED by the Board of County Commissioners that the Purchasing Agent is hereby authorized to acquire paper towels for Weld County facilities from Zellerbach for a three year period, providing that the towel dispensers are provided free, and at the end of the three year period the towel dispensers, per a contract, become the property of Weld County, and BE IT FURTHER RESOLVED by the Board of County Commissioners that the Chairman of the Board of County Commissioners is hereby authorized to sign a contract with Zellerbach specifying that at the end of the three year period, all towel dispensers provided by Zellerbach to County facilities will become the property of Weld County. ✓ 820813 h eaN BE IT FURTHER RESOLVED that after the conclusion of the three year period, when the towel dispensers become the property of Weld County, that the Purchasing Agent will bid out paper towels in the future on an annual basis through the competitive bid process, but until the dispensers are acquired, the bid process is waived in the economic interests of Weld County. The above and foregoing resolution was, on motion duly made and seconded, adopted by the following vote on the 5th day of May, A.D. , 1982. County Attorney AGREEMENT TO PROVIDE PAPER TOWELS THIS AGREEMENT made between CROWN ZELLERBACH PAPER COMPANY, hereinafter referred to as "Crown, " of 12770 East 29th Avenue, P. O. Box 39187, Denver, Colorado 80231, and THE COUNTY OF WELD, hereinafter referred to as "County. " IN CONSIDERATION of the mutual promises and agreements hereinafter set forth, County and Crown agree as follows : 1. In consideration of acquiring ownership of the Towel- saver dispensers , to be supplied by Crown to the County, County agrees to commit all their roll towel business to Crown during the term of this contract, and after the term of this contract, County shall be free to purchase paper towels from any company they so desire. 2. There will be no cost to County for the Towelsaver dispensers other than County ' s commitment to purchase all towels required from Crown during the term of this contract. 3. The term of this contract shall be from the date of signing of this agreement through the date of June 30, 1985. 4 . The price that County will pay Crown for the towels that Crown supplies to County will be as shown on the attached Quotation incorporated herein by reference and can be increased by Crown should there be any market increases. Such market increase to be verified by Crown by proof of increases from the paper mill. 5. The Towelsaver cabinets to be supplied to County by Crown shall have the features as shown on the attached Exhibit "A." 6. County shall have the right to terminate this contract upon thirty (30) days written notice to Crown, but should County terminate such contract, County shall return all towel dispensers supplied by Crown within thirty (30) days of the effective date of termination. j/ ' . If Weld County will commit all of their roll towel business to Zellerbach Paper Company through June 30, 1985, Crown Zellerbach will give ownership of the Towlsaver Dispensers being used by Weld County, at that time, to the County. Therefore, from June 30, 1985 and beyond, Weld County will be free to purchase any towel they so desire from whomever they so desire, and retain ownership of the Towlsaver Cabinets.
