Marilyn Taylor has asked that I advise Weld County Planning regarding Red
Baron's planned housing development as it relates to the easement for
pipeline that Rocky Mountain Energy Center has from the Platte Valley
Airpark and Red Baron Development. Please be advised that Calpine/Rocky
Mountain Energy Center does not have any concerns with Red Baron's housing
development.

Hi Shari, Marilyn asked that I send you an e-mail to confirm our
intentions that Patina and Red Baron will have executed a Surface Use
Agreement (SUA) prior to the Weld County Planning meeting scheduled for
February 17, 2004 at the SW Weld County Complex. At this point all that
is required is to commit our verbal agreements to a SUA and sign it.

Sheri,
Please be advised Duke Energy Field Services is currently in the process
of finalizing a Pipeline
Relocation Agreement ("agreement")with Red Baron Development, LLC
covering lands located
in the SE1/4 of Sec. 31, Township 2 North, Range 65 West of the 6th P.M.,
Weld County, CO. The
final agreement is being drafted and awaiting a final bid from our
respective contractor. I see no
problem in having an agreement in place by February 17, 2004, with the
only contingency being
Red Baron accepting said agreement as proposed.
