RE: APPROVE AGREEMENT FOR CERTIFIED NURSE AIDE PROGRAM AND AUTHORIZE
CHAIR TO SIGN -AIMS COMMUNITY COLLEGE
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for Certified Nurse Aide
Program between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, Weld County
Workforce Development Board, and Aims Community College, commencing September 1,2004,
and ending December 31, 2005, with further terms and conditions being as stated in said
agreement, and
WHEREAS,after review,the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW,THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Agreement for Certified Nurse Aide Program between the County of
Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on
behalf of the Department of Human Services, Weld County Workforce Development Board, and
Aims Community College be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was,on motion duly made and seconded, adopted by
the following vote on the 1st day of November, A.D., 2004, nunc pro tunc September 1, 2004.

SUBJECT: Certified Nurse Aide Agreement with Aims
Community College
Enclosed for Board Approval is an Agreement between the Board of Commissioners of Weld
County,Colorado,on behalf of Employment Services of Weld County,the Weld County Workforce
Development Board and Aims Community College.
The purpose of this Agreement is to assist Aims expand its Nurse Aide Program and to increase the
number of certified nurse aide positions in the region.
Funding for the Program is Fifty-Five Thousand Dollars($55,000),and the term of this Agreement
is from September 1, 2004 through December 31, 2005.

AGREEMENT
THIS AGREEMENT, made this 1st day of September, 2004, by and between the Board of
Weld County Commissioners of Weld County, Colorado, on behalf of the Weld County Division
of Human Services' Employment Services of Weld County,hereinafter referred to as
"Employment Services,"the Weld County Workforce Development Board, hereinafter known
as the Workforce Development Board and Aims Community College, hereinafter known as
Aims.
WHEREAS, Employment Services' and the Workforce Development Board's mission is
to keep the workforce system responsive to employers, employees and job seekers, and
WHEREAS, Employment Services,the Workforce Development Board and Aims are
developing strategies to address the shortage of skilled health care workers, and
WHEREAS, Aims delivers education and training activities, and
WHEREAS, Aims has developed partnership arrangements with hospitals and long term
care facilities to provide training for nursing assistants to address health care workforce needs,
and
WHEREAS, Aims has reached its capacity to provide Nurse Training, which leads to
certification,through the use of discretionary funds, Aims will be able to develop new clinical
training sites, additional lab space and lecture classroom space, as well as additional CNA
classes.
THEREFORE, in consideration of the premises, the parties hereto convents and agree as
follows:
1. Purpose and Goal:
Addressing the regional health care workforce shortage is a high priority for the
Weld County Workforce Development Board and Employment Services of Weld
County. Therefore,the purpose of the Aims Community College Nurse Aide
Program Expansion Project is to address the current health care workforce
shortage in northeastern Colorado and the Denver metropolitan area. Through
this project, Aims Community College (Aims) will expand its Nurse Aide (NA)
Program to increase the number of qualified CNAs and decrease the number of
vacant CNA positions in the region. Completion of the CNA Program is the first
step for many individuals who go on to earn a practical nursing(PN) certificate,
an associate degree in nursing (ADN)and/or a Bachelor of Science degree in
nursing (BSN). Many individuals, including those that go on to higher levels of
training in allied health professions, enter the workforce immediately after
completing the CNA program. In particular, most students that intend to complete
the nursing program at the University of Northern Colorado attend Aims for CNA
training. In addition to Aims, other primary partners in the project will include
Rehabilitation and Visiting Nurse Association, Bonell Good Samaritan Center and
Life Care Centers of Greeley.

This project will be an exemplary model targeted to the health care industry, one
of the goals and priorities for Wagner-Peyser 10% discretionary grants.
II Term:
The term of this Agreement shall commence September 1, 2004, and end
December 31, 2005, and is subject to the provision of Section IV herein and future
written modifications requested by any of the parties. Any party who wishes to
rescind this Agreement must provide written notice stating their intent to the other
parties at least thirty(30) days prior to the desired end date of the Agreement.
III Scope of Services:
A. Aims:
Recruitment/Applications: Aims will continue to conduct recruitment
activities through the channels it already utilizes, including participating in
regional career fairs and college fairs and staffing booths at popular local
and regional community events.
As part of the program expansion project,the Department of Allied Health
and Human Services (AHHS) at Aims will seek additional support for
recruitment from local and regional community organizations.
Aims will request NA students complete the application forms provided by
Employment Services of Weld County.
Assessment and Advising: Prospective CNA program participants will
meet with a staff member from the Aims Student Success Center and/or
AHHS Department to assess their academic career and personal readiness
for training and employment as a CNA. Through the Alcanzar Program,
presently at the Fort Lupton Campus, diverse students that participate in
the CNA program will receive additional academic, career and personal
support services.
Employer Services and Job Placement: Graduates of the CNA program
will be eligible for employment and job placement services that Aims
provides to all enrolled students and graduates. They may also receive
assistance through the Alcanzar Program and Employment Services of
Weld County. Additionally, AHHS staff have contacts with various local
and regional hospitals, health care agencies,health care professions,
organizations and employment organizations that will assist AHHS in
placing CNA graduates.

Follow-up: AHHS will be responsible for follow-up on all issues
concerning the CNA Program Expansion project, including following up
on individual program graduates and employers of program graduates.
Follow-up communication will take place through telephone, mail, face-
to-face and electronic correspondence and will focus on program
completion rates,job placement rates, continuing education goals and
employee/employer satisfaction.
The Associate Dean for AHHS will complete quarterly reports using the
format provided for Wagner-Peyser 10%Discretionary Grants and will
provide those reports to Employment Services of Weld County.
1. Expected Outcomes:
Aims Community College will develop 3 new partnerships with health
care agencies to provide clinical sites, classrooms and lab space for
CNA training.
The Nurse Aide Program at Aims Community College will expand to
include 6 additional CNA classes annually.
Each additional CNA class will enroll up to 18 students, for a
minimum of up to 100 additional students annually.
Of the students that enroll in the additional CNA classes, at least 60 %
will successfully complete the program.
The AHHS department of Aims Community College will assess the
success of the program graduates by developing and implementing a
Post-Completion Survey to all students within one month of
completion.
By the end of the project period, Aims will have developed the
infrastructure to continue providing additional NA training to address
the health care workforce shortage and demand for NAs in the
region.

B. Payment Schedule:
1. Aims will be provided a total of Fifty-Five Thousand Dollars
($55,000.00)to pay for personnel's instructional salary, fringe benefits,
curriculum and program development costs associated with this
Agreement. These funds will be paid as follows:
a. Curriculum development,program design and salary will be
provided September, 2004, for a total of Five Thousand Dollars
($5,000.00).
Upon quarterly written verification, Twelve Thousand and Five
Hundred Dollars ($12,500.00) will be paid in January, 2005, April,
2005, July, 2005, and October, 2005.
2. Aims shall submit an itemized quarterly billing to Employment
Services for all costs incurred pursuant to this Agreement. Aims shall
submit all itemized billings to Employment Services no later than the
fifteenth(15) day of the month following the end of the quarter.
Billing statements must be signed by Aims. Aims is not responsible for
the matching of funds that are provided within this agreement.
2. Reimbursement of costs incurred pursuant to this Agreement is
expressly contingent upon the availability of funds to Employment
Services of Weld County.

C. Financial Management:
At all times, from the effective date of this Agreement until completion of
this Agreement, Aims shall comply with the administrative requirements,
cost principles and other requirements set forth in the Financial
Management Manual adopted by the state of Colorado. The required
annual audit of all funds expended under General Assistance must
conform to the Single Audit Act of 1984 and OMB Circular A-133.
D. Payment Method:
Unless otherwise provided in the Scope of Services and Payment
Schedule:
1. Aims shall provide proper verification of services performed for costs
incurred in the performance of the Agreement.
2. Employment Services may withhold any payment if Aims has failed to
comply with the Financial Management Requirements, program
objectives, contractual terms, or reporting requirements.
E. Employment Services:
1. Provide assistance as necessary in the development of the project.
2. Coordinate quarterly reports with Aims and submit the reports as
required by its agreement with the Colorado Department of Labor.
3. Provide an application to be used by Employment Services for
reporting purposes.
4. Assist in obtaining employment outcomes.
IV Required Contract Clauses For Contracts and Purchase Order:
The Required Contract Clause for Contract and Purchase Orders for Workforce
Investment Act funds is attached as Exhibit I of this Agreement.
V Modification of Agreement:
All modifications to this Agreement shall be in writing and signed by all parties.

VI Severability:
If any term or condition of this Agreement shall be held to be invalid, illegal, or
unenforceable, this Agreement shall be construed and enforced without such
provision to the extent that this Agreement is then capable of execution within the
original intent of the parties hereto.
VII No Third Party Beneficiary Enforcement:
It is expressly understood and agreed that the enforcement of the terms and
conditions of this Agreement and all rights of action relating to such enforcement,
shall be strictly reserved to the undersigned parties and nothing contained in the
Agreement shall give or allow any claim or right of action whatsoever by any
other person not included in this Agreement. It is the express intention of the
undersigned parties that any entity, other than the undersigned parties receiving
services or benefits under this Agreement, shall be an incidental beneficiary only.
VIII Entire Agreement:
The parties hereby agree that none have made or authorized any Agreement with
respect to the subject matter of this instrument other than expressly set forth
herein, and no oral representation,promise, or consideration different from the
terms herein contained shall be binding on any party, or its agents or employees,
hereto. This Agreement embodies all agreements between the parties hereto and
there are no promises, terms, conditions, or obligations referring to the subject
matter whereof than as contained herein.
IX No Waiver of Immunity:
No portion of this Agreement shall be deemed to constitute a waiver of any
immunities the parties or their officers or employees may possess, nor shall any
portion of this Agreement be deemed to have related a duty of care which did not
previously exist with respect to any person not party to this Agreement. The
parties hereto acknowledge and agree that no part of this Agreement is intended
to circumvent or replace such immunities.
X Non-Appropriation:
None of the parties hereto shall be required to expend its public funds for any of
the undertakings set forth herein, without the express prior approval of its
governing body or director. Any financial obligations of the parties resulting from
the promises, covenants and/or terms set forth therein shall be subject to annual
appropriations as provided by law.
IN WITNESS WHEREOF the parties hereto have duly executed the Agreement as of this day,
month and year first above written.

Required Contract Clauses For
Contracts And Purchase Orders
The type of agreement entered into by a grantee or sub-grantee may be fixed price or cost
reimbursement, depending on the method of procurement and goods or services being procured.
Each agreement funded by ETA grant programs must contain the specific clauses referred to in
29 CFR 97.36. These clauses are listed below.
1. Administrative, contractual or remedies in instances where contractors violate or breach
contract terms and provide for such sanctions and penalties as may be appropriate.
(Contracts more than the simplified acquisition threshold).
2. Termination for cause and for convenience by the grantee or sub-grantee including the
manner by which it will be effected and the basis for settlement. (All contracts in excess
of$10, 000)
3. Compliance with Executive Order 11246 of September 24, 1965 entitled"Equal
Employment Opportunity," and as supplemented in Department of Labor regulations (41
CFR chapter 60). (All construction contracts awarded in excess of$1000 by grantees and
their contractors or sub-grantees).
4. Compliance with the Copeland"Anti-Kickback"Act(18 U.S.C. 874) as supplemented in
Department of Labor regulations (29 CFR part 3). (All contracts and sub-grants for
construction or repair).
5. Compliance with the Davis-Bacon Act(40 U.S.C. 276a to 276a-7) as supplemented by
Department of Labor regulations (29 CFR part 5). (Construction contracts in excess of
$2000 awarded by grantees and sub-grantees when required by Federal grant program
legislation).
6. Compliance with Sections 103 and 107 of the Contract Work Hours and Safety Standards
Act (40 U.S.C. 327-330) as supplemented by Department of Labor regulations (29 CFR
Part 5). (Construction contracts awarded by grantees and sub-grantees in excess of
$2000, and in excess of$2500 for other contracts which involve the employment of
mechanics or laborers).
7. Notice of awarding agency requirements and regulations pertaining to reporting.
8. Notice of awarding agency requirements and regulations pertaining to patent rights with
respect to any discovery or invention which arises or is developed in the course of or
under such contract.

9. Awarding agency requirements and regulations pertaining to copyrights and rights in data.
10. Access by the grantee,the sub-grantee,the Federal grantor agency,the Comptroller
General of the United States, or any of their duly authorized representatives to any books,
documents, papers, and records of the contractor which are directly pertinent to that
specific contact for the purpose of making audit, examination, excerpts, and
transcriptions.
11. Retention of all required records for three years after grantees or sub-grantees make final
payments and all other pending matters are closed.
12. Compliance with all applicable standards, orders, or requirements issued under section
306 of the Clean Air Ac (42 U.S.C. 1857 (h), section 508 of the Clean Water Act (35
U.S.C. 1368), Executive Order 11738, and Environmental Protection Agency regulations
(40 CFR part 15). (Contracts, subcontracts, and sub-grants of amounts in excess of
$100,000.
13. Mandatory standards and polices relating to energy efficiency which re contained in the
state energy conservation plan issued in compliance with the Energy Policy and
Conversation Act. (Pub. Law 94-163, 89 Stat. 871).
