Prior to using the Railroad Company' s property covered herein,

determine if a fiber optic cable is buried on the subject proper-
ty.

AGRICULTURAL LEASE'
THIS-AGREEMENT, made and entered into this 17th day of
August, 1988 , by and between UNION PACIFIC RAILROAD COMPANY, a
Utah corporation (hereinafter called "Lessor") , party of the
first part, and KAY SASAKI , JOE SASAKI , TOM SASAKI and HARRY
SASAKI with mailing address at 1812 weld County Road 27 ,
Brighton, Colorado80601 (hereinafter called "Lessee") , party of
the second part, WITNESSETH:
Location / Use Section 1. The Lessor, for and in considera-
tion of the covenants and agreements herein made by the Lessee,
hereby leases to the Lessee for a term of one year beginning on
the 1st day of September, 1988 , the portion of the premises of
the Lessor (hereinafter the "Premises") near Brighton, Colorado,
as shown on the plat hereto attached and made a part hereof, such
Premises to be used only as a site for agriculture.
Renewal Thereafter, so long as neither party is in default,
this Lease will renew itself without further documentation from
year to year until terminated as provided in Section 7 herein.
Each renewal term will be upon the same terms and conditions set
forth herein, including, without limitation, the Lessor' s right
to reevaluate the rental as hereinafter provided.
Rental Section 2 . The Lessee shall pay to the Lessor for the
use of the Premises, rental at the rate of $150 . 00 per annum pay-
able annually in advance for each and every year during the term
of this Lease, or any renewal thereof, subject to reevaluation,
as herein provided.
Rental The Lessor may annually reevaluate the rental base upon
Reevaluation which the above rental is computed. In the event the
Lessor shall determine that the rental is no longer representa-
tive of a fair market value rental , the Lessor may adjust the
rental and shall advise the Lessee by written notice of such
change. Such written notice shall be served at least thirty (30)
days prior to the effective date of the new rental, it being un-
derstood however that rental adjustments shall not be made more
often than once every twelve months .
Reservations Section 3 . The Lessor reserves to itself, the
right to place or construct and maintain upon the Premises , pole
and wire lines, signs advertising the Lessor, and any and all
snow fences which are or which may hereafter be needed for the
protection of the railroad of the Lessor. Lessor also reserves
to itself the exclusive right to permit the location of advertis-
ing signs of any kind whatsoever on the Premises.

Non-Exclusive
Use This Lease is subject to the right of the Lessor to grant
such licenses and easements unto third persons as it in its sole
discretion shall deem to be necessary, convenient or appropriate.
Superior Rights This Lease is also subject to all outstanding
superior rights , including, without limiting the generality of
the foregoing, rights in favor of telegraph and telephone compa-
nies and for public highway purposes. This Lease is made without
covenant of title or to give possession or for quiet enjoyment.
Taxes Section 4 . In addition to the payment of rental by the
Lessee to the Lessor as provided for in Section 2 hereof, the
Lessee agrees to pay all taxes and assessments levied upon the
Premises during the continuance of this Lease, not including tax-
es or assessments levied against the Premises as a component part
of the railroad property of the Lessor in the state as a whole;
to release the Lessor from any and all damages to crops or other
property located on the Premises caused by fire arising from the
operation of the railroad of the Lessor or otherwise; to cut as
low as possible all grain grown on the Premises
Care of and not to stack any grain or hay thereon, and to keep
Premises keep the Premises clear from straw, rubbish and all, materi-
al other than stubble or corn stalks, which would tend to in-
crease the risk of fire; not to place buildings or structures of
any kind upon the Premises ; not to plant corn, Kaffir corn, cane
or other high-growing grain or grass within a distance of 150
feet from the crossing of any public highway over the tracks of
the Lessor; to close safely and securely, immediately after using
the same, any gate, opening or bars in the fences of the Lessor,
and not to take down or remove any wire or wires from any part of
the fences of the Lessor for any purpose at a point where there
is no gate, except with the written consent of the Lessor; to
replace immediately and safely in first-class condition any part
of such fence as may have been temporarily removed or taken down;
to keep the wires in the fences of the Lessor on, through or
bounding the Premises properly stretched and fastened to the
posts and to make all temporary repairs to said fences where no
posts are required to be furnished; and to cut and remove, or
spray with weed-killing chemicals, all weeds on the Premises. If
the weeds are not controlled as above specified, and any govern-
mental agency takes action to eradicate the same and bills the
Lessor for the cost thereof, Lessee agrees to either pay the bill
so rendered or reimburse the Lessor in the amount thereof, if
paid by the Lessor.
Abandonment Section 5 . It is further agreed that if the Les-
see shall abandon the Premises hereby leased, the Lessor may en-
ter upon and take possession of the same; that, in case the Les-
see shall fail to keep and perform each and every stipulation and
condition of this Lease, then the rights and estate of the Lessee
Pg 2 hkraunder shall absolutely cease and determine and the Lessor may
take immediate possession of the Premises as upon condition bro-
ken.
Lessee Not to
Sublet or Assign Section 6 . The Lessee agrees not to let or
sublet the Premises hereby leased, in whole or in part, or to
III assign this Lease without the written consent of the Lessor, and
it is agreed that any transfer or assignment of this Lease with-
out such consent shall be absolutely void and shall, at the op-
tion of the Lessor, terminate this Lease.
Termination Section 7 . This Lease may be terminated by writ-
ten notice given by either the Lessor or Lessee to the other par-
ty on any date in such notice stated, not less, however, than
thirty ( 30) days subsequent to the date on which such notice
shall be given.
Upon termination of this Lease, Lessee agrees to vacate and
surrender the quiet and peaceable possession of the Premises. It
is specifically understood and agreed that in the event the Les-
sor terminates this Lease for railroad purposes, the Lessee spe-
cifically releases the Lessor from any and all damages to crops
or other property of the Lessee located on the Premises .
Upon such termination and vacation of the Premises by the
Lessee, the Lessor shall refund to the Lessee on a prorate basis,
any unearned rental paid in advance.
Notices Section 8 . Any notice, demand, request, consent, ap-
proval or communication that either party hereto desires or is
required to give to the other party under this Lease shall be in
writing. Said notice may be given to the Lessee by serving the
Lessee personally or by posting a copy thereof on the outside of
any door in any building upon the Premises or by mailing the
same, postage prepaid, to the Lessee at the last address known to
the Lessor. Said notice may be given to the Lessor by mailing
the same, postage prepaid to the office of the General Director
of Real Estate, Room 300, 1416 Dodge Street, Omaha, Nebraska
68179 .
Postal notices shall be by certified mail , return receipt
requested, and such notice shall be deemed given on the date de-
posited with the United States Postal Service.
Breach Section 9 . It is further agreed that the breach of any
covenant, stipulation or condition herein contained to be kept
and performed by the Lessee, shall , at the option of the Lessor,
forthwith work a termination of this Lease, and all rights of the
Lessee hereunder; that no notice of such termination or declara-
tion of forfeiture shall be required, and the Lessor may at once
re-enter upon the Premises and repossess itself thereof and re-
move all persons therefrom or may resort to an action of forci-
ble/unlawful entry and detainer, or any other action to recover
Pg 3 bhe5same. A waiver by the Lessor of the breach by the Lessee of
any covenant or condition of this Lease shall not impair the
right of the Lessor to avail itself of any subsequent breach
thereof.
Protection-of
Fiber Optics Section 10 . Fiber optic cable systems may be bur-
ied on the Lessor' s property. Lessee shall telephone the Lessor
at 1-800-336-9193 (a 24-hour number) to determine if fiber optic
cable is buried anywhere on the Lessor' s premises to be used by
the Lessee. If it is, Lessee will telephone the telecommunica-
tions company(ies) involved, arrange for a cable locator, and
make arrangements for relocation or other protection of the fiber
optic cable prior to beginning any work on the Lessor ' s premises.
In addition to the liability terms elsewhere in this Agree-
ment, the Lessee shall indemnify and hold the Lessor harmless
against and from all cost, liability, and expense whatsoever ( in-
cluding, without limitation, attorney ' s fees and court costs and
expenses) arising out of or in any way contributed to by any act
or omission of the Lessee, its contractor, agents and/or employ-
ees , that causes or in any way or degree contributed to ( 1) any
damage to or destruction of any telecommunications system by the
Lessee, and/or its contractor, agents and/or employees , on Les-
sor' s property, (2) any injury to or death of any person employed
by or on behalf of any telecommunications company, and/or its
contractor, agents and/or employees, on Lessor' s property, and/or
its contractor, agents and/or employees, on Lessor' s property,
and/or (3 ) any claim or cause of action for alleged loss of prof-
its or revenue by, or loss of service by a customer or user of,
such telecommunication company( ies) .
Successors
And Assigns Section 11. Subject to the provisions of Section
6 hereof, the provisions of this Lease shall be binding upon and
inure to the benefit of the Lessor, its successors and assigns ,
and of the Lessee, its successors; heirs , executors, administra-
tors and assigns.
