RE: APPROVE CONSENT TO ASSIGNMENT FOR INMATE TELEPHONE SERVICE
AGREEMENT AND AUTHORIZE CHAIR TO SIGN - QWEST CORPORATION
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Consent to Assignment for Inmate
Telephone Service Agreement between the County of Weld,State of Colorado, by and through the
Board of County Commissioners of Weld County,on behalf of the Weld County Sheriffs Office,and
Qwest Corporation, with further terms and conditions being as stated in said assignment, and
WHEREAS,after review,the Board deems it advisable to approve said consent, a copy of
which is attached hereto and incorporated herein by reference.
NOW,THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County,Colorado,that the Consent to Assignment Inmate Telephone Service Agreement between
the County of Weld,State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Weld County Sheriffs Office, and Qwest Corporation, be, and hereby is,
assigned.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said consent.
The above and foregoing Resolution was,on motion duly made and seconded,adopted by
the following vote on the 23rd day of August, A.D., 2004.

Re: Qwest Public Access Solutions business unit sale to FSH Communications, LLC
Dear Ms. Quick
We are writing to provide your company, which has been a valued customer of Qwest's
Public Access Solutions (PAS) business unit for a number of years, with further information
regarding Qwest's agreement to sell the PAS unit to FSH Communications, LLC.
As your dedicated account manager has previously informed you, Qwest decided to sell the
PAS unit (which provides retail payphone and inmate communications services) because it was no
longer part of the company's essential suite of products and services. Qwest looked for a
purchaser who would continue to operate the PAS business unit with the same focus on the
customer and service that Qwest's customers have come to expect from our Spirit of Services"
We found just such a purchaser in FSH.
FSH is headed by Donald Goens, formerly Qwest's Vice President of Qwest Business
Development and head of the PAS business unit. Mr. Goens is a veteran of the
telecommunications industry, with his expertise focused on the payphone business. Before joining
Qwest, he spent 6 years as the President of Ameritech's Public Communications division. Having
led Qwest's PAS business unit, Mr. Goens is very familiar with Qwest's customers and their
expectations.
As it was Qwest's desire to transition this business with no disruption to customers or their
service, a comprehensive sale and transition services agreement was designed with our customers
in mind. The agreement was structured, in part, with transparent features that allow for a seamless
transition to FSH, which is committed to providing the same quality service to which Qwest's
customers are accustomed. FSH will initially operate in the same space that the PAS unit currently
occupies and will maintain the same service telephone numbers. It is anticipated that many of
Qwest's current pay phone employees will become FSH employees. Effective with the transfer of
the business, substantially all dedicated tools, trucks, software, hardware, etc., that are used today
to support the PAS business will become the property of FSH. After the closing of the transaction,
Qwest will provide a variety of on-going services to FSH, including public access lines (dial tone)
and local and long distance operator services. Changeover planning is already well underway, and
customers and suppliers alike have been extremely supportive of the process and are looking
forward to a smooth transition to FSH.
Where we are responsible for the long distance arrangement on retail payphones that may
be located at your site(s) we will be changing them to access our new "Preferred PIC". Qwest

Operator Services has been selected as the best choice for yourself, the payphone user and FSH.
This change will take place in approximately 90 days.
Under the terms of your payphone contract with Qwest, your consent is required to assign
the contract to FSH. We would therefore be grateful if you would review, sign and return the
enclosed Consent to Assignment as quickly as possible. A pre-paid envelope has been
provided for your convenience.
To recap:
• FSH will assume ownership and management of the PAS assets at the closing of the
transaction (currently scheduled for August 23).
• Until the assignment of your contract is complete, Qwest will continue to fulfill its
remaining obligations and all other terms of service according to the provisions of the
contract.
• Once you have delivered your Consent to Assignment and the closing of the transaction
has occurred, FSH will assume full responsibility for all contractual obligations going
forward.

CONSENT TO ASSIGNMENT
Reference is made to the [Inmate Telephone Service Agreement] (the
"Agreement") dated December 20, 1999 by and between the undersigned and Qwest
Corporation("Qwest"). The undersigned hereby irrevocably consents to Qwest's
assignment of the Agreement to FSH Communications, LLC. This Consent shall not be
construed to modify, waive or amend any of the terms, conditions or provisions of the
Agreement.
IN WITNESS WHEREOF, the undersigned has executed this Consent to
Assignment as of the date set forth below.
