RE: APPROVE MEMORANDUM OF UNDERSTANDING FOR HIV TESTING AND
COUNSELING AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board has been presented with a Memorandum of Understanding for HIV
Testing and Counseling between the County of Weld,State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Weld County Department of Public
Health and Environment,and the Northern Colorado AIDS Project,commencing April 1,2004,and
ending December 31, 2004,with further terms and conditions being as stated in said agreement,
and
WHEREAS,after review,the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW,THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County,Colorado,that the Memorandum of Understanding for HIV Testing and Counseling between
the County of Weld,State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Weld County Department of Public Health and Environment, and the
Northern Colorado AIDS Project be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was,on motion duly made and seconded,adopted by
the following vote on the 31st day of March, A.D., 2004.

Memorandum of Understanding
For a joint HIV Prevention Project Between
Weld County Department of Public Health and Environment
And Northern Colorado AIDS Project
Term of the Agreement:
This agreement covers the period from April 1, 2004—March 31, 2005.
Scope of Work
The Weld County Department of Public Health and Environment (WCDPHE) and the Northern
Colorado AIDS Project (NCAP) agree to form a collaborative program to provide confidential
and anonymous HIV testing and counseling at the Weld County Department of Public Health
and Environment.
The Weld County Department of Public Health and Environment agrees to provide:
• Scheduling and reception for clients requesting HIV testing according to procedure
• Clinic room for testing and counseling according to the time/dates agreed upon by both
WCDPHE and NCAP.
• Clinic will be closed on scheduled county holidays
• Interpretation services as needed, if available.
• Each interpreter will sign an NCAP confidentiality agreement prior to providing services
to clients
The Northern Colorado AIDS Project agrees to provide:
• Staff person to provide HIV testing and counseling at the agreed upon times
• Testing supplies
• Screening and educational materials
• Collection of fees for services
• Notification of cancellation of clinic by 9:00 the morning of the scheduled clinic
Termination of the Agreement
This agreement may be terminated by either party at any time upon ten (10) days' written
notice.

Parties' Relationship:
The parties to this agreement intend that the relationship between them is that of
independent entities working in mutual cooperation. No employee, agent, or servant of one party
shall be deemed to be an employee, agent, or servant of another party to this agreement. Each
party shall not be responsible or liable for the acts or omissions or failure to act by the other
party.
No Third Party Enforcement
No portion of this agreement shall be deemed to constitute a waiver of any immunities
the parties or their officers or employees may possess, nor shall any portion of this agreement be
deemed to have created a duty of care with respect to any person not a party to this agreement.
It is expressly understood and agree that enforcement of the terms and conditions of this
understanding, and all rights of action relating to such enforcement, shall be strictly reserved to
the undersigned parties and nothing contained in this agreement shall give or allow any claim or
right of action whatsoever by any other person not included in this agreement. It is the express
intention of the undersigned parties that any entity other that the undersigned parties receiving
services or benefits under this agreement shall be deemed an incidental beneficiary only.
Confidentiality
Each party agrees to keep any and all records and information confidential, in compliance
with all laws and regulations concerning the confidentiality of such records. Each party agrees to
follow state protocol regarding anonymous testing. Each party agrees to execute any documents
or otherwise sign or take whatever actions may be necessary to ensure that both parties are in
compliance with the requirements of HIPAA.

SUBJECT: Memorandum of Understanding for
HIV testing
Enclosed for Board review and approval is a memorandum of understanding between the
Northern Colorado AIDS Project (NCAP) and Weld County Department of Public Health and
Environment (WCDPHE) to provide confidential and anonymous HIV testing and counseling in
Weld County. WCDPHE will provide scheduling, a clinic room for testing and interpretation
services when needed. NCAP staff will provide testing and counseling, supplies, educational
materials and collect all fees for testing. Testing will be done in accordance with state established
protocols.
The time period for this agreement is April 1, 2004 through March 31, 2005. I recommend
approval of this agreement.
